DEFINITION AND INTERPRETATION


1.) Intellectual Property and civil liberties of the same or similar effect or nature as or to those above in each case in
whichever jurisdiction.

GUIDANCE NOTES FOR NHS STAFF


1.) Local management should assess the risks involved and determine a policy on securing documentary evidence
that insurance is being properly maintained. If the (side A) fails to insure or provide evidence of insurance local
management should consider termination of the contract.

2.) In the event of whichever dispute, the concern sides agree under this clause to attempt to resolve whichever such
disputes by negotiation, but failing which, they shall refer to mediation. This clause references the procedure set out
by CEDR Centre for Effective Dispute Resolution although the concern sides can agree to an alternative procedure. If
mediation fails then legal proceedings may only be commenced ____ days following the failure of the mediation.

3.) The Contract Price includes all fees or expenses payable for Intellectual Property civil liberties which would be
necessary to enable the (side A) to perform the contract. The (side A) will cover the (side B) against whichever
Intellectual Property claims resulting from the supply of the goods in the contract.

CLAUSES
1.) This clause governs the mode of service of notices.

2.) This clause describes events possibly affecting the contract that are completely outside the concern sides control.

obligations under the contract but will endeavor to agree appropriate terms to reduce the impact of the events and
facilitate the continued performance of the contract.

3.) This clause enables legal action to be commenced in England and gives the English courts jurisdiction to hear the
claim, even though the contract may actually have been made abroad. In such an action, the contract will be
interpreted according to English law rather than the law of another state.
