(side B) _____________. (side A) and (side B) are now referred to herein as the concern sides. The two concern
sides hereby have the same understanding to the following listed legal conditions.

DEFINITIONS
Agreement refers the agreement Involves (side A) and (side B) consisting of the Purchase
Order, these listed legal conditions, the Specifications, and whichever other documents (or parts thereof) specified in
the Purchase Order or else particularly are incorporating these listed legal conditions.

STATUS OF listed legal conditions

(side A) will not be legally responsible in respect of whichever Purchase Orders or instructions other than those
issued or confirmed on its official, duly issued Purchase Order documents.

release OF GOODS AND PROVISION OF SERVICES

Time shall be of the essence in relation to the performance of whichever and all of (side B)s obligations pursuant to
the Agreement.

PRICE, INVOICING AND TERMS OF PAYMENT

The correct Purchase Order number must be quoted on all invoices, and (side A) will accept no liability whatsoever
for invoices, release notes or other communications which do not bear such Purchase Order numbers.

QUALITY AND FITNESS FOR reason OF GOODS

The Goods must be, supplied with adequate instructions as to use and use-by date, fit for the reason for which they
are intended, of satisfactory quality, and free from defects in design, material and workmanship.

REJECTION, REPAIR AND REPLACEMENT

In the case of defective release, require (side B) to promptly reimburse (side A) in respect of whichever cost including
but not limited to freight, clearance, and duty and storage charges incurred by (side A).

PACKAGING
(side B) will package and label the Goods in a manner suitable for transit and storage at no cost to (side A). (side A)
will not pay for or return Packaging materials unless previously agreed Involves the concern sides and confirmed in
writing.

STANDARD OF SERVICES
(side B) warrants and represents to (side A) that whichever Services performed by (side B) or duly appointed sub-
contractor:

INTELLECTUAL PROPERTY civil liberties

Intellectual Property civil liberties arising during or out of the provision of Services shall be and remain the property of
(side A).

The Concern Parties agree to the abovementioned listed legal conditions. In witness whereof, the concern sides
