(ii) The Schedule of Quantities and Rates fully priced with each item, extended,
cast and totalled as appropriate. Any items which the Supplier considers
to have no value shall have dashes or other suitable marks placed against
them in the cash column. The value of any item not priced shall be deemed
to be included in the Quotation.
(b) An organization chart together with the C.V. of the proposed personnel for the
project.
(c) Catalogues, brochures, drawings and detailed technical specification for each type
of the Supplies and any other technical submissions as required in the
Specifications.

(e) An outline programme showing the time required for preparing the shop drawings,
approval of mock-ups, samples, fabrication, supply and delivery of the Supplies.
(f) Anticipated life and maintenance costs associated with the Supplies.
(g) Relevant job reference of the Company stating the job description, approximate job
value, date of completion, name of the Employers, etc, and showing which of the
projects have used the proposed Product.
(h) Material sample board for each type of the specified fabrics and fittings.
(i) Any other details and information as required by the Quotation Document.
3. Failure in submission of the information listed in Clause 2 above may render the Quotation
not being considered by the Employer.

1. Having inspected the Site, satisfied ourselves as to the site conditions, areas of
access, the surrounding environment, and any other matters which may affect the carrying out of
the Works, and having examined and understood the Quotation Document for the Works, including any
addenda, I/we offer to design (to the extent required by the Quotation Document), supp ly and
deliver of the said Supplies for incorporation in the Main Contract Works in conformity with the
Quotation Document including any addenda, for the sum of Hong Kong Dollars
2. I/We agree insofar as no contractor for the Main Contract Works may have been appointed
and until such Contractor shall be appointed to deem all references to the Main Contractor under
the Supply Contract and the Main Contract to be references to the Employer so far as this would
give practical effect to the intention of the parties and assist the implementation of the
agreement.
3. I/We undertake if my/our quotation is accepted to supply and deliver the Supp lies in
accordance with the Main Contractor's programme and progress of the Works and also Clause 5.0 of
the Terms and Conditions and in such time so as not to cause delay to the Main Contract Works.
4. I/We understand that if my/our quotation is accepted I/We shall enter into a domestic
Supply Contract with the Main Contractor for the Renovation Works at Grand Cafe in the form
described in the Quotation Document and to release and discharge the Employer from all claims and
demands whatsoever in respect of this quotation and the Employer's acceptance thereof and accept
liability to the Main Contractor in lieu of to the Employer in every way as if the Main
Contractor were named herein and had accepted this tender in place of the Employer. I/We agree
that this tender may be accepted directly by the Main Contractor.
5. I/We agree to abide by this quotation for a period of ninety (90) days from the date
fixed for receiving it and it shall remain binding upon me/us and may be accepted at any time
before the expiry of that period.
6. Unless and until a formal Agreement is prepared and executed this quotation, together
with the written acceptance thereof by the Project Manager on behalf of the Employer shall
constitute a binding Contract.
7. I/We understand that the Employer is not bound to accept the lowest or any quotation
which may be received.
1.0 Generally
1.1 This request for quotation is for the design (to the extent required by this
Quotation Document), supply, fabrication and delivery of loose furniture ("the
Supplies") under a domestic supply contract ("Supply Contract") with the Main
Contractor for the Renovation Works to Grand Cafe at Grand Hyatt Hong Kong at 1
Harbour Road, Wan Chai, Hong Kong ("the Main Contract Works")/ in accordance with
the Specification, Drawings, Schedule of Quantities and Rates and these Terms and
Conditions contained in this Quotation Document.
2.0 Definitions
2.1 Emp1oyer/Owner
Grand Hyatt Hong Kong Company Limited d/b/a Grand Hyatt Hong Kong
2.5 AV Consultant
The Main Contract for the renovation works to grand caf at Grand Hyatt Hong Kong,
which will be carried out from tentatively July 2015.
2.10 Supplier
The Supplier to be appointed to design (to the extent required by this Quotation
Document), supply, fabricate and deliver the loose furniture as described in this
Quotation Document under a domestic supply contract with Main Contractor.
2.11 Approved/Endorsement
Terms such as "approved by"/ "for approval", "endorsed by", "endorsed ", "no
objection", "as directed" and the like refer to approval, endorsements/ or
directions given by the Project Manager. Under no circumstances shall approval or
endorsement relieve the Contractor of his responsibilities as set out in Contract.
Approvals and endorsements shall be in writing.
Reference to British Standards (B.S.) are to the latest standards published by the
British standards Institution.
The latest British Standard Code of Practice at the time of tendering, including
any amendments thereto/ and as issued by the Council for Codes of Practice for
Building.
3.1 This Quotation is for the design (to the extent required by this Quotation
Document), supply, fabrication and delivery to the Site of loose furniture to be
installed by the Main Contractor, all in accordance with the Specifications,
Drawings, Schedule of Quantities and Rates and these Terms and Conditions.
3.2 The Supplier shall enter into a domestic supply contract ("Supply Contract") with
the Main Contractor, which shall include the terms and conditions contained in
this Quotation Document.
3.3 The Supplier shall supply samples of each type of the specified loose furniture to
the Interior Designer and the Project Manager for approval before any bulk
delivery. The Supplier shall supply and deliver all the Supplies in strict
conformity to the Specification and to the approved samples.
3.4 Upon approval of the sample, the Supplier shall supply and deliver the Supplies in
batches to suit the programme of the Main Contract Works and in strict conformity
to the approved Specifications and to the approved samples.
3.5 The Supplier shall submit all necessary certificates, test reports, etc. and the
like to the Employer/Project Manager for approval.
3.6 The Supplier shall indemnify and keep indemnified the Main Contractor against any
liabilities, losses, claims, demands, proceedings, damages, costs and/or expenses
of which the may incur or suffer in respect of any breach of these Terms and
Conditions by the Supplier.
3.7 The Supplier shall note that the Employer or the Main Contractor reserve their
rights to award the whole or only part of the items in the Schedule of Quantities
and Rates. In case of practical award, the rates in the Schedule of Quantities and
Rates for the corresponding items shall be used for valuation purposes. No claim
for extras or alteration to the rates in this respect will be entertained due to
reduced scope of works.
3.8 The Supplier shall be responsible for the preparation of coordination drawings for
the Supplies.
4.1 Location
The site of the Supplies is at Grand Caf of Grand Hyatt Hong Kong at 1 Harbour
Road, Wan Chai, Hong Kong. The Supplier shall have or shall be deemed to have
visited the Site of the Main Contract Works and its surroundings and to have
satisfied himself at tender stage as to:
(b) the means of communication with and access to and through the Site;
(c) the risk of damage to existing property and property adjacent to the Site;
(d) the accessibility, storage space available, restrictions for loading and
unloading materials and the like;
(e) the possibility of interference by persons who may have access to the Site
throughout the construction;
(f) the form and nature of material of the existing building fabric;
(g) the nature and extent of the Main Contract Works and the material
necessary for the execution of the same; and
No claim for extra payment or extension of time shall be entertained on the ground
of ignorance of the conditions of the Site or existing conditions not shown on the
Drawings.
The Supplier shall restrict their workers and activities within the Site. If the
Supplier requires the use of area outside site boundary for construction works, he
shall submit a proposal including the commencement date, the construction period,
the construction activities within the area etc. for the Project Manager and the
Hotel Management's approval, well before the commencement of the Supply Contract
Works within this area.
The Supplier shall observe all rules, regulations and restrictions imposed by the
Employer, Hotel Management and the relevant Authorities concerning use of the
Site. The Supplier shall keep his works and workers within the Site unless there
are specific works required to be carried out outside the Site.
The Supplier shall observe and comply with the requirements, rules and guidelines
as stated in the Employer's House Rule in Appendix A.
In case of any discrepancy between the above documents and any other document of
the Supply Contract, the more stringent requirements shall prevail.
Access to the existing building shall be via Employee Entrance. All workers/staf
f members/sub-suppliers of the Supplier must produce their HKID card and
Construction Industry Safety Training Certificate (or Green Card) for check and
have a body temperature check by hotel security guard at the security control
room.
The Supplier shall comply with all requirements of the relevant government
departments regarding access, safety precautions, traffic regulations, etc. and
make all necessary applications to the relevant government departments and obtain
the necessary permits for loading and unloading etc.
The Supplier shall take extreme care to ensure the transport, loading and
unloading of materials and plant and other operations to and from the site by
lorries or other vehicles complies with any regulations imposed or special
arrangements required by the Authorities or the Police as well as the Hotel
Management.
The Supplier shall be responsible for all costs associated with access to or
egress from site including any costs of reinstatement of or making good damage to
roads, pavements, verges, footpaths and the like, as required by the Interior
Designer, the Project Manager or the Authorities.
The Supplier shall note that the Hotel will remain in operation throughout the
Contract Period and access within the existing building is highly restricted.
Access for transportation of materials and equipment to the work areas will not be
allowed within the existing building unless prior approval of the Hotel Management
is obtained and via routes designated by the Hotel Management.
Access for work people to the work areas within the existing building shall be
restricted and via routes designated by the Hotel Management from time to time
during the Contract Period.
The Supplier is to ensure all their workers, staff members and/or supplier are in
reasonable working clothes at all times and will undertake to guarantee their
behavior. The Supplier will fully indemnify the Hotel for whatever liabilities so
caused to any third parties or the Hotel properties or premises due to the
misbehavior of the workers, staff members and/or subsuppliers of the Supplier.
Passes for entry to the Hotel are required to be obtained daily from the Security
Control Room of the Hotel Management. All workers/staff members/sub -suppliers of
the Supplier must wear these passes prominently within the Hotel premises. These
passes must be returned to the Security Control Room when workers leave the Hotel
and must not be kept overnight.
When working at height, workers should wear life harnesses and check that their
operating gears in good condition. All their equipment, tools and accessories
should be well tied up to prevent falling from height.
The Supplier's attention is drawn to the noise generated from the construction
works. The Supplier is responsible to minimize the disturbance to Hotel operation
and its guests due to noise and other nuisance caused by the construction works.
The Supplier is deemed to have allowed in his quotation for complying with all the
above requirements. Furthermore, the Supplier shall be liable to and indemnify the
Employer from any claim arising from his failure to comply with the above
requirement.
(a) be responsible for keeping all access routes free from dust, debris, etc.,
arising from the Supply Contract Works;
(b) liaise with the Project Manager and the Hotel Management to determine
delivery routes and programmes;
(c) notify the Project Manager and Hotel Management well before the dates on
which equipment and materials are due to be delivered to the Site.
All damage to the existing services, fittings, finishes, structure and the like
shall be made good to the original state at the Supplier's expenses.
The Supplier is deemed to have allowed for the time and cost implications in
accepting the site restrictions and complying with the above requirements and no
claims for extension of time or additional cost and expense will be considered on
the grounds of disruption to the Supply Contract Works or congestion to and around
the site.
The Supplier shall carry out all necessary temporary works for loading and
unloading and access purposes and the subsequent reinstatement of the existing
building to its original condition.
The Supplier must ensure that the roads, pavements, footpaths, etc. leading to and
around the Hotel are kept free from obstruction, rubbish or debris at all times,
and he shall not cause any inconvenience or undue hindrance to traffic or persons
by vehicles, workmen, scaffolding, plant, materials, etc.
The Supplier shall take reasonable care in the loading and offloading of materials
and other such operations to ensure that the streets, roads and footpaths are not
obstructed or the traffic impeded and his operations conform to Police Regulations
The Supplier shall arrange suitable off-site areas for, storage and fabrication
of the Supplies. The Interior Designer, the Project Manager and the Employer shall
be entitled to and be given reasonable opportunity to test and inspect any of the
Supply Contract Works for this Supply Contract at any stage or place of
production, assembly, manufacture, transportation or delivery, in order to verify
the quality and Conditions of the Supply Contract Works and its conformity to the
Supply Contract. The Supplier shall allow at his cost all necessary tran sportation
in the region of the HKSAR and Southern China provinces in this connection.
5.1 The Supplies shall be delivered by the Supplier to the designated locations of
high zone floors of the Site.
5.2 The Main Contract period is 180 calendar days for completion.
5.3 The Supplier shall commence the supply and delivery the Supplies at such time as
may be required by the Main Contractor but
within _______(*) weeks from the date of confirmation of order
issued by the Main Contractor and complete the delivery to the
Site within _______ ____ (*) weeks from the date of commencement of
delivery. The Supplier may be required to supply and deliver the Supplies in
stages as directed by the Main Contractor to suit his programme which is subject
to revision from time to time and to the satisfaction of the Project Manager.
5.4 If the Supplier fails to supply and deliver the Supplies in accordance with the
agreed delivery requirements of the Main Contractor, the Supplier shall be
responsible for any additional time, loss claims, demand, proceedings, damages,
costs and/or expenses as may be incurred or suffered by the Main Contractor,
including but not be limited to the additional cost of supply of alternative
materials sourced by the Main Contractor in order to meet his construction
programme and progress of the Main Contract Works.
6.1 The quantities of the Supplies included in the Schedule of Quantities and Rates
are measured nett as fixed in its place but excludes the quantities due to
breakages, wastage, spares, loss during delivery and the like.
6.2 The delivered quantities of the Supplies are the quantities of Supplies actually
ordered by the Main Contractor and subsequently delivered by the Supplier and
accepted by the Main Contractor. The delivered quantities include the quantities
for construction wastage, spares, etc.
6.3 The payment for the Supplies shall be valued based on the delivered and accepted
quantities of the Supplies and the corresponding rates for the supplies in the
Schedule of Quantities and Rates.
6.4 The actual items and/or quantities of the Supplies may vary to suit the
requirements of the Main Contractor. The rates in the Schedule of Quantities and
Rates shall be used for valuation of payment and variation purposes and no
alteration to the rates will be entertained due to such change on the Supplies
being confirmed in separate orders with the Main Contractor.
7.1 The rates in the Schedule of Quantities and Rates shall be deemed to be the nett
price after deducting any trade or other discount, and shall include the cost of
all design fees, delivery charges to the Site, taxes, materials, samples,
incidentals of materials, testing (including test reports and certificates),
royalties, packing, protection, freight, shipping, insurance during transit and
before delivery and acceptance, all management costs, risk, overheads, p rofit and
all matters necessary.
7.2 The rates in the Schedule of Quantities and Rates shall be fixed and will not be
adjusted for any variations or fluctuations in the cost of freight, landing
charges, storage, insurance, labour, materials, currency, etc. occurring after the
date of submission of the Quotation.
(a) conform to the quality and description with the particulars stated herein;
(b) be of sound material and workmanship and otherwise free of any defect
whatsoever;
(f) be fit for any purpose expressly or impliedly indicated to the Supplier.
8.2 In consideration of the Employer approving the Supplier as the Supplier for the
Supplies and the Main Contractor entering the Supply contract with the Supplier,
the Supplier shall provide the Employer a warranty for the materials in a for m set
out in Appendix D to warrant the Employer that he shall make good or otherwise
replace any defective supplies whether in quality of materials and/or in
workmanship for 3 years after the Date of Practical Completion of the last phase
of the Main Contract Works of which the Supplies are to be incorporated. The
supplier is requested to submit the warranty to the Employer within two weeks
after the award of the Main Contract.
8.3 The Date of Practical Completion for the Main Contract shall be certified by the
Project Manager in writing. The warranty mentioned in Clause 8.2 above shall be
extended for those defective Supplies a further 3 years after the Date of
completion of making good of those defective supplies. This warranty clause and
its enforcement shall not deprive the Employer and/or the Main Contractor of any
other action, right or remedy available to them under the contract, by law or by
tort.

11. Insurance
Without prejudice to or limiting the Supplier's liability, the Supplier will take out and
maintain the employees' compensation insurance while the Employer will take out and
maintain the third party liability insurance and Contractors' All Risks Insurance to
cover the necessary insurances required. The draft cover notes of these in surance
policies are appended to Appendix B.
12. Confidentiality
The Supplier shall treat all documents or information supplied to him for the purpose of
submitting a quotation as private and confidential. The Supplier shall at his own cost
return all relevant documents and drawing on being advised that he has not been awarded
the Contract.
The provisions of the Terms and Conditions of this Quotation shall be construed and take
effect in all respects in accordance with the laws of the Hong Kong Special
Administrative Region (SAR) . If any dispute or difference arises between the parties
which cannot be resolved by mutual agreement, it shall be referred to Arbitration.

Contractor shall comply with all applicable codes, laws, rules and regulations of the Government of the
Hong Kong Special Administrative Region.
Contractor shall be responsible for any and all costs/damages incurred by Hotel resulting from
Contractor's failure to comply with said codes, laws, rules and regulations.
Contractor shall procure, at its expenses, all permits, certifications and licenses which may be required to
perform its work.
Contractor shall obtain permission from the Hotel for any transportation of heavy equipment,
construction material and/or any construction debris at the hotel area.

Contractor shall ensure tools requiring electricity must be in safe working condition. Proper plugs are to
be used to draw electricity supply from sockets. The electricity supply to any of the tools and equipment
at the working site must be protected with individual RCD.
Contractor shall be responsible for initiating, maintaining and supervising all safety precautions and
programs in connection with its work. As part of this obligation, contractor shall keep its work area clean
for both safety and sanitary purposes and shall dispose the debris from its work each day offsite.

Contractor shall erect barricades / hoarding and signage to protect the public, personnel and property.
Do not obstruct legally required exit/escape route. The outlook design of the barricades / hoarding
should conform to hotel theme and the duration of the barricades / hoarding should also meet the
hotel's request.
Contractor shall erect and maintain proper dust-barriers to separate occupied areas from areas of
construction.
Contractor shall take all means to ensure the existing sprinkler heads and / or smoke detectors
could be under fully operative conditions at all times. Any requirement for interruption must be
approved by the hotel. In addition, the contractor shall properly cover up tall smoke detectors

during work hours to avoid false alarm and contamination. After work hours, contractor shall open up
all detectors to resume the detecting function.
Contractor shall provide adequate temporary lighting to all areas in which work is being carried out.

Contractor will submit a "Daily Attendance List" of all workers showing the full name, HK ID card
number, CITA Card & contact mobile number to Security Control Room at the Employee Entrance for
the purpose of issuing "Working Pass".

Access to the hotel by construction personnel shall be through the Employee Entrance. The
construction personnel shall produce their HKID Card & Construction Industry Safety Training
Certificate (Green Card) for checking and to undergo a Body Temperature Check by main contractor in
the presence of GHHK security at the main contractor site office. Main contractor will submit name list
to security control by 10:00 daily. Workers will be issued a "working pass" at the beginning of each work
day and will be required to check out at the end of each workday by handing the 'working pass" to the
main contractor for returning to security control room for record control and head count purpose.

Contractor will ensure that all "Working Pass" are returned to the Security Control Room at Employee

Gambling of any kind is strictly prohibited on the premises. Any person caught gambling will be
requested to leave the site immediately.
Construction personnel are not permitted to use the guest lifts any time.
All construction personnel are expected to exhibit conduct befitting the hotel and to show
deference to hotel guests and employees.
Normal daily working hour should be Monday to Friday from 09:00 until 18:00 hrs. Prior approval must
be obtained for all work on Saturday, Sunday and Public Holidays.

Contractor shall be responsible for the daily prompt removal of rubbish, debris, etc. during the
progress of the works regardless of the sources. Removal of any rubbish / debris must be done
through a designated route approved by hotel. Debris Removal period should be Monday to
Saturday between 10:30 to 1800 hrs. All debris removal on Sunday and Public Holiday shall be
permitted after approval by the Hotel and comply with local EPD requirement.

All rubbish / debris must be wrapped or placed into water tight bags and sealed up to prevent
dripping / leakage of any kind during transportation. Noise impact must be properly controlled

(c) The Supplier shall replace and/or repair such failure(s)/defect(s) within a reasonable
time following receipt of written notice from the Employer and in accordance with a
programme which shall be approved by the Employer.
(d) If the Supplier shall be unable to undertake the replacement and/or repair works as
required and notified by the Employer, then the Employer may, upon 28 days after
giving written notice of its intention, do or engage others to do on its behalf the
replacement and/or repair works and the Supplier shall reimburse the Employer any cost
incurred and/or any charge made in this connection.
(e) The warranty given by the Supplier shall only be valid if the Employer notifies the
Supplier in writing within the warranty period of any such failure(s)/defect<s) within
28 days of discovery thereof.
2. The warranty given by the Supplier shall not apply to any failure(s)/defect(s) of the Supply
Contract Works which is due to:-
(a) Normal colour or shade variations occurring within the warranty period; or
(b) Modification, alteration, misuse, abrasion, maintenance default, in-service duty which
is outside the normal colour or shade variations occurring within the warranty period;
or performance characteristics of the Supply Contract Works, impact, accident, normal
wear and tear, acts of God and Force Majeure; or
(c) Design and/or specification defects for which the Supplier shall not be responsible
which have caused the defect(s) to occur in the Supply Contract Works.
3. The Supplier's obligations or liabilities to the Employer arising out of or in connection with
this warranty shall be limited to the replacement and/or repair of the failure(s)/defect(s)
and not to any other cost, loss, expense and the like of whatever nature howsoever incurred
by the Employer in connection therewith. The replacement and/or repair of failure(s)/defect
(s) and the Supplier's liability shall be limited strictly to those parts or section of the
Supply Contract Works where the failure(s)/defect(s) have become manifest or failure has
occurred which shall also include any associated works which is directly required to be
carried out in correcting such failure(s)/defect(s) .
1. The warranty and its enforcement shall not deprive the Employer of any other action, right or
remedy available to it.
2. Any disputes arising between the Supplier and the Employer in connection with this warranty
shall be resolved in accordance with the Main Contract.
3. In no event shall the Supplier be held liable for injury to persons or damage to property,
loss of business or profit or any other direct, indirect, incidental, special, economic or
consequential damage or loss.
4. This warranty shall be construed in accordance with the English Language and shall be subject
to the laws for the time being in force in the Hong Kong Special Administrative Region.
5. The benefit of this Warranty and all rights and powers hereunder may be assigned by the
Employer.
