Terms and Conditions

OPEN BANKING HACKATHON BY CAPGEMINI (hereinafter referred to as


the "Event") is organized and conducted by its organizing committee/programming
club/tech fest organizing committee of Capgemini America, Inc. (Capgemini). The
Event will be hosted on the terms and conditions as stated hereunder (Terms and
Conditions or T&C). The below T&C are applicable to all the candidates who
intend to participate in the Event:
1. Summary of the Event
a. Capgemini is hosting this Event online through December 10, 2017 with coding weekend from
December 8 to December 10, 2017, Participation in the Event is free of charge and that
participation does not entail any right to compensation of any kind or to reimbursement of any
expenses incurred.
b. The Event endeavors to give a unique opportunity to individuals to participate (Participants)
in teams of up to 6 (Teams) to compete to win prizes (Competition).
c. Every Participant Team will have between two and five minutes to go through a demo of their
solution and business case.
d. A panel of judges consisting of subject matter experts selected by Capgemini (Judges) will
judge the entries and select the winners.
e. This Competition is a contest of skill, where Participant Teams have to demonstrate the abilities
described on the Hackathon Platform www.capgemini.hackathon.com (Platform), and present
solutions that will be judged by the Judges, whose decision is final.
f. For the purposes of these Terms and Conditions:
i. Competition and Event may sometimes collectively be referred to herein as the Event
ii. For the purpose of the Event, Capgemini (and/or its designees) shall be referred to as Event
Management.
2. Who can participate?
a. The Competition is open to Participants who have been selected by the Event Management to
attend, including Capgemini and Capgemini affiliates employees. Participants must be above 21
years of age. A Participant cannot apply or participate on behalf of another individual / person.
b. In order to participate:
i. Participant should visit the website: https://www.capgemini.com/events/worlds-first-global-open-
banking-hackathon/ (Web Page);
ii. Participants must form Teams of up to six (6) individuals. The Participant Team is considered
complete only when all the Participants of the team have filled in all details of the Web Page

form. Each Participant Team must be given a name as chosen by its members. Participant Team
names must not be connected in any way with the names of companies or registered trademarks
or use expressions that incite violence or are discriminatory, obscene, or represent any form of
defamation. Failure to comply will result in disqualification. Participant Teams may not be
changed once the competition has begun, and should even just one member of a team leave the
competition, the entire team will be rendered ineligible.
iii. Participant must submit a scanned copy of a driving license or other photo ID as a proof of
identity and eligibility. By participating in the Event, it is implied that Participants have
accepted these Terms and Conditions stated herein, as well as on the Platform and the terms of
service at https://www.hackathon.com/terms.
4. The Event
a. Participant Teams will be required to work on real business challenges, presented by
Capgemini or of their own choosing (so long as they address one of the four topics listed
below in a challenging and creative way, as determined by the judges). Participant Teams
will need to adhere to the time frame decided by the Event Management. The Teams
have to finalize their solution and present it to the Event Management within the
stipulated time frame. The challenge consists on the solving of problems related to Open
Banking; specifically those related to banks being able to: i) Offer their customers new
and better experiences across their life-cycle ; ii) Create new products and/or revenue
models; iii) Better collaboration with other industries such as retail, insurance,
manufacturing, restaurants and travel; and iv) Tap into the sharing and on-demand
economy in new ways. In addition, the Event will also give Participant Teams the
opportunity to participate in any of the following additional challenges (Additional
Challenges): 1) Those presented by Capgemini; 2) Those presented by Event sponsors
such as AWS, Kore.ai and .Tech Domains. These Additional Challenges will be
presented to participants on or after November 22, 2017.
b. Participants will have from December 8 (approximately 5:00 pm EST) up to Sunday 7:00 AM
EST to create their solution and prepare a demo for the Judges. Presentation of the solutions to
the Judges will be online, and the top selected teams will be informed of their presentation slot
by Sunday 9:00 AM EST. Each selected Participant Team will have between two and five
minutes to go through a demo of their solution and business case. The Judges will consist of one
or more panels of between three (3) and seven (7) members selected by the Event Management,
including those from Capgemini, or AWS, or Mulesoft, or other industry practitioners. These
members will be technology and business leaders at Capgemini and/or subject matter experts in
the challenge domain.
c. Judges and Mentors: Persons not employed by Capgemini may be invited to serve as either a
Judge or Mentor. No professional relationship or other relationship, except than for the purposes
of this Event, is implied between Capgemini and these persons.
d. Participants will be evaluated by the Judges on the basis of the following criteria:

e. The Judges will select three overall winning Teams, and one winning Team for each Additional
Challenge. Winners of the Additional Challenges may overlap with the overall winners. The
selection of the winning Teams in the Event will be subject to the sole discretion and approval of
the Judges and the Event Management. The highest score following the judging criteria set forth
above will determine the winning Teams. Winners will be declared at the end of the Event and
through other official social channels.

f. All reasonable and standard costs directly related to participation in the Competition, including
costs for travel meals and accommodation for the Teams during the entire duration of the
Competition shall be borne by the Participant. In no circumstances will the Event Management
be responsible for Participants costs, (including but not limited to those associated with
insurance, medical costs, tips, cost of travel; wardrobe, loss or theft of any belongings or
similar).
g. By accepting these Terms and Conditions and participating in the Event, each participant
undertakes, for the entire duration of the Competition, to make use of the facilities in which the
Competition is to be held and any materials and equipment provided by Event Management with
the utmost care and diligence and to comply fully with the rules of conduct and safety
established by Event Management. Event Participants will be held liable for any damage caused
to people or property.
5. Prizes
a. The winning Teams will be awarded with predefined prizes consisting of gift cards, technology
environment credits, and business and technology mentoring. Participants must be online during
the Event at the time that prizes are awarded to claim prizes. Any Participants absent at that time
forfeit their prizes.
b. For claiming the prizes, the winning Team Participants must submit their work product onto the
Event Platform, as required by the Event Management (if these were not submitted earlier).
c. In the event that a single prize is awarded to a Team collectively (typically in the case of a gift
card), the Team members are expected to divide the value evenly among the Team members.
Event Management is not responsible for any disagreements among Team members.
d. If any Team Participant is disqualified by the Event Management for any reason, such as being
found ineligible or failing to comply with these Terms and Conditions, then the Team will be
disqualified and the next eligible Team will receive the prizes, as the case may be, by following
the aforementioned procedure.
e. The Event Management may refuse to award prizes or reclaim / recover the prizes awarded to the
winning Teams in the event any of the Team Participants are found to be involved in any form of
fraud, misrepresentation, dishonesty or non-entitlement to participate in the Event under these
Terms and Conditions.
f. The Event Management has the right to substitute the prizes with other prizes of similar value, as
determined by Event Management in its sole discretion.
g. Prizes, such as gift cards, will be awarded to the winning team only if there are no legal
restrictions in sending online gift cards (e.g. to the country where the participating team is based)
6. General Terms & Conditions
a. Participants are advised to read and understand these Terms and Conditions and the Platform, as
well as any other terms referenced herein, which are deemed to be applicable to this Event by
reference.
b. Participation in the Event constitutes the Participants unconditional acceptance of these Terms
and Conditions, as well as on the Platform and any other terms referenced herein.
c. The Event will be conducted in English.

d. If at any time, any information provided by any Participant is found to be incorrect or incomplete
in any manner, then Event Management reserves the right to disqualify such Participant from the
Event including the rights to take appropriate legal action.
e. Disqualification of entries is at the sole discretion of Event Management, on a case by case basis.
f. Participants may be contacted for any additional information or / and conduct field visit to verify
the information provided. In the event it is not possible to contact any Participants to obtain
information from them, interview them, etc. such Participant and the corresponding Team will be
disqualified from further participation.
g. Participants warrant and represent to the Event Management and Capgemini that they are not
subject to any agreement or other obligation that would interfere with their participation in the
Event.
h. Participants warrant and represent to the Event Management and Capgemini that all information
including any communications, software, photos, text, video, graphics, music, sounds, images,
solutions to the business challenges and other material submitted by the Participant for the
Competition, including the Solution (Content) are solely owned by the Participant or are
provided with the express authority of the applicable owner(s) and the use of the Content by the
Event Management and/or Capgemini will not infringe upon any other individual or
organizational rights (including, without limitation, intellectual property rights). Participants
shall be completely responsible for handling any infringement or alleged infringement and shall
indemnify the Event Management, Capgemini, or their respective parents, subsidiaries, affiliates,
and their respective officers, directors, employees, contractors and agents, from any claims,
arising out of or in connection with losses, costs, damages, expenses from infringement or
alleged infringement by any Content, or the defense of a claim or any costs payable thereof.
i. Ownership of all Materials (as defined below) created or provided by Participants who are not
Capgemini employees will be retained by such Participants. Intellectual Property Rights (IPR,
including but not limited to trademark, copyright, design, patent, etc.) arising out of and in
connection with Event including but not limited to any communications, software, photos, text,
video, graphics, music, sounds, images, particulars, solutions, documents, designs, grids,
formulas, presentations the performance of the Team Participants and other material created by
any Team Participant (Material), if that Material is created by a Capgemini employee during
the course of the Event (Material) shall be a work for hire owned by Capgemini and/or its
assigns and if not deemed a work for hire shall hereby be assigned upon creation to Capgemini,
without any further documentation and Capgemini is hereby permitted to use it as per its sole
discretion and without any further reference, permission or consent from the Participant or Team.
Capgemini employee Participants hereby assign any and all rights they may have or acquire in
the Material and all benefits and/or rights resulting therefrom to Capgemini without additional
compensation. Capgemini employee Participants hereby agree to execute such assignments and
other documents as Capgemini may consider appropriate to vest all right, title and interest
therein to Capgemini. All such assignment of rights shall be perpetual, irrevocable, universal and
shall not lapse, even if Capgemini fails at any time to commercially exploit any such Material.
Any assignment of copyright hereunder includes all rights of paternity, integrity, disclosure and
withdrawal and any other rights that may be known as or referred to as 'moral rights'
(collectively 'Moral Rights'). The Participants automatically grant Event Management and

Capgemini a royalty-free, irrevocable, universal, transferable, non-exclusive right and license to
use and display any intellectual property rights in the Content, Material, and images or footage
thereof, for publicity purposes, which shall include trade publications, press releases, electronic
posting to the Web Page, or any other website, TV channels, electronic hyperlinks to the Web
Page, and any display format selected Capgemini, without any further documentation,
permission or consent of the Participants.
j. By entering into the Event and/or accepting the prizes, the Teams (collectively) and Team
Participants (individually) waive all copyrights, rights of publicity and any related rights and
consents to Capgeminis right to picture, tape or portray him/her as an Event Participant or
winner, and to exhibit this material in any and all media now existing or hereinafter created,
including without limitation television, film, radio and print media, without any compensation
whatsoever for advertising and publicity purposes, except where prohibited by law. The winning
Team also consents to Capgeminis right to use Participants names), voices or pictures, or the
content of their Materials (collectively, the Publicity Rights). Capgemini can allow to its
agencies to exercise/exploit the Publicity Rights in conjunction with Capgemini.
k. Participants agree to participate in the Competition and the Event at their own will and the Event
Management and Capgemini are not in any way obligated or liable for any loss or costs that the
Participants may suffer or incur and nothing is payable to the Participants for participating in the
Competition or the Event or the events following the Event.
l. The Event Management and Capgemini cannot and shall not be held accountable or liable for
any disruptions / stoppages / interruptions or cancellation of the Event. Further, neither the Event
Management, Capgemini nor its contractors will be held responsible for matters out of its control
and for force majeure reasons.
m. Efforts will be made to adhere to the defined timelines. However, the defined timelines are
subject to change based on circumstances. It is expressly provided that Event Management
reserves the right to change the dates and timelines at its sole discretion.
n. The Event Management reserves the right to, at its sole discretion, withdraw or amend or add to
these Terms and Conditions or the rules / format of the Event at any time, with prospective or
retrospective effect, and does not take responsibility for any loss or damage that any Participant
may suffer as a result of participating or attempting to participate in the Event, the Event being
withdrawn or the Terms and Conditions or rules / format being amended.
o. In the event any Team and/or Team Participant (including winning Team) is found to be in
violation of any rules of the Event or is found to be involved in any form of fraud,
misrepresentation, dishonesty during the Event, the Event Management reserves the right to
initiate legal proceedings against such Team / Team Participant and take any other action in its
sole discretion including but not limited to recovering the prizes or any expenses it may have
paid or incurred in relation to that Participant.
p. Event Management has the right to amend (add, delete or modify) the Terms and Condition
governing the Event, prospectively or retrospectively, at its sole discretion and without prior
notice.
q. All information provided in connection with the Event is provided "as- is" without warranty of
any kind. Event Management makes no representations and disclaims all express, implied, and
statutory warranties of any kind to the Participant and/or any third party including, without

limitation, warranties as to accuracy, timelines, completeness, or fitness for any particular
purpose.
r. The fair market value of all prizes will be reported to the appropriate taxing jurisdiction as
required by law. Any withholding requirements will be complied with. Taxation of any proceeds
should be discussed with your tax advisor. Taxes on the prizes are the sole responsibility of the
prize winners. If a US resident, an IRS Form 1099 will be filed in the name of the winners for the
value of the prize awarded, if required.
s. Participants agree to observe the following rules of conduct: 1) respect the other participants; 2)
do not use expressions that incite violence or forms of discrimination, obscenity, or defamation;
3) avoid content that is offensive, vulgar, defamatory, or that violates privacy or is otherwise
against applicable law, as well as advertising content or content that concerns political or
religious views or other such ideologies; 4) do not violate copyrights, trademarks, or other such
rights; 5) observe data-protection legislation of the country in which the participant is
participating; 6) do not receive outside assistance by way of e-mail or other forms of messaging.
7. Indemnities
a. The Event shall be governed by and construed in accordance with the laws of the State of New
York, without regard to its choice of law principles. All matters with respect to the Event are
subject to the exclusive jurisdiction of the courts in New York.
b. The Participant and their successors-in-interest hereby shall hold harmless and indemnify the
Event Management, Capgemini, and their respective employees, officers, contractors, partners or
other persons used by them in relation to this Event and hold them harmless against any loss,
claim, demands, costs, damages, judgments, expenses or liability (including legal costs) arising
out of or in connection with any or all claims, that may be brought against Capgemini, Event
Management, or by any third party in connection with the Participants/ participation in the
Event, winning the Competition, or awarding or the use or misuse of any prize, and shall
reimburse Capgemini, and/or the Event Management for any loss, costs, expense, or damage to
which said indemnity applies. Capgemini and/or Event Management (as the case maybe) shall
give the Participant written notice of any claim or actions covered by this indemnity, and
Participant shall have the right, at its own expense, to participate in any such action.
c. Any conflict within various provisions of these Terms and Conditions and interpretation of these
Terms and Conditions will be done by the Judges (for determining the winner or any connected
issues) or Event Management (for all other issues). The decision of the Judges and Event
Management shall be final and binding.

8. Disclaimers
a. Event Management has no obligation to screen the registration materials, the Content, or the
Materials, or any information contained therein in advance, and is not responsible for monitoring
applications, to prevent violation of intellectual property ownership rights, or violations of any
law, rule or regulation. If Event Management is notified of submissions or materials that
allegedly do not conform to these Terms and Conditions, it may investigate the allegation and

determine in good faith and in its sole discretion whether to reject an application from the Event.
The Event Management has no liability or responsibility to Participants or other users of the Web
Page for performance or non-performance of the Web Page.
b. The Web Page and any third party tools referred to and used during the Event (Third Party
Tools) are provided on an "as-is" basis without any warranties of any kind. To the fullest extent
permitted by applicable law, Capgemini and the Event Management disclaims all warranties,
express or implied, including, but not limited to, implied warranties of merchantability, fitness
for a particular purpose and non-infringement in respect of the awards, website, and Third Party
Tools. Without limiting the foregoing, Capgemini and the Event Management specifically
disclaim any warranty (a) that the Web Page and the Third Party Tools will be uninterrupted or
error-free, (b) that defects will be corrected, (c) that there are no viruses or other harmful
components that exist on the Web Site, or Third Party Tools (d) regarding the security of
information submitted, and (e) regarding correctness, accuracy, or reliability of such information.
If Participant's use of the Web Site, or Third Party Tools results in the need for servicing or
replacement of Participant's or another's equipment or data, Capgemini and the Event
Management are not responsible for those costs.
9. Limitation of Liability and Remedies
a. The Event Management reserves the right, in its sole discretion, at any time and at any stage of
the judging process, to reject or disqualify any Participant or application that is deemed ineligible
or for any reason that the Event Management feels is necessary and/or appropriate, including
without limitation, if that Participant has not complied with these Terms and Conditions or the
rules of the Event, the Event Management determines he/she is attempting to undermine the
legitimate operation of the Event by cheating, deception, or any other unfair playing practices or
intending to annoy, abuse, threaten or harass any other Participants or the Event Management,
the Judges, or has interfered, in Event Managements sole opinion, with the proper conduct of
the Event.
b. Participant and/or any party that accesses the Web Page, online entry form or PDF entry form
(individually the "visitor") agree that neither Capgemini nor any third party content or service
providers involved in the Event will be liable to visitor for any loss or damages, either actual or
consequential, arising out of or relating to these terms and conditions, visitor's use or inability to
use the Web Page, visitor's submission of an entry to the Web Page, or to visitor's reliance upon
information obtained from or through the Web Page, participation in the program, travel, or use
or misuse of any prize. Any claims, judgments and/or awards shall be limited to actual out-of-
pocket costs associated with entering the Competition. In particular, neither Capgemini nor its
third party content or service providers will have liability for any consequential, indirect,
punitive, special or incidental damages, whether foreseeable or unforeseeable (including, but not
limited to, claims for defamation, errors, loss of data, or interruption in availability of data),
arising out of or relating to the prizes, terms of use, visitor's use or inability to use the Web Page,
or to visitor's reliance upon information obtained from or through the Web Page, participation in
the Event, travel, or use or misuse of any prize, whether based in contract, tort, statutory or
otherwise.
