CONTRACT

KNOW ALL MEN BY THESE PRESENTS

This CONTRACT is made and entered into by and between:

COL RICARDO L NOLASCO JR PAF (RET), Filipino, of legal age,


with principal address at#30 Oxford Loop, Hillsborough, Alabang,
Muntinlupa City, hereinafter referred to as the OWNER;

_____________________________________, a duly registered enterprise


existing under the laws of the Republic of the Philippines with postal

its_______________, __________________________, hereinafter referred
to as the CONTRACTOR;

WITNESSETH : That

WHEREAS, the CONTRACTOR submitted a proposal to the OWNER for the construction of the

WHEREAS, the Board of Trustees approved the aforesaid proposal of the CONTRACTOR.

NOW, THEREFORE, for and in consideration of the foregoing, the parties agree as follows:

This document together with the proposal including modifications thereof shall constitute
the entire Contract.

IV. CONTRACT PRICE AND TERMS OF PAYMENT

4.1The OWNER for and in consideration of the works to be performed under this Contract,
shall pay the CONTRACTOR the amount of

V. GENERAL CONDITIONS

5.1. The CONTRACTOR shall secure the permits required in connection with the works
covered by this Agreement. The project cost shall include taxes, permits, licenses and
professional fees, except VAT for the preparation of plans and specifications of
whatsover kind or nature which may be required for the construction or may be due
payable for the tools, labor, equipment, materials and supplies necessary to the
performance and accomplishment by the CONTRACTOR of the works covered by this
contract.

5.2. The CONTRACTOR shall see to it that sufficient, safe and proper facilities are available
at all times for the inspection of the work by the OWNER or his duly authorized
representative.

5.3. The CONTRACTOR shall employ at the jobsite a competent and duly licensed
Civil/Structural Engineer or Architect who shall at all times personally supervise
performance and accomplishments of the works covered by this Agreement. The
CONTRACTOR shall further be responsible for all the works done by the persons
employed by him.

5.4. The CONTRACTOR shall answer for all losses and damages arising from any accident
which may cause the death or bodily injuries to any persons by or on account of the
CONTRACTOR's supervision under this Agreement. Such responsibilities of the
CONTRACTOR shall remain until they have finally completed the project.

5.5. Should the work be stopped by any public authority for a period of thirty (30) days or
more, though no fault of the CONTRACTOR, the OWNER may terminate this
Agreement. Should the work be stopped for a period of thirty (30) days or more by
reasons of any act or neglect of the OWNER, or should the OWNER fails to release to
the CONTRACTOR the sum due hereunder within thirty (30) days notice to the
OWNER, the CONTRACTOR may stop the work.

VI. WARRANTY

The CONTRACTOR warrants that work performed under this contract conforms to the
contract requirement and is free of any defect in equipment, material or design furnished or
workmanship performed. This warranty shall continue for a period of one year from the date
of final acceptance in order to trigger the contractor's obligation to make repairs without any
additional cost to the owner. If the CONTRACTOR fails to remedy any failure, defect or
damage within a reasonable time after receipt of notice from the OWNER, the OWNER shall
have the right to replace, repair or otherwise remedy the failure, defect or damage at the
CONTRACTORs expense.

VII: PENALTY

In case of delays beyond the agreed time of completion, the CONTRACTOR, for every
day of delay shall pay One-Tenth of one percent of the remaining contract price based on the
balance of work reckoned from date of expiration of the Agreement as liquidated damages.
However, the CONTRACTOR may file a request for agreement extension for delays incurred
due to force majeure or cause/s beyond the control of the CONTRACTOR.
