Deed of Sale with Mortgage

KNOW ALL MEN BY THESE PRESENTS

This DEED OF SALE WITH MORTGAGE entered into by and between

EZIO P. AUDITORE, of legal age, single, Filipinos, and No. 3B Shanum St.,
Baguio City, Philippines, hereinafter referred to as the VENDOR; and,

JOVANI A. AUDITORE, of legal age, Filipinos, and with address at


Motorpool, La Trinidad, Benguet, Philippines, hereinafter called the VENDEE.

WITNESSETH

WHEREAS, the VENDOR is the true and lawful owner of a parcels of


registered land located in Baguio City, Philippines and more particularly described
as follows

TRANSFER CERTIFICATE OF TITLE NO. T-143212

A parcel of land (Lot 6- E-6-A, Psd-CAR-00550), being a portion of


Lot 6-E-6, Psd-1-06531, Free Patent No. 1441 (ct No.926), situated at
Barangay Bakakeng, City of Baguio, Island of Luzon. Bounded on
the NW., along lines 1-2-3-4 by Creek (5-6 m. wide); on the NE.,
along line 4-5 by Lot 6-E-7, Psd-1-06531; on the SE., along lines 5-6-
7-8 by Lot 6-E-6-B, Psd-CAR-000530; on the SW., along line 8-1 by
Lot 1, (LRC) Psd-73793. Beginning at a point marked 1 on plan
being S. 13 deg., 05W., 1,257.97 m. from Triangulation station
Wright, Baguio Townsite; thence N. 26 deg., 03E., 4.00 m. to point
2; thence N. 26 deg., 03E., 18.26 m. to point 3; thence N. 26 deg.,
03E., 2.00 m. to point 4; thence S. 72 deg., 35E., 14.20 m. to point 5;
thence S. 26 deg., 21W., 2.00 m. to point 6; thence S. 26 deg., 21W.,
21.02 m. to point 7; thence S. 26 deg., 19W., 3.99 m. to point 8;
thence N. 61 deg., 22W., 13.91 m. to point of beginning, containing
an area of TWO HUNDRED [200] SQUARE METERS, more or less.
All points referred to are indicated on the plan and are marked on
the ground as follows: Points 1 and 4 by P.S. cyl. conc. mons. 15x60
cms., All the rest by P.S. cyl. conc. mons. 15x40 cms. Bearing true,
Date of Original Survey on Jan. 12-16, 1914; Date of Subdivision
Survey on August 10, 1990, executed by Engr. John P. Cutiyog and
was approved on January 24, 1990.

A parcel of land . . .
WHEREAS, the above-described properties are presently mortgaged to RCBC
SAVINGS BANK to secure the payment of two loans: the first with an original
obligation in the principal sum of P500, 000.00 contracted by the VENDOR
from the a forenamed mortgagee under the terms and conditions set forth in two
instruments of mortgage, the first one (Loan No. G256AS246) executed on
November 5, 2015 and ratified before Aquila Law Office, Notary Public in and

for 2016, as per Doc. No. 250, Page No. 125, and Book No. VII, Series of 2015
of his notarial register

WHEREAS, the VENDOR has offered to sell and the VENDEE has agreed to
buy the above-described parcels of land with all the improvements thereon for
the total price of P2, 500,000.00 payable in the manner and form set forth
hereinbelow:

NOW, THEREFORE, for and in consideration of the sum of P2, 500,000.00,


Philippine currency, the said VENDOR does hereby sell, transfer and convey, in
a manner absolute and irrevocable, unto the VENDEE, her heirs and assigns the
real property above described together with all the improvements existing
thereon, free and clear of all liens and encumbrances excepting the mortgagee as
may be subsisting in favor of RCBC SAVINGS BANK; and

The VENDEE does hereby accept this sale and binds herself to assume as she
hereby assumes the payment of the unpaid balance of the mortgage in
indebtedness of the VENDOR amounting to P500, 000.00 for the first loan as of
this date in favor of the aforenamed mortgagee and does hereby further agree to
be bound by the precise terms and conditions therein contained.

The SELLER shall secure the approval of the Mortgagee to the assumption by
the BUYER of the mortgages over the subject parcels of land.

BEFORE ME, a Notary Public for and in the City of Baguio, Philippines, this
22ndday of December 2016, personally appeared the above-named parties with their
identification papers and witnesses, representing themselves to me to be the same
persons who executed the foregoing Deed of Absolute Sale consisting of three [3]
pages including this page whereon this acknowledgement is written, and they
acknowledged to me that the same is their free and voluntary act and deed.
