PARTNERSHIP DEED

This deed of Partnership is executed at Agra on this Ist day of July 2017
between the following partners :
1. Shri Sonu S/o Shri Member Singh R/o 193, Deori Road, Agra
Ist Party
2. Shri Avtar Singh S/o Shri Hoshiyar R/o Solanki Kheda, Deori
Road, Agra.

WHEREAS the above named parties to this deed have mutually agreed
and entered into partnership for the purpose of carring on the business
of Footwear under the name and Style of M/s S.S. Footwear
The terms and conditions of partnership as agreed between
the partners are being reduced in writing.
NOW THIS DEED DECLARES AS UNDER :
1. That the partnership firm and its business shall continue to be
carried on under the name and style of M/s S.S. Footwear Situated
at 193, Deori Road, Agra.
2. That the partnership business shall be deemed to have been
commenced w.e.f. 01/07/2017.
3. That the business of partnership firm shall be manufacturing and
the trading of all kinds of footwear etc.
4. That the partnership is At WILL.
5. That the partners shall been their individual tax liabilities. The firm
shall not be held liable for individual tax liability or for personal
acts and liabilities of the partners to this deed.
6. That the profit or loss of the firm shall be divided between the
partners in the ratio as follows :
 1. Sonu S/o Sh. Member Singh @ 50%
2. Avtar Singh S/o Shri Hoshiyar @ 50%
7. That intt. on capital shall be paid to partners subject to maximum of
@ 12% p.a. on the amount credited in their respective capital
accounts. The rate of intt. can be increased or decreased with the
mutual consent of the partners.
8. That both the partners to this deed are working partners and shall
devote their time and attention to the business of the firm as
working partner. They shall be entitled to salary/remuneration in
consideration of their time and devotion to the business affairs and
the same shall be credited to their capital account. The aggregate
amount of remuneration payable to working partners will be
computed as under :
(a) On the first Rs. 75,000/- Rs. 50,000/- or 90% of book
profit
(Whichever is more)
(b) On the next Rs. 75,000/- 60% of book profit
(c) On the Balance of book profit 40% of book profit
The aggregate remuneration shall be distributed equally between
the partners.
9. That any dispute or difference that may between the parties to this
deed their representatives or heirs with regard to the const. of this
instrument, in respect of accounts, profit and loss of the business of
the right and liabilities of the partners of the Dissolution of winding
up of the business or any matter relating to the firm, the same shall
be referred to the arbitration and the provisions of the Indian
Arbitration Act shall be apply to such difference or disputes.
(a) That all the partners shall be authorized to deal in all the matters
concerning the business affairs of the firm including signing
tenders, agreements, instrument, and documents of all kinds and to
represent the firm jointly or severally before any authority
 including Govt. or semi-Govt. office or officers or company or
companies etc. and would also be entitled to receive any
documents, drafts, pay orders, cheque, refunds etc. on behalf of the
said firm. The firm shall be bound for his/her/their acts or
agreements and other undertakings
(b) That the firm may allow to operate its bank accounts/or open bank
account/accounts with bank or bankers to any person or person. The
person so designated shall be entitled to operate upon the bank
account/accounts, draw, endorse assign, cheques, hundies or other
negotiable instruments etc. individualy or jointly.
10. (a) That all the provision of the Indian Partnership act, 1932 as
amended from time to time shall apply to mattrs not specifically
mentioned in this deed.
(b) That for all other matters not specifically, mentioned in partnership
deed shall be decided by mutual consent.
11. That this partnership deed has been executed on a prescribed stamp
paper which is the maximum prescribed in the stamp Act, 1899 as
amended up-to-date.
IN WITNESS whereof this deed of Partnership has been executed
on the date and place mentioned above in the presence of the
witnesses mentioned here in after.
