Journey Management Group, Inc. agrees to lease out the Venue to Lessee, subject to the following terms and conditions:

1 Venue Hire Agreement
1. Definitions
Unless otherwise provided herein, the following words shall
have the meaning herein below stated:
(a) Agreement shall refer to the Venue Hire Agreement
including the Schedule and the Proposal hereto
respectively attached as Annexes A and B as
integral parts of the Agreement
(b) Venue shall refer to Platform One or such area in
Platform One as specified in the Schedule, and shall
include the facilities therein
(c) Junction shall refer to The Junction Tagaytay
(d) Journey shall refer to Journey Management Group,
Inc., the manager of the Junction
(e) Lessee shall refer to the entity leasing the Venue
including its employees, agents, contractors, and
guests
(f) Guests shall mean guests, patrons, or visitors of Lessee
for the Event
(g) Party shall refer to Journey or Lessee and Parties shall
refer to both Journey or Lessee collectively
(h) Event shall refer to the purpose for which the Venue is
being leased by Lessee as stated in the Schedule and
the Proposal.
2. Purpose
The Lessee shall not use the Venue for any other purpose
other than that stated in the Schedule.
3. No Representation
The Lessee acknowledges that it has inspected the Venue
prior to the execution of this Agreement and finds the same
suitable and safe for the holding of the Event. Journey does
not warrant nor represent the Venues suitability for the
Event and Lessee hereby holds Journey free from any
liability of whatever nature in regard to this.
4. Lessees General Obligations during the Event
The Lessee agrees:
(a) not to commit or undertake anything which is, or is
likely to be, detrimental to the prestige, reputation, or
image of Journey and/or the Junction;
(b) to comply with all relevant guidelines, rules, and
regulations (including, but not limited to, those relating
to the sale and consumption of liquor) by Journey and
as may be provided for by law;
(c) to obtain, at its own expense, and, if required, to
produce evidence of, all permits, licenses, and
consents necessary for the holding of the Event;
(d) to keep the Venue in a sanitary condition;
(e) not to introduce any alteration to the Venue nor install
or make any fixtures or improvements without the
prior written consent and approval of Journey;
(f) to forthwith vacate the Venue and remove all
belongings and materials brought into the Venue by
the Lessee upon the expiration of the Event Term,
without any damage to the Venue
(g) to ensure that the stairs leading to the Venue remain
free from any and all forms of obstruction at all times;

(h) not to affix, inscribe, or paint nor cause the affixing,
inscribing, or painting of, any notice, sign, or posters
on any part of the Venue.
(i) ensure that the number of guests does not exceed the
maximum number of permissible guests set out in the
Schedule.
5. Cancelation of the Event
In case the Event or any portion thereof is cancelled for any
reason by Journey, the Parties shall endeavor to re-schedule
the cancelled Event or portion thereof within thirty (30) days
from the date of cancellation. Should re-scheduling be not
possible within the 30-day period, this Agreement shall be
deemed automatically cancelled. Journey shall in no way be
liable to the Lessee by reason of such cancellation or any
incident thereof.
6. Fees
Lessee shall pay Journey the amount indicated in the
Schedule (the Fee). Any Value-Added Tax that may be
payable on the Fee shall for the Lessees sole account.
Unless different payment terms are provided in the
Schedule, in which case such terms shall prevail, the total
Fee, as stated in the Schedule, shall be paid by Lessee as
follows:
(a) A non-refundable deposit equal to 50% of the contract
price should be paid upon confirmation or signing of
the contract.
(b) Full payment and additional charges incurred during
the Event shall be paid by the Lessee immediately after
the Event.
Non-payment of the Fee, or a portion thereof or the
additional charges, on the relevant due date shall entitle
Journey to the following cumulative remedies: (a) cancel the
Event; and, (b) assess Lessee with a three percent (3%) per
month penalty charge on the unpaid Fee and charges,
computed per day of delay until fully paid.
7. Materials
In case Lessee fails to remove its property, materials and
belongings from the Venue immediately upon the end of the
Event, this shall be deemed abandonment by Lessee of its
properties, which shall give Journey the right to dispose of
the properties at its sole discretion.
8. Access
Lessee acknowledges Journeys right to free, unhindered
and unrestricted access to the Venue during the Event.
9. Security
Journey shall provide security services generally available to
the Junctions clients, guests, and tenants from the start of
the Event up to its completion. However, Journey shall in no
way be responsible for thefts or deaths and injuries to the
Lessees properties or employees, agents, contractors, and
guests unless the same is shown to be caused by Journeys
gross negligence.
 The Lessee undertakes to abide by the rules and regulations,
as well as the security and safety measures of Journey while
within the Venue.
10. Copyright
The Lessee warrants to Journey that all performances at the
Venue shall be carried out with the necessary consent,
authorization, or permission and that such performance
shall not infringe upon any copyright or intellectual property
rights of any person or entity.
11. Force Majeure
Neither of the Parties shall be under any liability for failure
to perform any of their obligations herein if such failure is
caused by or results from the occurrence of any of the
following:
(a) Any event, cause, or condition that is beyond the
reasonable control of either or both of Parties
and that prevents either or both of Parties from
performing any of their respective obligations
under this Agreement;
(b) Acts of government authorities, including
injunction or restraining orders issued by any
judicial, administrative, or regulatory authority;
(c) National defense requirement;
(d) Labor disputes, strikes, or lock-outs, including any
failure to settle or prevent such event which is in
the control of any party;
(e) Acts of God, including fire, explosions, unusually
or unforeseeably bad weather conditions,
epidemic, or earthquake; or,
(f) Acts of public enemies, including war, civil
disturbance, terrorism, or insurrection.
Any Party shall give written notice to the other Party
promptly upon its knowledge of the occurrence of any of the
foregoing.
12. Indemnity
The Lessee assumes full responsibility for any and all
damages and/or injuries that may be caused to Journey, its
employees, guests, customers, or representatives, or any of
the properties of the foregoing persons, by reason of the
fault or negligence of the Lessee. The Lessee further
warrants that it shall hold Journey free and harmless from
any and all claims and suits resulting from the Lessees
holding of the Event and/or violations of the terms of this
Agreement.
13. Remedies
Upon Lessees breach of any provision of this Agreement
and upon failure to cure the same within reasonable time
from receipt of Journeys notice specifying the breach,
Journey may, at its sole option, cancel the Event, in whole or
in part, and evict the Lessee from the Venue.

3 Venue Hire Agreement
When used, reasonable time shall mean (i) immediately, in
case of any breach occurring during the Event; and (ii) within
twenty-four (24) hours, in case of any failed payment or any
other breach.
14. Settlement of Disputes
In the event of any differences, disputes, or controversies
that may arise in connection with this Agreement, the
Parties agree that they would first meet, confer, and sit
down together for the purpose of exploring all avenues
and/or possibilities of amicably settling such differences,
disputes, or controversies. In case Parties fail to amicably
settle any such differences, disputes, or controversies arising
out of the interpretation or operation of any aspect of this
Agreement, then the suit with respect thereto shall be
brought only in the courts of Tagaytay City, Philippines, to
the exclusion of any other courts.
15. Authority
Parties warrant and represent that they have full legal right
and authority to execute and deliver this Agreement and to
perform and observe the terms and conditions hereof.
16. Binding Effect, Assignment
This Agreement shall be binding upon and shall inure to the
benefit of Parties and to their successors and assigns.
Nothing in this Agreement shall be construed to permit the
assignment by Lessee of any of its rights and obligations
herein, and such assignment is expressly prohibited without
the prior written consent of Journey.
17. Notices
Any notice, consent, or request given pursuant to this
Agreement shall be deemed to have been duly given if
dispatched by either party hereto by registered post or
personal service addressed to the other party as in the case
of Journey, at its office at The Junction Hotel, J.P. Rizal St.,
Kaybagal South, Tagaytay City for the attention of The
General Manager, and in the case of Lessee at the address
appearing on the Schedule for the attention of the person
indicated in the Schedule.
18. Waiver
No waiver of rights in any provision of this Agreement shall
be valid unless made in writing and signed by the signatory
of the party against whom it is sought to be enforced. The
failure of a party at any time to insist upon strict
performance of any condition, promise, agreement, or
understanding as set forth herein shall not be construed as a
waiver or relinquishment of the right to insist upon strict
performance of the same or other condition, promise,
agreement, or understanding at a future time.
19. Severability
If one or more provisions of this Agreement shall be held
invalid, illegal, or unenforceable, the remaining provisions
shall remain in, and shall be given, full force and effect.
20. Entire Agreement
 This Agreement represents the entire and integrated
agreement of the Parties with respect to the subject matter
hereof, and supersedes all prior agreements, oral and
written.

21. Amendments

No amendment of this Agreement shall be valid unless the

same is made in writing and is duly signed by the parties to
signify mutual agreement.
