An examination of our file relating to the above company (the Company) indicates that the
Company has failed to comply with its statutory obligations.

1) Pursuant to Section 273(8) of the Companies Act 1931 - The Company has failed to file its
annual return.
2) Pursuant to Section 273(10) of the Companies Act 1931 - The Department has received a
notice from the person having control of the premises at which the Company purports to
have its registered office stating that the Company does not have authority to maintain its
registered office at the premises.
This letter is addressed to you by the Department to enquire whether the Company is carrying on
business or in operation. If it is the case, we would draw your attention to the statutory obligation
of the company to meet this requirement and to the liability of the company and its officers, for
failing to do so. If this is not the case, please contact this office immediately.
If an answer to this letter is not received within two months from this date, a notice will be
published with a view to striking the name of the Company off the register after a further
two-month period. The notice will be published a) in one edition of a newspaper published and
circulating in the Isle of Man, b) on the Departments website for a minimum period of one month
and c) by the Department maintaining a current list of all companies in respect of which notice has
been published and making such list available for public inspection.

Please note, however, that:


1) the Company shall be deemed not to be in operation until all outstanding returns are
forwarded to the Department (Section 273(8) of the Act); and
2) on dissolution of the Company, the liability (if any) of every director, managing officer and
member of the Company shall continue and may be enforced as if the Company had not
been dissolved (Section 273(5) of the Act); and
3) any property owned by the Company on dissolution shall vest in the Treasury in trust for
the Crown (Section 274(1) of the Act).
