TESLA OWNER’S CLUB PROGRAM

Tesla Owner Clubs are a community of owners and enthusiasts committed to evangelizing Tesla’s mission to
accelerate the world’s transition to sustainable energy. Club members can help advocate for the company by
supporting legislative efforts, offering test drives, volunteering at shows, assisting prospective owners, hosting
social events and passionately referring friends and family to explore Tesla ownership for themselves.

Tesla intends to support Tesla owners’ clubs that comply with the conditions stated below (Eligible Clubs) with
certain benefits as described as follows:

EVENTS
• Tesla intends to provide access to a Tesla Store / Service Center of Tesla’s choosing to hold a club event up to
once per calendar year. This event will be funded by the Eligible Club and will adhere to any rules and
restrictions applied by the Tesla store / service center, e.g., date / time / maximum number of attendees.
Liability insurance is to be provided by the Eligible Club.

• Tesla will allow a small quantity of Club specific business cards to be held in BOH (Back of House) areas of
Stores / Service Centers. These will not be not be proactively offered, and will only be provided upon
customer request.

• Tesla may arrange for product specialists or other personnel to attend such club events.

• Where applicable, Tesla intends to share lists and contact information of previously used vendors and local
event support contacts. Such third parties are unaffiliated with Tesla and their engagement will be the Eligible
Club’s sole responsibility.

• Note: Tesla will not communicate non-public information at events ahead of its release to the media, i.e., there
will be no “first previews” at club events.

ANNUAL MERCHANDISE DISCOUNTS

• Tesla intends to provide a 35% Tesla merchandise discount code to the president (or equivalent) of each
Eligible Club, once per calendar year.

• The usage of the discount code will be at the Eligible Club’s discretion, although Tesla suggests that it be used
for purchasing merchandise for use or distribution at the Eligible Club’s annual club event.

• Each discount code may be used for one transaction only and will expire one year from issuance. Tesla does
not expect to place any restrictions on the quantity of items purchased in each transaction, although Tesla
reserves the right to designate the merchandise eligible for the discount. The discount code may not be used
towards the purchase of a Tesla vehicle.

INFORMATION AND SUGGESTIONS
• Tesla intends to create a distribution list, including one contact designated by each Eligible Club (the Club
President), to facilitate communication with Club Presidents.

• Tesla intends to offer Eligible Clubs a direct line of communication to provide comments and suggestions to
Tesla. Each Club Contact will be provided with an email address that will be monitored by Tesla, with messages
routed to Tesla’s Supercharger, Destination Charger and Real Estate teams as appropriate. Emails received
from non- Club Contacts will be automatically filtered and deleted. 


ELIGIBILITY REQUIREMENTS AND CONDITIONS

To be an Eligible Club, an organization must comply at all times with each of the following:

• Maintain a minimum membership in excess of 25 Tesla owners.

• Become party to and comply with Tesla’s standard NDA and Tesla Owners’ Club Limited License Agreement,
under which:

• Tesla would license the Tesla name and Tesla brand features to the Eligible Club, subject to Tesla’s
approval of each usage.

• The Eligible Club would agree to maintain a separate identity and distinctive branding and assist in
protecting Tesla’s branding.

• In the event that multiple Clubs have overlapping geographic areas, Tesla reserves the right to
request official club names reflect more specific regions (i.e. ‘Northern California’ rather than
‘California’)

• The Eligible Club would agree to treat its members and others fairly, including by informing Tesla before
selling any products or services.

• Assist Tesla in curbing IP Infringement.

• Notify Tesla of changes in the Eligible Club’s presidency (or equivalent) and if different from such person,
appoint a reliable Club Contact for Tesla to engage with on important issues.

• Provide reasonable assistance in the following areas:

• Supporting local legislative efforts.

• Participate in surveys or focus groups.

• Participate in “test” groups for new software.



GENERAL
Unless otherwise specified in the Tesla Owners’ Club Limited License Agreement with Tesla, all actions of Tesla
stated here will be entirely subject to Tesla’s discretion, availability and commercial feasibility. Any and all
benefits or Tesla actions are contingent upon the good faith of the Eligible Clubs and may be revoked upon a
breach of that good faith (e.g., forming multiple Eligible Clubs with overlapping members for the purpose of
obtaining multiple benefits, transferring Eligible Club benefits to non- members or for value, or misrepresenting
the Eligible Club’s affiliation with Tesla).
