MEMORANDUM OF ASSOCIATION OF

MEMENTO MORI HOSPITALITY PRIVATE LIMITED

I. The Name of the Company is "MEMENTO MORI HOSPITALITY PRIVATE

LIMITED".

II. The Registered Office of the Company will be situated in the Union Territory of
Lakshwadeep.

III. The Objects for which the Company is established are :-

A. MAIN OBJECTS:

Main objects to be pursued by the Company on its incorporation are:

1. To establish and carry on in India or elsewhere the business to acquire, undertake,

promote, run, manage, own, lease, convert, build, commercialize, handle, operate,
renovate, construct, maintain, improve, exchange, furnish, recondition, hire, let on hire,
develop, consolidate, subdivide & organise, hotels, motels, restaurants, rest houses, bars,
lodging house keepers, hill resorts, farm houses, refreshment rooms, swimming pools,
golf courses, play fields, water sports, winter sports, apartments, housekeeper, cottage or
green grocers, licensed victualere, places of amusement, recreations, art galleries, sports,
entertainment, health clubs, traveling agencies, motor cabs, theatrical and opera box
offices, health centers, Yoga centers, sports clubs, and to do all incidental acts and things
necessary for the attainment of foregoing objects.

2. To carry on the business of professional caterers, bakers, confectioners, cooks, wine and
beer merchants, ice cream vendors, pastry shop owners, spirit merchants, distillers,
brewers, importers and manufacturers of aerated minerals and artificial waters and such
other drinks.

3. To carry on the business of tourism developer, agent, contractors and to provide facilities
for tourists and travelers and to facilitate traveling by land, air, sea, inland, waterways
and space and to promote tourism and to provide for the convenience of all kinds to
tourists by way of accommodation guidance, provision for boarding and lodging,
reserved places, hotels, libraries, health clubs, safe deposits, enquiry bureaus, reading
rooms and otherwise for Indian as well as foreign tourists.

4. To purchase, take on lease, hire, erect of otherwise acquire, establish and equip and to act
as technicians of any other such hotels, motels, holiday camps, restaurants, canteens,
cafes, pubs, bars, refreshment rooms and casinos in India or in any other part of India.

5. To act as agents of any hotel Company or as buying or selling, franchisee, agents of any
hotel company, and to do and perform all duties, services, and offices which the agents of
any hotel company usually do and perform and undertake and to become bound by
conditions of any agreement entered into for any of the purposes aforesaid.

6. To own, operate, hire, lease out cruises, ships, yachts and other water sports facilities and
to make provision for amusement, transport and conveyance of tourists and passengers
between different destinations and to become sole distributor, agent, dealer for such
cruise, ships, yachts and other water sport facilities.

B. THE OBJECTS INCIDENTAL OR ANCILLARY TO THE

ATTAINMENT OF THE MAIN OBJECTS ARE:-

1. To acquire, take over and undertake the whole or any part of business as a going concern
along with all assets and liabilities, license, quotas, rights, entitlements etc. from any
person, firm or company.

2. To substitute or contract with any person, association, firm, corporation or body

corporate whether within or outside India for franchise, technical collaboration, know-
how, training or techniques or for such other purpose that may be beneficial or conducive
to the objects of the Company.

3. To acquire by purchase, lease, exchange, or otherwise land, building, and hire

detachments of any tenure or description and estate and interest therein, and any right
connected with the land and either to retain the same for the purpose of company’s
business or turn to account as may seem expedient.

4. To erect, acquire or take on lease or hire or sell factories, shops, buildings, sheds suitable
for the business of the company.

5. To import, manufacture, purchase, sell and deal in any of the raw materials, equipment,
spare parts, and other materials required for the attainment of the main objects.

6. To enter into any arrangement with Government or any Government Authority (supreme,
local, municipal or otherwise) that may seem conducive to the company's objects or any
of them and to obtain from any Government or authority all rights, concessions or
privileges, which the company may be desirous of obtaining in connection with its
business and to carry out, exercise any such arrangements, rights, privileges and
concessions.

7. To design, develop, alter, exchange, process, manufacture, deal, either as principals or as

agents, let on hire buildings, plant & machinery, godowns, import/export technical know-
how, plant and machinery, raw materials and structures or other equipment used in the
business specified above and ancillary thereto.

8. To institute, conduct, arbitrate, defend and compromise any legal proceedings against and
by the Company.

 C. THE OTHER OBJECTS ARE:-
1. To carry on, in any mode, the business of store -keepers in all its branches
and in particular to buy, sell, and deal in goods, store s, consumable articles,
chattels and effects of all kinds, both wholesale or retail.
2. To carry on business as importers and exporters of goods or merchandise of
any description or to act as shippers, commission agents, advertising agents,
traveling agents, transport agents, forwarding and clearing agents, brokers,
estate agents and hardware merchants.

IV. The Liability of the members is Limited.

V. The Authorised Share Capital of the Company is Rs.5 00,00,000/- (Rupees

Five Crores only) divided into 50,000 (Fifty Thousand) Equity Shares of
Rs.1000/- (Rupees One Thousand only) each with power to increase or
reduce, subdivide or consolidate the capital and to divide the shares in the
capital into several classes and to attach thereto such preferential, deferred,
qualified and special rights, privileges or conditions in such manner as may
be from time to time be determined by the company subject to the provisions
of the Companies Act, 1956.

We, the several persons whose names, addresses and descriptions are subscribed below, are
desirous of being formed into a company in pursuance of this MEMORANDUM OF
ASSOCIATION and we are respectively agreed to take the number of equity shares in the
capital of the company set opposite to our respective names.
