The Young Enterprise (YE) Program was introduced to Malaysian secondary schools in 1989
by the American Malaysian Chamber of Commerce to give you an opportunity to learn about
business through hands-on experience.

The YE Program, also known as Program Pengusaha Muda Malaysia is similar to the U.K.
program, which is more than 50 years old, and to Junior Achievement in the United States.
Malaysia is the first country in this region to adopt this program as an extra-curricular activity
for secondary school students.

Only 25 participants called “Achievers,” are selected from each school to form a mini-company.
Over a period of nine months, you will learn how to run a company with the assistance from the
Advisors from your sponsor company.

This program is designed to let you learn how to run a business, and to learn proper business
procedures. You will also be given the privilege of operating a real corporate bank account.

YE will also lead you through the complete life-cycle of a company, from capitalization to
voluntary liquidation.

Young Enterprise student companies often make profits. However, the success of the program
is not judged solely by financial results, but rather in developing teamwork and business skills
as a foundation for future achievements.

About AMCHAM

The American Malaysian Chamber of Commerce (AMCHAM) is a non-profit, apolitical, proactive


international business association founded in 1978 as the American Business Council. The
present name was adopted in 1993. AMCHAM represents the interests of approximately 800
members from over 350 corporations.

Member companies are active in all sectors of business conducted between Malaysia and
the United States of America including: oil and gas, petrochemicals, electronics and other
manufacturing, information technology services, infrastructure development, transportation,
and financial and other services. AMCHAM is affiliated with the Asia Pacific Council of American
Chambers of Commerce (APCAC) and with the U.S. Chamber of Commerce.

AMCHAM Mission Statement


AMCHAM supports members’ business interests and Malaysian economic growth through
proactive and effective representation, communication and information sharing. This mission
is achieved by developing mutually beneficial relationships and ongoing programs and dialogs
among its members and with the governments of Malaysia and the United States.

• To promote and develop mutually-prosperous commercial, cultural, and community
relations between U.S., Malaysian and other international businesses and organizations.
• To represent and express members’ viewpoints on trade-related issues to both the U.S.
and Malaysian governments through channels of communication and dialogue.
• To collect, evaluate, and disseminate relevant business and policy information to
members. To educate members through luncheons, seminars and publications.
• To support Malaysian initiatives through community service programs, including the
Young Enterprise Program and the AMCHAM-MACEE Scholarship.

business and government contacts in Malaysia.

Malaysian American Electronics Industry (MAEI)

MAEI was formed in 1989 and it is a committee of the American Malaysian Chamber of Commerce
(AMCHAM). MAEI consists of 22 member companies covering both the semiconductor and the

Junior Achievement Worldwide

Junior Achievement was founded in 1919 by Theodore Vail, president of American Telephone
& Telegraph; Horace Moses, president of Strathmore Paper Co.; and Senator Murray Crane of
Massachusetts. Its first program, JA Company Program, was offered to high school students
on an after-school basis. In 1975, the organization entered the classroom with the introduction
of Project Business for the middle grades. Over the last 30 years, JA has expanded its activities
and broadened its scope to include in-school and after-school students.

JA Worldwide® (Junior Achievement) is the world’s largest organization dedicated to educating


students about work readiness, entrepreneurship and financial literacy through experiential,
hands-on programs. Junior Achievement programs help prepare young people for the real
world by showing them how to generate wealth and effectively manage it, how to create jobs
which make their communities more robust, and how to apply entrepreneurial thinking to the
workplace. Students put these lessons into action, and help strengthen their communities.

Business Purposes and Objectives
1. Select a name for your company. Design a logo.

2. Set your company objectives: (answer the following questions)


– What business to go into?
– Why (this type of business)?

3. Find out who will be your customers for the products or services you have chosen.

4. Find out if you have competitors for the products or services you have decided on. If you
have competitors, find out what they offer.

5. Design a simple brochure to tell people about your company. (see sample brochure on Page
46)

The Young Enterprise Company


The Young Enterprise Company is a scaled-down, limited company.
A limited company is created when its Board of Directors adopt a document called a
Memorandum of Association, which contains details of the company’s objectives. The Articles
of Association contain details of how the company intends to organize its business activities.

All employees are paid salaries. A limited company also pays corporation tax at the end of each
year based on its annual net profit.

Business Plan
Your initial plan needs to describe what is necessary to get the business started and requires
answers to questions such as:
• What is the business all about?
• Who will be running the company and how will it be organized?
• What products are to be offered?
• Who will be the customers?

10 Steps To Forming A Young Enterprise Company
Step 1: Selection Of The Board Of Directors
This is a very important step. The group of Achievers should be a good mix of different
personalities. You select your own Board of Directors. Remember that good friends don’t
necessarily do a good job! Your Advisors will guide you.

Step 2: Identify Your Organizational Structure


We suggest a structure that reflects a manufacturing company. See the organization chart on
Page 16. Each Achiever must have a position in the company. Read this guide to familiarize
yourself with the various job functions. Ask your Advisors for more details.

Step 3: Choose Your Company’s Business (Products Or Services)


Draw up your business plan. This will help your company to function better. Refer to the
previous page.

Step 4: Choose A Company Name


Please remember that you CANNOT add “Sendirian Berhad” or “Berhad” to your company’s
name. As the YE Company operates only in your own school, you need not add “Sendirian
Berhad” or “Berhad” to your company’s name.

Step 5: Make A Company Rubber Stamp And Brochure


The rubber stamp should have the name of your company and school address. You need
this for your cheques, so make it 2” x 1” so that it fits your cheques. A company logo is not
required on the stamp. ( A company brochure may have information about your company and
the business you plan to do. This will be a useful introduction to your prospective shareholders.)

Step 6: Complete The M&A Documents


M&A stands for Memorandum & Articles of Association. The form is included in the “sample of
forms’ booklet. Fill in the required information.

Step 7: Register Your Company With The Secretariat


Register your company with the Young Enterprise Secretariat in your area. You will receive a
Certificate of Registration from the Secretariat.

Step 8: Selling Of Shares


Now, you are ready to sell shares to your schoolmates, friends, teachers, or family members.
Each share is priced at RM2. Remember, one person can only buy a maximum of five (5) shares.
Write “five shares” in one certificate. Do not exceed your authorized capital of RM800.

Step 9: Open A Bank Account


Open a savings account with any bank that is convenient for you. Seek the guidance of your
teacher advisor to accompany you to the bank.

Step 10: Begin Company Operations


Now that you have completed the paperwork, it is time to do business! Please note the
restrictions mentioned on Page 36. Good luck with your business!

Research & Development Manager

The Person
The R&D Manager works closely with the Marketing Department to turn customers’ needs into
creatively designed products that are easy to manufacture and sell.

Job Description and Responsibilities


1. Studies the customers’ needs and creates the products.
a) He(She) develops new products. He must know the various types of raw materials
required. He gives the specifications to the Purchasing Manager. Specifications can
be the color, size,weight, thickness of a particular material needed.
b) He also looks into the materials used to make an existing product. He may recommend
new or different materials to make a product more attractive or less expensive.

2. Designs prototypes of new products which the marketing department will use to conduct
market survey. (A prototype is a model of a product which is being planned for production.
This is just to gauge the demand for the product)

3. The R&D manager also develops the process flow for all products. He draws up the various
steps to make a product which he must discuss with the Production Manager. Sometimes
the steps need to be changed, so that it is possible to make more products in a shorter time.

4. Responsible for making sure the products made are safe to manufacture and use (e.g., the
product does not use toxic or dangerous materials such as gases or glass).

The Person
The Production Manager is responsible for the implementation of the process flow, for turning
raw materials into the finished product.

Job Description and Responsibilities

Plans - Plans for the delivery of raw materials to meet the production schedule,
plans the output required to meet customers’ requirements, and plans the
number of people required to meet the production schedule.

Organize - Organize training sessions for the team to acquire necessary skills to
perform all production tasks to meet the quality standards set.

Direct - Directs the production team to perform specific tasks along the process
flow, and meets quality goals within a reasonable cost.

Lead - Leads the team to meet the production schedule and targets while
maintaining the systems of control on the line.

Motivate - Coaches and motivates the Production Team to maintain an acceptable


level of performance, efficiency and effectiveness. The team must always
be inspired to take on challenges and deliver their BEST.

Control - Maintains good discipline and teamwork among the workers. He also
keeps track of all Production Records like raw materials usage, scraps/
rejects,workers attendance, delivery records and labor pay out.

Quality Control Manager

The Person
The Quality Control (QC) Manager monitors and maintains the quality of the products made by
the company.

Job Description and Responsibilities


1. Specifies the quality standards for all products.
a) Works with the Purchasing Manager to ensure that the raw materials are of the quality
and specifications given by the R&D Manager.
b) Informs the production team of the quality standards and makes sure that everyone
understands.

2. Carries out regular quality checks along the production process flow.

3. Ensures that all products conform to quality standards which have been set.

Purchasing Manager

The Person
The Purchasing Manager is responsible for all purchasing matters related to the manufacturing
of a product; these include materials and services.

1. Finds the raw materials needed for production at the best price. Materials must meet the
specified quality standards
2. Maintains stocks on a “just-in-time” basis. (Buys sufficient stock of raw materials to
manufacture the desired quantity. Ensures that there is sufficient stock of raw materials for
each production session).
3. Maintains proper record keeping (e.g., purchase order, bills, etc.), and hands all bills to the
Finance Director to make payments.

The Person
The Marketing Director is responsible for the market survey and product promotion.

1. Conducts market surveys and creates the survey questionnaire.
2. Tabulates the results of the market survey.

4. Researches customers’ needs -
– e.g. finds out about special projects in school or determines if special items can be offered
for a special occasion.

Sales Director
The Person
The Sales Director ensures that the company’s sales targets are achieved.

1. Creates a sales plan (i.e., sets monthly sales targets).

• What is the duration of the sales period?

2. Plans the commission structure of the sales staff.

The Person
The Human Resources (HR) Director takes care of all the company’s personnel affairs, including
recruitment, training and staff welfare.

Job Description and Responsibilities


1. Looks for the right kind of people for all positions in the company. Knows what skills are
required for a particular job, and maintains employees’ records and attendance. (This
includes putting up notices, interviewing candidates, and hiring people )
2. Responsible for training employees, and developing training materials together with the
Production Manager.
3. Ensures employees’ safety at the workplace. (e.g., ensures the right tools are provided, and
the employees know and understand safety precautions.) In the case of an accident, the
HR Director is responsible for reporting it immediately to the Managing Director and to an
Advisor. The accident report form is in the “Sample of Forms” booklet.
4. Implements company policies and ensures that these are adhered to.

The Person
The Company Secretary is responsible for all record keeping and administrative matters of the
company.

Job Description and Responsibilities


1. Completes and submits the company registration documents. Keeps the M&A
(Memorandum and Articles of Association) and company registration certificates.
2. Maintains the Share Register.
(the record of shares sold, names and address of shareholders)
3. Maintains record of contact addresses and telephone numbers of Achievers and Advisors.
4. Takes charge of administration matters. (e.g., correspondences on behalf of the Board
of Directors). Takes pictures of company activities, including production session, sales
activities, etc.
5. Records minutes of meetings.
6. Prepares for the Annual General Meeting (AGM)
– compiles the annual report of the company
– makes all the necessary arrangements for the meeting
7. Helps to co-ordinate payment of dividends to shareholders at the AGM.

The Person
The Finance Director safeguards the company’s assets and funds. He maintains proper
accounting records.

Job and Responsibilities


1. Keeps a proper up-to-date record of all financial transactions.

2. Handles all payments and banking transactions.
3. Handles the costing and pricing of products with the Production Department.
4. Ensures that all sales transactions are recorded.
5. Issues the salary and commission payments on a timely basis.

3. Submit accident report form as and when required.

Store Keeper
1. Receives, unpacks and stores the stocks/supplies in a save place.
2. Checks the incoming orders against items listed on requisitions, invoices or other proper
forms for correct counts.
3. Initiates orders and supplies as needed; delivers and picks up supplies and materials to
location as required.
4. Maintains records and makes physical count of stock on hand, and prepares reports as
necessary.
5. Maintains stockroom in clean and orderly manner.

Company Closure - Audit, Liquidation And AGM
At the end of the Company’s life cycle, prepare for its closure. This is the list of things to do:

Young Enterprise Achievement Awards
I. The Best Product Award

Objective:
To recognize a successful product of a YE Company. The product must be one that is made by
the YE Company. This is the product that sustained the company’s business.

Eligibility:
All companies registered with the Young Enterprise Secretariat in Malaysia are eligible to
participate in this award.

Entry requirements:
The number of product entries is limited to ONE for each company. The entry must be submitted
with the entry form, the product and the product write up describing the manufacturing process
and the planning of the product. The write-up should not exceed 12 pages, including the front
and back covers. Each entry must be endorsed by the Teacher and Corporate Advisor.

Criteria for Adjudication:


The product will be judged on the product itself and the write-up of the product. Products that
copy patented designs or carry copyright logos will be disqualified. Part or whole products
commissioned to an outsider will be also be disqualified.

II. The Best Annual Report Award

Objective:
To recognize and encourage the highest standards in the presentation of financial and other
corporate information to shareholders, who may have an interest in the performance and
nactivities of the Young Enterprise Companies.

Eligibility:
All companies registered with the Young Enterprise Secretariat in Malaysia are eligible to
participate in this award.

Entry requirements:
The entry must be accompanied with the prescribed entry form. Please submit one copy of the
annual report ending August 31 of the current year. The annual report should not exceed 30
pages, including front and back covers. Please print on single side of the sheet, use A4 paper
and allow a margin of at least one inch all a round. The entry must be endorsed by the Teacher
and Corporate Advisor.

Criteria for Adjudication:


The annual report will be judged on the contents, and the presentation style.The annual report
must be written in English. Any part of the annual report commissioned to any outsider (even
Advisors) will be disqualified. Entries that do not conform with the entry requirements will be
disqualified.

Objective:
To recognize and motivate achievers to participate actively in the Young Enterprise and to strive
for excellence.

Eligibility:
All Achievers are eligible to participate. One Achiever will be chosen from each school.

teamwork, resourcefulness, reliability and contribution.

Objective:
The Best Use of ICT award recognizes a team of Young Achievers who have applied information
communications technology tools effectively and creatively in the development of their products
as well as in their promotional and marketing efforts.

Junior Achievement’s (JA) Programs
I. Express/Junior Achievement International Trade Challenge

The FedEx/Junior Achievement International Trade Challenge (ITC) is an unparalleled


opportunity to broaden students’ understanding of global trade and to participate in an array of
stimulating activities to enhance their knowledge of product distribution, competition, pricing,
promotion and sales. 

The ITC is a competition on Market Entry Strategy. To prepare for the Market Entry Strategy,
students are required to research and synthesize detailed information related to a specific
country to gain a greater understanding of international trade. The exercise stresses the
elements of teamwork, competition, marketing, promotion and innovation, and it requires the
students to develop a clearly written international marketing plan for a specific country that
includes:

Eligibililty :
The challenge is open to YE achievers who attends the one day workshop on ITC. Students will
have to complete and submit their Market Entry Strategy Plan. The ITC competition requires
student (two per team) entrants to create a comprehensive Market Entry Strategy plan and
develop a well-written proposal for judging by local Experts/volunteers. Each team must submit
their Market Entry Strategy Plan with a maximum of 2000 words.

II JA Company of the Year Competition - Asia Pacific Region

The competition is JA Worldwide’s annual celebration of the achievements of JA Company


Program students across Asia Pacific. At this event, JA Companies proudly present the results
of the enterprise and learning experience.

The JA Student Company of the Year competition is not simply a business competition for
young people. The goal is to balance the business achievements of each team as a whole with
the personal development of each individual member.

Therefore, for a team to win this award, it is not sufficient just to run a financially successful
JA Company (YE Company) or to have created an exciting product or service. JA Company
members also must demonstrate that they understand how and why the company performed
as it did.

Judges will be looking for evidence of innovation and the application of new ideas in all aspects
of running the company. They also will look for an understanding that continuous improvement
through innovation is essential to the success of a business.

Eligibility :
The Best YE Enterprise company will automatically qualify to participate in this competition. A
maximum of five students are allowed to represent their YE company for this challenge.

Safety At All Times
Observe safety procedures during production.
Ensure every product is of quality and safe for the customers’ use.

Academic Achievements
You need to balance your studies and YE activities. If you do poorly in your studies, you should
consider quitting from the YE program.

Restrictions:
• Do not exceed the authorized capital of RM800.
• Do not sell shares after the second month of operation.
• Do not manufacture food or food products.
• It is wrong to copy - do not use copyright designs, pictures, names, your products (e.g.,
picture of Garfield, Ujang, Snoopy, etc.)
• Stop all business operations on August 31

Payments
Be a responsible business person, and make your payments on time. Such as registration fee
of your company, cost of the guidebooks, fees for seminars, YE Sales booth, corporate tax.
• The registration fee is RM10, and the guidebooks are RM20.
• The total cost for your workshops is RM20.
• YE Sales booth rental, RM20.
• The corporation tax is 5% of your net profit, or a maximum of RM25,whichever is lower.
The corporation tax should be sent with the Annual Report.

Central Region:
All payments related to the Young Enterprise Program must be paid by cheque to “American
Malaysian Chamber of Commerce.”

Northern Region:
Cheques should be made out to “Young Enterprise Secretariat Penang” and sent to the Penang
Secretariat.

Learn To Avoid:
• taking on business which may stretch your resources to the limit
• depending on your Advisors too much for your day-to-day operations
• depending too much on one major customer for business

Salary Structure In A Young Enterprise Company

Everyone in the Young Enterprise Program is an Achiever. However, in a business organization,


some of you form the Board of Directors, and the rest form the employees of the company.

In this program, the Board meeting days will be considered as working days, and the monthly
salary will be calculated based on this. Production work is usually held on the same day as the
Board meeting. However, if you have to organize additional production days, it is entirely up to
you to decide how much extra should be paid as incentive.

The salary paid to each employee is based on his or her job scope, and the responsibility that
he/she holds.

ANNUAL GENERAL MEETING A meeting held once a year with your shareholders.
The Board of Directors will give the company’s report to
the shareholders.

ASSET Things owned by a company (e.g., goods,equipment).

AUTHORIZED SIGNATORIES These are the Directors and Teacher who have been
nominated to sign your bank cheques.

BOARD OF DIRECTORS A group of people elected to manage a company.

CAPITAL A sum of money which a company needs to start a


business.

CASH FLOW The income and expenditures of a company which results


in the availability or non-availability of cash.
(i.e., Good cash management is when you know how
much to spend on the raw materials for a first product
so that you still have some cash for other expenses like
salaries. You will recover your money when you start to sell
your first product.)

COMPANY LIFE CYCLE The beginning and end of a company. You begin by finding
the money to start your business. You end the company
when you close it at the end of the YE Program.

CORPORATION TAX Tax paid by a company to the Government. In the YE


program, you pay it to the Secretariat. This money is used
for paying some expenses in the program.

CUSTOMERS’ NEEDS Goods or services required or desired by customers (e.g.,


there are a variety of sports shoes to meet the needs of
various people. Some are expensive and some are cheap.)

INVENTORY A list of goods, stocks, tools, machines, etc. which belong


to a company.

LIMITED COMPANY A company operating with limited liabilities (risks).


The risk of your YE company to the amount of shares you
sell.

LIQUIDATION Converting goods, stocks into cash for disposal because


you are closing your company.

PROXY A proxy is a document that empowers a person to act for


another, as in voting at an AGM.

QUORUM It is the minimum number of members (or shareholders at


an AGM) that is required at a meeting before it can validly
proceed to transact business.

RESOLUTIONS A vote made by the Board of Director at a Board Meeting.

SHARE An equal part of the capital of a company. Companies


start to sell shares to people in order to get the amount
of money they need to start the business. (e.g., the YE
Company can have a maximum capital of RM800. Each
share is priced at RM2, which means you can have a
