This Deed of Absolute Sale (hereinafter referred to as the “Agreement”) is

estan determinados por majones de concreto marcados PLS la orientacion
seguida es la verdadera, siendo la declinacion magnetica de 0 gds. 37’E., la

WHEREAS, the VENDOR has offered to sell and the VENDEE has agreed
to buy the PROPERTY at the price and under the terms and conditions set
forth herein below;

NOW, THEREFORE, for and in consideration of the foregoing premises and


of the stipulations hereinafter provided, the parties hereto agree as follows, to
wit:

Section 1. Absolute Sale and Purchase

a. SALE AND PURCHASE - For and in consideration of the Purchase Price


received by the VENDOR, said VENDOR do hereby absolutely and irrevocably
SELL, TRANSFER and CONVEY to the VENDEE, his administrators or assigns,
and VENDEE does hereby PURCHASE from the VENDOR in consideration of
the latter’s covenants, representations and warranties, the PROPERTY,
together with all the rights, titles and interests of the VENDOR over and in the
said PROPERTY.

b. CONSIDERATION - The Purchase Price for the sale to the VENDEES of


the PROPERTY is One Million Eight Hundred Seventy Two Thousand
(Php1,872,000.00), Philippine currency, receipt of which is hereby
acknowledged by the VENDOR to his entire satisfaction.

Section 2. REPRESENTATIONS AND WARRANTIES

a. The VENDOR hereby warrants that the PROPERTY is free and clear of
all liens and encumbrances or claims whatsoever and, is not subject to any
assessment, claim, set-off, easement or defense which will prevent the
VENDEE from obtaining full and absolute ownership in fee simple over the
PROPERTY and full possession of the same.

b. The PROPERTY is not involved in any pending or threatened litigation


or case brought before a court or any administrative body.

and I authorize the Vendee to transact, process and receive from any
government and/or private institution any or all documents related to my title,

interest and rights to the Property.


Attorney-in-fact/Vendee

This authority does not in any way amend, revoke or rescind the Deed of
Absolute Sale, which continues to remain valid and binding. This authority is
being issued to provide notice to any government and/or private institution
that may deal with the Vendee as the new owner of the Property.

We also release any government and/or private institution and their


shareholders, directors, officers, agents, employees, representatives, or
successors-in-interest from any claim or cause of action whatsoever against
them in respect of any matter incident to or arising out of the Property and I
agree to indemnify and hold them harmless from any and all suits or claims in
relation to or arising out of the Property, including the delivery/transfer of the
title to the Vendee.

HEREBY GIVING AND GRANTING unto the Vendee full power and authority to
do and perform all and every act whatsoever requisite or necessary or proper to
carry into effect the foregoing authority, as fully to all intents and purposes as I
might or could lawfully do if personally present, with full power of substitution

and revocation, and hereby ratifying and confirming all that the Vendee or
his/her/their substitute shall do or cause to be done under and by virtue of
these presents.
