Kelly has focused his litigation practice in the areas of complex commercial and banking
litigation, including representing parties in cases involving contracts, business torts,
shareholder rights, products liability, and a wide range of real estate matters.

As a skilled litigator, Kelly’s attention to detail and dedication to representing the best interests
of his clients is second to none. His belief in hard work and zealously representing his clients
has consistently led to favorable results. He has been nominated by his peers and recognized
by Super Lawyer magazine as a Rising Star in Minnesota, one of the state’s top up-and-coming
attorneys. Kelly prides himself on creative thinking and application of the law and practices with
genuine care for achieving the best results for his clients.

He has successfully defended numerous financial institutions against allegations of lender

liability, fraud, and Truth In Lending Act violations. Kelly has extensive experience representing
financial institutions in suits to recover monies from personal guarantors, as well as foreclosure
by action lawsuits to recover monies from borrowers and guarantors where the underlying
indebtedness is greater than the value of the collateral.

A good example of Kelly’s skill and commitment to his work is his representation of a creditor
through many years of litigation against a group of companies and individuals who were intent
on avoiding their financial obligations owed to Kelly’s client. Through Kelly’s efforts to discover
fraudulent transfers and corporate name changes, Kelly’s client asserted a successor liability
claim against a newly formed company and a fraud claim against the individuals responsible for
creating the new company. The case settled days before trial on terms favorable to Kelly’s
client.

In addition, Kelly has successfully represented both employers and employees in cases
involving non-compete agreements and the Uniform Trade Secret Act.

A native of Hastings, Minnesota, Kelly received his J.D. from the University of Minnesota Law
School, where he received Dean’s List honors each semester. He has an undergraduate degree
in biology from the University of St. Thomas. Kelly is licensed to practice in the state and federal
courts of Minnesota and Wisconsin.

In his free time, Kelly enjoys spending time with his wife and three daughters, two of whom are
identical twins. He also enjoys golfing, hunting, and playing hockey with his friends.
