AGREEMENT

This Agreement, made and entered into this _________ day of _____________ 20__, by and
between Kleinhenn Company, Inc. , hereinafter referred to as “Kleinhenn” and
__________________________________ hereinafter referred to as “Representative”. For and in
consideration of the mutual covenants contained herein the parties agree as follows:
1. Representative shall work as a salesperson for Kleinhenn
2. The area to be covered by Representative for and on behalf of Kleinhenn shall be as

3. Compensation to Representative shall be based on commissions for each sale concluded
(Merchandise delivered and payment for same received). Kleinhenn shall set commission
rate. If for any reason after such a sale is concluded it is necessary to return the purchase price
to the purchaser, there will be no commission on the transaction.
4. Each calendar year, Representative may receive a draw from Kleinhenn against anticipated
commissions. It is understood that this is an advancement or draw against anticipated annual
commissions, and in the event Representative does not become entitled to commissions which
equal the amount of the draw on or before December 31st of each year, Representative shall
within two weeks reimburse Kleinhenn for such deficiency or make arrangements satisfactory
to Kleinhenn for future payment. In the event Representative’s employment is terminated,
he/she shall at that time immediately re-pay Kleinhenn for the amount by which his/her
advancements or draw have exceeded commissions earned. The above does not apply for the
period beginning with the above date and ending December 31, _______.
5. It is understood that Representative will devote full time to his/her work with Kleinhenn and
shall devote his/her best interests to the same. Representative shall never misrepresent
Kleinhenn, nor do or take any action which would adversely reflect upon Kleinhenn.
6. While working for Kleinhenn and for a period of one year thereafter, Representative agrees
not to engage in any similar business or otherwise compete with Kleinhenn anywhere within a
one hundred (100) mile radius of ________________________. If Representative violates
this provision and legal action is taken by Kleinhenn and Kleinhenn prevails, Representative
will be responsible for Kleinhenn’s Legal cost incurred.
7. This Agreement may be terminated at any time by either party giving to the other two (2)
Weeks notice of such termination. All rights of the parties in regard to the other shall
immediately terminate, except for Representative’s responsibilities for repaying any
advancements or draw which exceed commissions earned and further responsibilities not to
compete as set forth in Paragraph 6 hereinabove.
The Parties hereto have executed this Agreement the day and year first written.
