1. These terms and conditions are the only terms and conditions upon which TUAIS supplies vehicle verifications (“the
information”) and apply to the exclusion of all other representations, statements or agreements between TUAIS and the
customer whether oral or in writing.
2. No instruction received for the customer by TUAIS for information shall be binding on TUAIS unless and until, and to the
extent, TUAIS accepts such instruction in writing.
3. The customer undertakes to keep and maintain as strictly confidential all of the information and shall not divulge or
disclose or in any manner make accessible to any person, directly or indirectly, any of the information furnished to it by
TUAIS, save as may be authorized by TUAIS in writing. The customer shall not, without the prior written consent of
TUAIS, divulge any of its report, services, data or information indicating TUAIS as being a source of the information
received by the customer.
4. The customer shall pay the charges for the information as TUAIS shall for time to time determine and notify to the
customer, which charges shall be payable by the customer upon receipt by it of the information. The customer shall in no
circumstances be entitled to defer or withhold payment of any amounts due if any information is incomplete, inaccurate
or incorrect, or for any reason whatever.
5. If the customer fails to pay any amount due to TUAIS, such overdue amount shall bear interest at the prime interest
rate quoted by TUAIS’s bankers from time to time to its customers and overdraft, calculated and compounded monthly
in arrears, as certified by any manager of such bank, whose certification shall be final and binding on the customer and
whose appointment shall not be necessary to prove.
6. TUAIS does not make any representation, nor give any warranty or guarantee of any nature whatever as to the accuracy
or correctness of any information or any other aspect thereof. Without derogation form the generality of the after
going, TUAIS shall not be liable for any loss, liability, expense or damage of whatsoever nature (whether direct, indirect,
consequential or otherwise) suffered by the customer or any other person as a result of or which may be attributable to:
7. The customer shall not be entitled to code, assign or transfer all or any of its rights and/or obligations in terms of this
agreement, save with the prior written consent of TUAIS.
8. The terms and conditions contained herein constitute the sole record of the agreement between the customer and
TUAIS. Neither party shall be bound by any representation, express or implied term, warranty, promise or the like not
recorded herein or reduce to writing and signed by the parties or their representatives.
9. No addition to, variation, or agreed cancellation of these terms and conditions shall be of any force or effect unless in
writing and signed by or on behalf of the parties.
10. No indulgence which TUAIS may grant to the customer shall constitute a waiver of any of the rights of TUAIS, which
shall not thereby be precluded from exercising any rights against the customer may have arisen in the past, or which
might arise in the future.
11. This agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. The
customer agrees and consents that TUAIS shall, at its option , be entitled to institute any legal proceedings which may
arise out of or in connection with this agreement in any Magistrates Court having jurisdiction, notwithstanding that the
claim or value of the matter in dispute might exceed the jurisdiction of such Magistrates Court.
