MEMORANDUM OF UNDERSTANDING
BETWEEN THE TOWN OF HADLEY (“TOWN”)
AND
AMERICAN LEGION POST 271 (“LEGION”)

WHEREAS, the Legion and the Town have entered into negotiation, in good faith, for an
agreement concerning use of Town-owned property;

WHEREAS, the Legion and the Town mutually support the functions of each party and
seek a cooperative arrangement,

THERFORE, BE IT RESOLVED that the Town and the Legion agree to the following:

1. The Town shall construct a new senior-community center on the Town-owned

property located at 46 Middle Street, Hadley, MA 01035.

2. The Town will construct the parking lot for the senior-community center in two
phases: a southern parking lot shall be constructed first, and a northern parking lot and
senior center shall be constructed subsequently.

3. Staging for construction materials and equipment shall be in the location of the
northern parking lot. Fencing for the north parking lot and building construction shall not
impede use of the southern parking lot.

4. Entrance for construction traffic shall be from Middle Street.

5. The Legion may enter onto the southern parking area and use it for overflow parking
purposes during special events. The Town will take all reasonable steps to reduce the
impact that construction may have on the Legion’s use of the southern parking lot.

6. The Town shall expedite construction in any utility easements located on Legion
property, and the Town will make reasonable efforts to communicate and notify the
Legion of any work in easements on Legion property.

7. Once the project is completed, the Legion may use any parking at the site for
overflow parking for special events.

8. The Town and the Legion will coordinate the use of the completed parking lot to
avoid competing use of the property.

9. The Legion agrees that this agreement does not establish or transfer any property
rights to Town property and waives all claims to Town-owned property.

10. The term of this agreement shall be in effect so long as each party owns their
property.
