Delievery time:the seller will delievery the goods within 30 days after got the L/C.交货期：卖方
要在收到买方信用证后一个月内交货。

The seller need load 3000 tons one time and the buyer open the L/C first time.the buyer will open
next L/C for 3000 tons after got the goods. the period of contract is one year.

卖方每次装运 3000 吨，买方将分期开立信用证，每收到 3000 吨货后开一次信用证，合同

期限为一年。

Insurance:cargo insurance 100% from sellers register 保险：卖方提供 100%货物保险。

卖方须给买方以下保证：The seller will provid for the following promise to buyer:

1.卖方收到买方开的信用证后必须保证 30 天内交货。The seller promise that they must
delievery the goods to buyer within 30days after the end seller got the L/C from buyer.
2.卖方必须保证所交的货物与合同中的要求一致。如果出现任何质量问题，卖方须承担全部
责任。

The seller must promise the quality of goods is same as the content of our contract.the seller will
take all responsibility if appear any quality problem or different from the content of our contract.

3.最终卖方在发货前须做国际 SGS 检测。SGS INSPECTION AT LOADING PORT AT END

SELLER COST。

4.人力不可抗拒因素 Force majeure factor：

由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不
能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方
须尽快将发生的事件通知另一方，并在不可抗力事件发生 15 天内将有关机构出具的不可抗
力事件的证明寄交对方。

If eight of the Contracting parties be prevented from executing the contract by

such events of Force Majeure as war,serious flood ,fire, typhoon and

earthquake,or other events agreed upon between both parties ,the term for the

execution of the contract shall be extend for a period equivalent to the effect

of such events., The prevented party shall nnotify the other party of the

occurrence of the Force Majeure events by telex or E-mail within the shortest

possible time and shall send by registered E-mail ,within 15 days thereafter

,to the other party for confirmation by the other party.

5.仲裁 arbitration：
在履行协议过程中，如产生争议，双方应友好协商解决。若通过友好协商未能达成协议，
则需仲裁委员会进行仲裁.对双方均有约束力。仲裁费用，除另有规定外，由败诉一方负担。

Any dispute arising from or in connection with this Contract shall be submitted to China
International Economic and Trade Arbitration Commission for arbitration which shall be
conducted in accordance with the Commission's arbitration rules in effect at the time of applying
for arbitration. The arbitral award is final and binding upon both parties.

6、本合同自双方签章确认后，合同生效。传真件与合同正本具有同等法律效力。

This contract signature by both parties confirmed ,the contract into effect .Fax the original contract
have the same legal effect.
