MANUAL OF OPERATIONS FOR

CHAPTERS WITH AMENDMENTS

FOREWORD
The Institute of Integrated Electrical Engineers of the Philippines, Inc.
(IIEE) has been in existence since 1975 with various chapters created around
the Philippines and abroad.
With the emended IIEE Constitution and By-Laws, some provisions in the
the manual of operations for IIEE chapters will be amended also as approved
by the 2016 Board of Governors.
Former Regional Governors IIEE were tapped to form The Adhoc
Committee on the revision of Manual of Operations for IIEE Chapters and was
given the task of revising this manual.
Chapter Officers are therefore expected to implement the guidelines
incorporated herein.
This Manual of Operations shall be a dynamic piece of work, which
should readily grow with the times and the increasing activities of the
chapters.

V. The Chapter Officers

The Chapter shall be managed by the Board of Directors of eleven (11)


members. The eleven members shall be elected from among the Chapter
Membership during their annual meeting.

The Immediate Former President shall automatically become an ex-officio


member of the Board of Directors but without voting rights.

CHAPTER OFFICERS: The newly elected members of the Board of


Directors shall be composed of: the Chapter President, Chapter Vice
Presidents (Internal, External and Technical), Chapter Secretary, Chapter
Treasurer, and Chapter Auditor.

BOARD OF DIRECTORS: The Board of Directors shall have the power to


act for and in behalf of the Chapter in accordance with the IIEE Constitution
and By-Laws, however, they shall act only as a Body. The Board shall be
responsible for planning the program and activities of the Chapter.

CHAPTER PRESIDENT: The Chapter President shall be a BSEE graduate


and shall be the executive officer of the chapter and shall exercise all the
powers and discharge all such duties regularly or continuously inherent to his
office under the IIEE Constitution and By-Laws or other duties as maybe
required by resolution of the Board of Directors. The Chapter President shall
preside over meetings of the Board of Directors and Chapter Membership.

The Chapter President, with the approval of the Board of Directors, may
create committees for certain purposes, appoint an Executive Secretary and
any other personnel that maybe necessary in the execution of the chapter’s
program.

CHAPTER VICE PRESIDENT for INTERNAL AFFAIRS: The VP – Internal


Affairs shall exercise and discharge all the powers and duties of the Chapter
President in case of absence or disability of the latter. He shall assist the
President whenever necessary especially on matters pertaining to the internal
affairs of the Chapter especially the membership.

CHAPTER VICE PRESIDENT for EXTERNAL AFFAIRS: The VP External


Affairs shall exercise and discharge all the powers and duties of the VP-
Internal in case of absence or disability of the latter. He shall assist the
President whenever necessary especially on matters pertaining to the
external affairs of the Chapter especially coordinating with government and
non government organizations which the Chapter has dealings with.

CHAPTER VICE PRESIDENT for TECHNICAL AFFAIRS: The VP –


Technical Affairs shall exercise and discharge all the powers and duties of
the VP- External in case of absence or disability of the latter. He shall assist
the President whenever necessary especially on matters pertaining to the
direction and coordination of all the technical activities of the Chapter.

CHAPTER SECRETARY: The Secretary shall be in charge of all


correspondents and records not pertaining to the Office of the Treasurer. He
shall issue notices of meetings, prepare the order of business thereof,
prepare the minutes of the meetings of the Chapter and of the Board of
Directors. He shall perform such other duties as the Board of Directors may
require of him.

CHAPTER TREASURER: The Treasurer shall take charge of all the


books of accounts of the Chapter; shall collect all fees and dues from
members and deposit them in a bank that shall be designated by the
Board of Directors. He shall make only such disbursements as maybe
authorized by the Board of Directors and approved by the Chapter
President. He shall keep all his Books of Accounts open for inspection by
any member. He shall remit the membership dues to the National Office.

CHAPTER AUDITOR: The Auditor shall audit the Book of Accounts of the
chapter before the end of the year or as maybe directed by the Board of
Directors and shall submit a report to the Board of Directors his findings
and recommendations.

Small Chapters:
Small Chapters SHALL elect one (1) Vice President.

VI. ADMISSION AND EXPULSION OF MEMBERS

Admission:
Applicants for membership may apply in their respective localities wherein
an IIEE Chapter exists or at the IIEE National Office by filling-up a form
prescribed by the Institute and by paying the corresponding membership
dues.
Chapter affiliation will be the sole discretion of the applicant considering his
work place or residence.
Membership shall be effective upon compliance with the requirements and
approval of the application.
Membership e-card shall be available for pick-up or mailing after ten (10)
working days at the National Office.

Expulsion:
Any member maybe expelled from the Institute based on Sec. 4 & 5, Article
IV of IIEE Constitution & By-Laws.

MEMBERSHIP
Membership shall be classified into (a) membership grade and, (b)
membership status.

(a) Membership Grade


(1) Fellows
(2) Senior Members
(3) Life Members
(4) Regular Members
(5) Associate Members
(6) Auxiliary Members

(b) Membership Status


(1) Active – a member whose membership dues is being paid regularly in
accordance with the existing policies and who have attended at least
one (1) general membership meeting of the chapter and one (1) national
or regional activity in a year.

(2) In Active – a member who failed to renew his or her membership in


the prescribed period or who have not attended at least one (1) general
membership meeting of the chapter and one (1) national or regional
activity in a year.

(3). Dropped – a member who is inactive for six (6) consecutive years.

Requirements for Membership:

•Two (2) pieces 1 X 1 recent photo


•Photocopy of PRC License Card
•Photocopy of Diploma and/or Transcript of Records (applicable to
auxiliary members only)

Re-activation of Membership:

A member whose membership status is In-Active or Dropped may re–


activate his or her membership by doing the following steps:

•Visit his or her Chapter Office or the nearest Chapter Officer in his or her
location in the absence of a Chapter Office and signify his or her intention
to renew his or her membership. The member may also visit the IIEE
National Office for this purpose.
•Fill-up the Membership Application Form indicating the Chapter of his or
her choice.
•Payment of the appropriate membership dues.

Sole Membership:

The Institute allows a member to register only one (1) Membership Grade.
A member who possesses more than one (1) PRC License shall register
the one with higher grade.

Member of Good Standing

Regularly paid in accordance with the existing policies and attended at least
one (1) general membership meeting of the chapter; and one (1) National or
Regional Conference in a year. (a UNIVERSAL CERTIFICATE WILL BE
ISSUED BY THE NATIONAL OFFICE WITH CONTROL NUMBER)

Upgrade of Membership from Life RME to Life REE

Life Registered Master Electrician (RME) Members who qualifies and


intends to upgrade Life Membership to REE must inform the National Office
in writing for the aim to upgrade Life Membership, with an attachment of all
pertinent documents: (1) New Membership Form, (2) Photocopy of PRC ID
Card, and (3) Corresponding fee for the New ID Card (Php 100.00 as of
publication of this manual).
VII. Rights of Members

All members of the Institute in good standing shall be entitled to all rights
and privileges within the context of the IIEE Constitution and By-Laws.

VIII. Manual of Operations
Sec. 1 CHAPTER FORMATION
Chapters may be formed in a town, city or province outside Metro Manila by a
minimum of twenty (20) Licensed Electrical Engineers and Registered Master
Electricians upon the recommendation of their Regional Governor and
subject to the approval of the Board of Governors. Chapters may also be
formed in foreign countries.

Chapters are prohibited to register as a corporate entity with the Securities


and Exchange Commission.

A Chapter created out of an existing chapter shall ensure the sustainability of


its existence to avoid being relegated into a dormant chapter.

Distinction of Chapters:
Big Chapter–a Chapter comprises of one hundred (100) members and above.
Small Chapter – a Chapter comprises of one hundred (99) members or less.
Overseas – IIEE Chapters established and operating in foreign lands.

Sec. 2 ELECTION OF THE BOARD OF


DIRECTORS

Election of the new set of officers shall be held


every September of each year coinciding with
the chapter’s annual general membership
meeting.

Only licensed members in good standing who


are registered in the particular chapter shall be
eligible to vote and to be voted upon.

2.1 Election Committee

•Not less than sixty (60) days prior to the Chapter Elections, the incumbent
Regional Governor shall form an Election Committee; and appoint a
Chairperson and two (2) members from among the Former Chapter
Presidents, whose function are the following:

•To select and prepare the final list of candidates for the Board of Directors;
•To disseminate to all registered members in good standing of the chapter
the list of candidates together with their Bio-data and the notice of election
thirty (30) days prior to the date of election by mail or other means of
communication;

•To conduct the election by secret balloting;


•To canvass and proclaim the winners of the election;
•To decide on any or all protests pertinent to the election process and
whose decision shall be final.

2.1 Qualifications of Candidates

•Candidate for President shall be an REE or PEE and have been an


officer for at least three (3) years.

•All other chapter officers shall be an active member of the chapter.

•Be willing and able to commit at least 16 hours per month to the work of
the Board;

•Have integrity and high ethical and moral standards;

•Possess a good understanding of the concerns and welfare of the


electrical practitioners;

•Have a proven ability to work as a member of a team to accomplish


results.

2.3 Election Procedure

•A candidate must be nominated by at least three (3) active members of


the Chapter.

•Candidates shall fill up the Election Form A : Application for Certificate


of Candidacy / Nomination; and Election Form B : Candidate Platform /
Achievement.

•The Election Form A must be signed and approved by the Chairperson


of the Election Committee.

•Candidates must be physically present during the conduct of election.

2.4 Screening Procedure

•All submitted candidates for election will be reviewed by the Committee.

•Candidates maybe called for an interview if the Committee deemed


necessary.

•The Committee will evaluate every candidate based on the


questionnaires and its equivalent points per question/answer.

•The candidates who will pass the screening will be included in the official
list of nominees.

2.5 Conduct of Election


•Members will choose eleven (11) successful nominees among the
candidates / nine (9) for small chapter.
•The top eleven (11) / nine (9) candidates with highest votes shall comprise
the board.
•The eleven (11) / nine (9) elected candidates shall conduct a separate
election immediately after they were chosen in order to fill up the required
positions.

2.6 Composition of Officers

The new set of officers elected among the active members of the Chapter
shall be composed of eleven (11) AND nine (9) members and shall
comprise the Board of Directors of the big and small Chapter, respectively.

The elected Board of Directors shall elect from among themselves, the
Chapter President, Chapter Vice President – Internal Affairs, Chapter Vice
President – External Affairs, Chapter Vice President – Technical Affairs,
Chapter Secretary, Chapter Treasurer, and Chapter Auditor.

2.7 Term of Office

Term of office of the elected officers shall start on January 1


of the succeeding year and ends on December 31 of the
same year. A maximum of three consecutive terms.
Incumbent and former chapter president shall not be
nominated as candidates for chapter officers.

2.8 IIEE COMELEC

The election of officers shall be supervised by an IIEE


COMELEC (Commission on Election) composed of three
former presidents of the chapter. In case of new chapters,
the IIEE COMELEC shall be composed of the former
presidents of the mother chapter.

2.9 Induction of Officers

•Induction of new set of officers must be done on or


before December 31 of the year of the election.

•The Chapter Presidents may take their oath of office


during the Annual National Convention.

•Induction of other Officers maybe done during the


Annual National Convention or on a date set by the
officers.

Sec. 3 MERGER OF CHAPTERS

Existing Chapters whose membership is below the minimum number of


twenty (20) members and has been dormant for the past two (2) years shall
be merged with any adjacent chapter in the region as endorsed by the
Regional Governor and approved by the IIEE Board of Governors.

Sec. 4 DISSOLUTION OF CHAPTERS

Dormant Chapters for two (2) years merged with another chapter shall be
considered abolished after the merger.

Sec. 5 CHAPTER OPERATIONS

5.1 Executive Committee


•Composition
The Executive Committee shall be composed of the six (6) Chapter Officers
of the Chapter. The officers shall be the Chapter President, VP for Internal
Affairs, VP for External Affairs, VP for Technical Affairs, Chapter Secretary
and the Chapter Treasurer. The Chapter President shall chair the Executive
Committee.

•Functions
The Executive Committee shall act on matters of general administration and
deliberate on matters that need Board of Directors approval in the next Board
meeting.

•Quorum
Attendance of four (4) Executive Committee members shall constitute a
quorum.

5.2 Chapter Officers Meeting

Members of the Board of Directors shall meet


regularly once a month at a date and time they
deem most convenient and fitting. Special board
meetings may be set if there are urgent matters to
be discussed.

The EXCOM Meeting shall likewise be done once a


month regularly.

a. Conduct of Meeting

The Robert’s Rule of Order shall be adopted in the conduct of the meeting.

b. Minutes of Meeting
Minutes of the meeting shall be circulated among the members regularly and
/ or during the chapter activities / general membership meeting. Likewise, a
copy shall be given to the National Office thru the Regional Governor so the
National Board would know the activities of the different chapters and to
facilitate the exchange and monitoring of information between the National
and the Chapter offices.

c. Absences
Any member of the Board of Directors who has been absent from three (3)
consecutive or a cumulative of 4 absensces shall be automatically considered
resigned from the Board, but not necessarily from the Chapter or Institute.
The next highest officer in rank will take the vacant position and the candidate
with the highest votes garnered from the latest election, with his concurrence
will automatically becomes the new member of the board.

5.3 General Membership Meeting


The Chapter shall conduct a general membership meeting at
least twice a year attended by not less than 20% of the chapter
membership.

5.4 Chapter Activities

At a minimum, the Chapter must have the following activities in


a calendar year stated herein.
Each activity must be covered by a budget proposal to ensure
that (1) income generating activity is self-sufficient and/or has
a net surplus and (2) other activities are within the prescribed
budget.

a. Planning Session

The effectiveness and life of the Chapter depends greatly on the programs
of the existing Board of Directors and how these programs are carried out
through the cooperative efforts of every Board Member, therefore, the
Chapter must have a planning session at least once a year. It shall be done
on or before January of each year.

b. Technical/Educational Seminars / Meetings

Organized technical seminars / meetings must be conducted at least three


(3) times a year for the interchange of technical information and experience
among members as well as for the discussion of technical subjects of
current interest.

c. Civic Activities

Participation on worthwhile community projects related to


Electrical Engineering Profession must be done at least once
(1) a year.

d. Student Activities

Activities pertaining to student affairs must be done at least


once (1) a year for Chapters with Student Chapters in their area
of responsibility.

5.5 Induction of New Members

New members must be inducted during the regular meetings /


activities of IIEE or chapters.

5.6 Accounting for Chapters

All Chapters of the Institute must keep books of account (ledger) or at least
cash receipts and disbursement books where they can record cash received
and disbursed by the Chapters. These books updated on a daily basis must
be kept for record purposes and must always be opened for inspection by
any member who would like to look into the financial standing of the Chapter
where he is a member. In addition, they must have a book of assets where
they could list the assets and investments acquired by them.

a. Financial Reports

•Financial Statement must be presented during the monthly board meetings.


•Statement of Income and Expenses (Form A) must be submitted to the
National Office on a quarterly basis.
•Statement of Asset and Liabilities (Form B) must be submitted to the
National Office on a yearly basis.
•Audited Financial Statement must be submitted to National Office every
year.

b. Sources of Funds

Membership Dues:

•Outright 70% share from the regular membership dues of their


member
•70% share of the 75% annual earnings from Life Membership
Fund.

Technical Seminars:

Reasonable registration fees maybe charged for short and


long term courses in the different areas of electrical
engineering and allied technologies offered regularly by the
Chapter for knowledge upliftment, skills advancement and
productivity enhancement of the members.

Regional Conferences:

The yearly regional conference gives the Chapter concerned an opportunity to


increase their funds since the event also include sponsorships and paid technical
seminars as well as delegate registration fees. The proceeds of the event are then
apportioned as follows:

Host Chapter – 50%


Regional Governor’s Fund – 30%
Regional Trust Fund – 10%
Chapters comprising the region – 10%

It shall be the duty of the Host Chapter to submit to the National Office the Financial
Reports of the Regional Conference within a 30-day period after the date of the
Regional Conference. Financial Reports shall include Income Statement (Result of
Operations), Balance Sheet and Statement of Cash Flows, prepared by the Chapter
Treasurer, duly noted by the Chapter President and approved by the Regional
Governor. Submission of official receipts and other income/expenses used in the
conduct of the conference is also required. Other reports other than stated above may
also be required to submit when deemed necessary and/or upon request of the Board
of Governors

Fund Raising Projects:

The Chapter may engage in any fund raising projects provided


it has the approval of the Board of Directors and the project
does not violate any legal laws of the Republic of the
Philippines as well as the IIEE – Code of Ethics and
Constitution and By-Laws.

c. Funding Requirements/Loan for Activities/Projects

A formal request/proposal to the National Office with


corresponding cash flow shall be submitted by the Chapter
whenever a need for funding requirement/loan for projects and
activities arises.

d. Remittance of Membership Dues

Appropriate membership dues collected by the


Chapter shall be remitted to the National Office
together with the accomplished membership form
not more than seven (7) working days from the time
the collection was made. Collection of dues shall be
covered by the proper IIEE Official Receipt (OR).

The Chapter Treasurer handles the remittance of the


membership dues.

e. IIEE Official Receipt (OR) for Chapter

The Chapter shall only use the IIEE Official Receipt (OR) for
Chapter obtained from the National Office. No other OR shall
be used by the chapter in any of its transactions involving the
Chapter’s fund and resources.

The National Office shall issue a maximum of three (3) IIEE


OR booklets only at a given time to a Chapter. Re-issuance of
IIEE OR is allowed provided used OR shall be surrendered to
the National Office with attached collection report and letter of
request signed by either the Chapter President or the Chapter
Treasurer. However, chapter/s hosting the Regional
Conference may obtain additional IIEE OR upon submission of
written request one month prior to the conduct of the
conference.

f. Bank Accounts

The Chapter shall have a bank account for proper management of the
Chapter’s fund.

1. Opening of bank account shall be covered by a Board Resolution


2. The President and any two officers except the auditor shall be the
authorized bank signatories of the Chapter.
3. Closing of bank accounts shall be covered by a Board Resolution.

g. Chapter Income

Income or money received by the Chapter shall be deposited within twenty


four (24) banking hours upon receipt by the authorized Chapter Officer.

h. Revolving Fund

The Chapter must have a revolving fund not more than five thousand
(Php 5,000.00) pesos at any given time subject to monthly liquidation.

Petty Cash must be one thousand (Php 1,000.00) pesos maximum subject
to liquidation within 15 days.

i. Budget

A yearly budget must be prepared as a guide in the usage of the Chapter’s


fund.

Any expenses not stipulated in the yearly budget should be covered by a


board resolution.

j. Accounts Receivables/Payables to National

These are receivables/payables from/to National Office from


Regions/Chapters out of sales of merchandise items,
membership dues, sponsorships, among others, from Regional
Conferences. (addendum to this, a policy on the payables to
the active and inactive/dormant chapter/s)

The Chapter can claim its receivable from National Office upon
submission of Letter of Request, Board Resolution, Bank
Account Details and Financial Report.

5.7 Communications

Aside from the regular means of communication such as


telephone, text messaging, individual e-mails, telegram, fax or
messenger service, the Chapter shall establish a permanent
Chapter e-mail.

The Chapter e-mail shall be made known to the IIEE National


Office to ensure continuous communications to the Chapter
even with the changes in the lineup of officers.

5.8 Student Chapters

Chapters shall extend services/assistance to all CSC activities in their area


of responsibility.

5.9 Legal Matters

Any dispute arising from Chapter operation must be settled in the Chapter
level before it is elevated to the Regional Governor and then to the
Professional Practice Committee if no resolution has been made or agreed
upon by the parties involved.

5.10 External Linkages

Memorandum of Agreements (MOA), Memorandum of


Understanding (MOU) and similar agreements entered into
by the Chapter shall be reviewed and approved by the IIEE
Board of Governor.

5.11 Chapter Records

At a minimum, the following shall form part of the Chapter records.

a. Board Resolution
(1) Opening & Closing of Accounts
(2) Policies and Guidelines
(3) Expenses not included in the yearly budget
b. Minutes of the Meeting

Retention period of the above mentioned records will be determined by


the Chapter. However, it is recommended that the Chapter should have an
electronic back up, so that the records will be preserved longer.

5.12 Transfer of Membership

Any member of Chapter who wishes to transfer to another


Chapter shall use the Waiver Form for this purpose.

5.13 Transfer of Residence or Work Assignment

Any member who transferred his residence or work


assignment shall notify his Chapter thru the Membership
Update Form. The Chapter in turn shall notify the National
Office of this change to ensure the continuous communication
between the Institute and all its members.

5.14 Conduct of Regional Conferences

In the event the Chapter will host the yearly regional


conference, the Policy on Conducting Regional Conferences
shall be used.

IIEE National Sponsorship Package

The Chapter hosting the conference shall coordinate with IIEE


National with regards to one year sponsorship package
entered into by Marketing Department.

1. to include the objectives of holding the conference, it is not just a venue


for the regular board meeting but there are goals and objectives that we
need to accomplish in holding it.

A. To serve as a forum of the general membership of various chapters


comprising the region to exchange views on issues pertinent to the electrical
practitioners through the discussion of position papers, technical reports,
proposals and resolutions relevant to the IIEE theme for the year.
B. To serve as a vehicle in strengthening chapters, reactivating dormant
chapters and encouraging the development/formation of more chapters and
attracting more members for the regions concerned.
C. To serve as venue for the members to attend technical seminars, product
presentations /sessions to enhance their knowledge and expose them to the
latest trend in electrical engineering applications and practices and, in the
process, acquire CPE credit units.

D. To break any barrier of indifferences, foster camaraderie, develop


brotherhood, and create an environment of cooperation among the members
for professional and social enrichment, through interaction and sharing of
ideas, views and news.

E. To serve as venue for National Officers to meet and know the IIEE members
in the region.

2. to standardize and formalize the role of the regional governor in the


holding of the conference.

3. to include the objective why the board meeting is being done during the
regional conference.

5.15 BEE Deputation

Pursuant to PRC Resolution No. 12, Series of 2000, the Board


of Electrical Engineering (BEE) has granted authority to the
Institute of Electrical Engineers of the Philippines, Inc. (IIEE)
to perform the Board’s functions under Section 49 (g), Article II
of the New Electrical Engineering Law (R.A. 7920) which
states that the BEE has the power to authorize the duly
accredited and integrated electrical engineering association to
render assistance in the performance of its functions under
said section of the law.

5.16 IIEE Protocol

The Institute / Region / Chapter shall adhere to certain


customs and established rules in order that the meeting may
go on smoothly and avoid any possible embarrassment or
misunderstanding.

Foremost among the rules of protocol is the adherence to the


order of precedence at all functions where officials are in
attendance. The rank of order of precedence of an official
must at all time be properly recognized. Be it in-his seating or
introduction at banquets and other gatherings.

c. When calling the meeting to order IIEE advocate the virtue of punctuality.

d. During National Convention the National President calls the meeting to order.

e. During Regional Conference the Regional Governor calls the meeting to order.

f. During Chapter Meeting the Chapter President calls the meeting to order.

g. During regional conference the National President is the Guest of Honor. The
Regional Governor sits at the center and the Guest of Honor sits to his right

h. An invocation should be ecumenical in nature in deference to other members and


guest who may profess other religious beliefs and ideals.

i. The National Anthem should not be rendered inappropriately with different tempos,
melodies, harmonies. It should never be jazzed up to compete with modern music.

5.17 Regional Report

The Chapter thru its President shall submit a monthly report to the
Regional Governor with the following minimum requirements.

•Financial performance of the chapter
•Socio-Civic activities of the chapter
•Other activities conducted by the chapter

The report of the previous month shall be submitted every second week of
the current month.

Overseas Chapters shall submit their report to the IIEE National Office
thru the Membership Department and shall be forwarded to VP internal
