AGREEMENT FOR PURCHASE & SALE OF REAL ESTATE

THIS AGREEMENT is made this ___th day of _____ 2017, by and between
__________________________________________, and/or assigns or nominees, (“Seller”) and SITUATION
SOLUTIONS ONE, INC., whose address is 5701 Princess Anne Road Suite G, Virginia Beach, VA 23462, and/or
assigns or nominees (“Buyer”).

THE PROPERTY. The parties hereby agree that Seller will sell and Buyer will buy the following property, located in
and situated in the City of _________________________, Commonwealth of Virginia, known by street and address
as ______________________________________________________________ (“Property”). The sale shall also
include all personal property and fixtures, except
_______________________________________________________________________________.
Unless specifically excluded, all other items will be included, whether or not affixed to the property or structures.

2. CLOSING. Closing will be held on or about THIRTY (30) BUSINESS DAYS from the final signature of this
Agreement, at a time and place designated by Buyer. Closing shall be extended an additional ______ days if needed
to procure settlement of this Property, typically needed to resolve title issues or closing coordination. If this section is
left blank it is assumed to be 10 business days. Closing to be held at THE LAW OFFICES OF JENNY L. COLÓN,
P.C., 1100 MADISON PLAZA, SUITE C, and CHESAPEAKE, VIRGINIA 23320 or via OVERNIGHT MAILAWAY OR
EMAIL CLOSING available for out-of-area owners. Seller agrees to convey title by a general warranty deed.
3. BUYER SHALL PAY ALL CLOSING COSTS ALLOWABLE BY LAW. Seller’s proceeds shall be reduced by any
mortgage(s) on the property, and judgments or liens on title, storm water, current and delinquent real estate taxes,
and/or prorated real estate taxes only. Seller is responsible for any and all costs to clear title such as release fees for
mortgages, or judgments, delinquent taxes, or other miscellaneous liens. Seller will remain responsible for all title
curative fees incurred by THE LAW OFFICES OF JENNY L. COLÓN, P.C. and/or any attorney or Title Company hired
to clear title, even if the closing fails to occur or the Agreement is terminated. This term shall survive closing or
termination of the Agreement.
4. EARNEST MONEY DEPOSIT. Within 7 days of ratification of this Agreement, Buyer agrees to deposit or earmark
an existing Earnest Money Deposit held by The Law Offices of Jenny L. Colón, P.C. Should the Buyer default at any
period during this Agreement, the sole remedy and recourse shall be the Earnest Money Deposit as liquidated
damages.
5. POSSESSIONS AND INSPECTION. Property is to be sold and surrendered in “AS-IS” condition. This clause shall
survive closing of title. This Agreement is subject to the final inspection and/or approval of the Property by the Buyer
in writing or verbal on or before TEN (10) business days from the scheduled closing. This is the Buyer's due diligence
period to conduct any inspections and perform a feasibility study. Should the Property not pass inspection the Buyer
will notify the Seller verbally or in writing.
6. ACCESS. Buyer shall be entitled a key and be entitled to access to show partners, lenders, inspectors and/or
contractors prior to closing. Buyer may place an appropriate sign on the Property prior to closing for prospective
tenants, contractors and/or assigns. Seller agrees to cooperate within reason to allow Buyer to show the Property to
potential contractors/employees of Situation Solutions One, Inc.
7. SELLER DEFAULT. Time is of the essence. Should the Seller, upon their own accord, choose to delay the
closing past the allotted closing time frame stated above, this Agreement will be mutually extended in perpetuity.
8. TERMINATION. Buyer retains a unilateral right to terminate this Agreement if Property does not pass any
applicable inspections, Seller is unable to provide clear title, or by any other applicable reason allowed by law.
9. ACKNOWLEDGED. Situation Solutions One, Inc. is agreeing to purchase this Property to rent, lease, assign, or
sell for a profit. It is further understood that the Buyer does not intend to occupy as a primary residence. Seller fully
understands the Buyer, or its representatives are not earning any fee or commission from the Seller. The Seller should
not expect any representation from the Buyer, nor representation, financial, or legal questions that should be answered
by a Real Estate Broker or Attorney. _______ Initials.
