Deed of Absolute Sale

(UNTITLED AND TAX DECLARED LAND)

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale, made and executed this 18th day of April 2018
by and between:

NOELO TOYONGAN DIGOL, JR., of legal age, Filipino, married to


WELLA RAMOS DIGOL and with residence and postal address at
Purok 3, Panaghi-usa District, Mangagoy, Bislig City Surigao del Sur,
hereinafter referred to as the "SELLER/VENDOR";

-AND-

DEMETRIO C. DISCIPULO, of legal age, Filipino, married to MARICRIS


S. DISCIPULO and with residence and postal address at Block 1, Lot 1,
Suraya Homes, Cabantian, Davao City, hereinafter referred to as the
"BUYER/VENDEE"

WITNESSETH: That –

WHEREAS, the SELLER/VENDOR is the absolute owner and actual


cultivator, tiller and possessor of an aggregate of ten (10) hectare, more or less,
PORTION of an UNTITLED but TAX DECLARED LAND (please refer to Tax
Declaration No. 08-11-0005-00231, a copy of which is attached hereto as Annex
“A” and made an integral part hereto) with total area of measuring 27.1700
HECTARES, more or less, located at Purok 13 Sitio Santo Niño, Barcelona, Lingig,
Surigao del Sur, Island of Mindanao, Philippines (please also refer to a Sketch
Plan, a copy of which is attached hereto as Annex “B” and made an integral part
hereof), bounded on the North by 08 (66); on the South by Brgy. Barcelona, Sec.
018; on the East by Brgy. Barcelona 03(63),12(70),11(71); and on the West by Lot
10 (74), Sec. 018, including all improvements found thereon existing (hereinafter
referred to as the “Property”);

WHEREAS, the ownership of the aforestated aggregate ten (10) hectare,


more or less, PORTION arose from the purchase of the SELLER/VENDOR from
ADORABLE-SACLO FAMILY which are evidenced by the following documents, to
wit:
(1) the sale of the seven (7) hectare, more or less, PORTION is evidenced by
a Deed of Absolute Sale dated September 6, 2012, a copy of which is
attached hereto as Annex “B” and made an integral part hereof; and
(2) the sale of the three (3) hectare, more or less, PORTION is evidenced by
a Deed of Absolute Sale dated December 7, 2012, a copy of which is
attached hereto as Annex “C” and made an integral part hereof;
WHEREAS, in a Side Agreement to the first Deed of Absolute Sale dated
September 6, 2012, a copy of which is attached hereto as Annex “D” and made an
integral part hereof, herein SELLER/VENDOR did not pay as yet the balance of
Thirty Thousand Pesos (PhP30,000.00), Philippine currency, because there was
still an issue as to the boundaries thereof;

WHEREAS, the immediately foregoing boundary issue was never resolved


and herein SELLER/VENDOR never paid and never acquired approximately 1.3
hectares; as such, what was really acquired by herein SELLER/VENDOR was only
5.7 hectares;

WHEREAS, the aggregate area purchased by herein SELLER/VENDOR from


the ADORABLE-SACLO FAMILY was only 8.7 hectares, more or less, (hereinafter
referred to a “Portion of the Property”);

WHEREAS, the BUYER/VENDEE offered to buy and the SELLER/VENDOR


agreed to sell the above-described Portion of the Property for a price and under
the terms and conditions set forth herein below, viz:

NOW THEREFORE, for and in consideration of the sum of THREE HUDNRED


THOUSAND PESOS (PhP300,000.00), Philippine Currency, in hand paid by the
BUYER/VENDEE and receipt of which is hereby acknowledged to the full and
complete satisfaction of the SELLER/VENDOR, the latter, by these presents, do
hereby SELL, TRANSFER and CONVEY by way of absolute sale unto the former, his
heirs, administrators, executors and assigns, the above-described Portion of the
Property including the improvements found thereon, free from all liens and
encumbrances;

The SELLER/VENDOR hereunto warrant unto the BUYER/VENDEE of their


legal right of possession and ownership to the Portion of the Property hereto sold
against any adverse claim of third person and shall hereinafter hold the same free
from any third-party claim and shall solely take responsibility for any and all
liability/ies that may arise thereto by reason of the instant conveyance; and

The BUYER/VENDEE hereby accepts this contract under the foregoing


terms and conditions.

IN WITNESS WHEREOF, we have hereunto set our hands, this 18th of April,
2018 at Mangagoy, Bislig City, Surigao del Sur, Philippines.

This instrument, consisting of FOUR (4) PAGES, including the page on which
acknowledgment #1 and acknowledgment #2 are written, which pertains to the
sale of a portion of an untitled and tax declared land containing an aggregate area
of 8.70 hectares, more or less located at Purok 13 Sitio Santo Niño, Barcelona,
Lingig, Surigao del Sur, Island of Mindanao, Philippines, has been signed on the
left margin of each and every page thereof by the concerned parties and their
instrumental witnesses, and sealed with my notarial seal.

Acknowledgment Receipt
