FOREIGN BRANCH BRANCHES GOVERNOR OF THE STATE BANK - Pursuant to the Law on Foreign Investment in Vietnam adopted by the National Assembly of the Socialist Republic of Vietnam on 29th December 1987; - Pursuant to the Ordinance on the State Bank, the Ordinance on Banks, Credit Cooperatives and Financial Companies issued in Order No.37/LCT-HDNN8 and Order No.38/LCT-HDNN8 dated 24 th May 1990 by the President of State Council (currently as the State President); - Pursuant to Decree No. 189-HDBT of 15th June 1991 of the Council of Ministers (currently as the Government) on organization and operation of foreign bank branches and joint-venture banks in Vietnam; - Considering the application for issuing Operation license of MALAYAN BANKING BERHAD on 24 th May 1995, DECIDE Article I: To allow MALAYAN BANKING BERHAD headquartered at No.100 Jalan Tun Perak, 50050 Kuala Lumpur, Malaysia for opening a branch in Hanoi City - Vietnam. Name and transaction address of the foreign bank branch: Name: MALAYAN BANKING BERHAD - HANOI BRANCH; Short name: MBB/Maybank Hanoi; Address: No. 74 Ngo Quyen Street, Hoan Kiem District, Hanoi City, Socialist Republic of Vietnam; Allocated capital: 15,000,000 USD (fifteen million US dollars). Article II: The term for operating the branch is 20 years; In case where it is deemed necessary to extend such term, MALAYAN BANKING BERHAD shall submit an application to the Governor of the State Bank for consideration and approval. Article III: The operations of MALAYAN BANKING BERHAD - HANOI BRANCH are as follows: I. Operations with transaction in Vietnamese dong: A. For customer not acting as a bank: 1. Receiving demand and time deposits of: a. Individuals who are foreign nationals, living and working in Vietnam. b. Legal entities which are diplomatic delegations, representatives of international organizations, economic, social and charitable organizations operating in Vietnam. c. Legal entities which are economic organizations in Vietnam with 100% foreign capital; Vietnamese- foreign joint ventures with headquarters in Vietnam; Vietnamese economic organizations receiving foreign capital. d. Legal entities which are Vietnamese economic organizations, except for those mentioned in point (c), having loans from MALAYAN BANKING BERHAD - HANOI BRANCH. 2. Receiving demand and time deposits derived from foreign currencies of legal entities and individuals abroad. 3. Receive demand deposits from Vietnamese individuals and legal entities without any credit relation with MALAYAN BANKING BERHAD - HANOI BRANCH not more than 20% of the capital granted by MALAYAN. BANKING BERHAD HANOI BRANCH. 4. Carrying out payment for the subjects mentioned in Points (1, 2 and 3) 5. Lending to the subjects mentioned in Points (1 and 3). 6. Providing guarantee for the subjects mentioned in Points (1 and 3). 7. Issueing and paying all kinds of check and credit card. B. For customer acting as a bank: 1. Receiving deposits and saving deposits; borrowing and lending; making payments to Vietnamese commercial banks, joint-venture banks and foreign banks' branches operating in Vietnam. 2. Receiving deposits derived from foreign currency of foreign banks. 3. Opening accounts at the State Bank and borrowing capitals from the State Bank. II. Operations with transaction in foreign currency: A. For customer not acting as a bank: 1. Receiving time deposits and demand deposits of the subjects mentioned in Points I.A (1 and 2). 2. Purchasing and selling foreign currencies for the subjects mentioned in Points I.A (1, 2 and 3). Selling foreign currencies to individuals and legal entities operating in Vietnam other than those mentioned in Points I.A (1, 2 and 3) if permitted. 3. Lending to the subjects mentioned in Points I.A (1). 4. Making payments to the subjects mentioned at Points I.A (1 and 2). 5. Providing guarantee for the subjects mentioned in Point I.A (1) based on the borrowing and payment relationship with foreign countries. 6. Overseas remittances to Vietnam. Transfering money from Vietnam to foreign countries in accordance with Vietnamese law. 7. Borrowing foreign capitals. B. For customer acting as a bank: 1. Receiving deposits and saving deposits; borrowing and lending; buying and selling foreign currencies with Vietnamese commercial banks, joint-venture banks and foreign banks' branches operating in Vietnam. 2. Participating in the inter-bank foreign currency market. 3. Providing guarantee and re- guarantee for loans and repayments of Vietnamese commercial banks, joint-venture banks and foreign banks' branches operating in Vietnam. 4. Opening accounts at the State Bank. 5. Opening accounts to serve international payment at foreign banks. 6. Carrying out SWAP transactions and loans from foreign banks. III. Providing investment advisory services in consistent with the functions of a commercial bank, IV. Carrying out other operations of the bank upon demand and approval of the State Bank. Article IV: During the business operation, MALAYAN BANKING BERHAD - HANOI BRANCH must comply with the Vietnamese laws, the Ordinance on Banks, Credit Cooperatives and Finance Companies, the Regulations on foreign exchange management, Foreign-invested banks, joint-venture banks operating in Vietnam, regimes and rules promulgated by the Governor of the State Bank of Vietnam. Article V When transferring profits overseas from Vietnam, MALAYAN BANKING BERHAD - HANOI BRANCH must pay tax in accordance with the current taxation regulations of Vietnam. Article VI This operation license shall be effective from the signing date. Within 6 months upon the issuance of operating license, MALAYAN BANKING BERHAD - HANOI BRANCH must complete the necessary prcedures and launch its operation. Beyond this time limit, this operation license shall be no longer valid. Article VII This operation license of MALAYAN BANKING BERHAD-HANOI BRANCH shall be made in 03 originals; 01 copy issued to the foreign bank branch; 01 copy is registered at the State Planning Committee and 01 copy is achieved at the State Bank of Vietnam.
