LEGAL RETAINERSHIP CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This contract made and executed by and between:

BAOSHENG ENTERPRISES, a commercial enterprise duly existing

and established in accordance with the laws of the Republic of the
Philippines, with office address at Hagkol, Valencia City, Bukidnon,
represented by ANSON Z. CHENTAN, of legal age, and a resident of
Hagkol, Valencia City, Bukidnon, Philippines, hereinafter referred to as
the CLIENT;

-and-

LCGV (Lagamon Cajes Galarrita Velos) LAW OFFICE, represented

by ATTY. JERIE MARAPAO RAGSAC, Filipino, of legal age, with
business address at Jamstar Building, JP Carillo-San Isidro Streets,
Poblacion, Malaybalay City, Bukidnon, herein after referred to as the
LAWYER;

WITNESSETH:

That the CLIENT engages and appoints the LAWYER as a legal counsel and
retainer to handle its legal requirements and the LAWYER hereby agrees and accepts
such engagement and appointment.

NOW THEREFORE, the parties hereunto agree as follows:

I. TERM. The term for this agreement shall be in full force effective August 1,
2017 up to December 31, 2017. This retainer contract may be terminated by
either party for a just and valid cause by giving the other party thirty (30) days
notice of such termination.

II. RETAINER’S FEE. Retainer’s fee shall be in the amount of TEN

THOUSAND (PhP 10,000.00) PESOS, Philippine currency, every month for
the following services:

a. Provide legal and related advises and/or opinions in matters referred by

the CLIENT;

b. Review contracts and other routinary documents necessary and/or incident

to local operation and notarize contracts relative to the normal and
ordinary course of the business of the CLIENT.

c. Represent the agency and/or attend agency meetings/conferences in

matters of urgent necessity where the presence of lawyer is required (three
days advance notice is being requested);

d. Handle all civil, criminal, labor, administrative, tax, foreclosure, and

similar cases/matters filed by or against the CLIENT, in which case the
LAWYER shall be entitled to the amount stipulated in a separate contract,
if any, between the CLIENT and the LAWYER as attorney’s fees,
exclusive of filing fees and other expenses of litigation which shall be in
 the account of the CLIENT, without prejudice to being reimbursed by the
adverse party. Filing fees and other actual expenses shall be shouldered by
the CLIENT. In the absence of any such stipulation with the other party, or
in instances where 1) the case is not capable of pecuniary estimation, 2)
the CLIENT is the defendant/respondent, or 3) in cases of appeal, the
same shall be subject to further agreement between the parties;

e. Cases shall be settled or compromised only with the previous

authorization from the CLIENT;

f. The LAWYER shall keep a docket of all cases handled for and in behalf of
the CLIENT and the same shall be made available for the latter when
needed;

g. Appearance Fees for every single day or a fraction thereof shall be

included in the LAWYER’s retainer fee .

II. ARRANGEMENT. That all cases by, against and on behalf of the CLIENT
shall only be referred to the LAWYER at the latter’s office address or through
mail at 2nd Floor, Jamstar Building, Corner Judge Carillo-San Isidro Street
Brgy 5, Poblacion Malaybalay City Bukidnon, and on ordinary office days,
except when the LAWYER has a previous engagement or when not available.

This instrument refers to a Legal Retainership Contract, consisting of three (3)

pages including the page on which this acknowledgment is written, which has been
signed by the parties and their instrumental witnesses, on each and every page thereof.
