TERMS AND CONDITIONS

The conditions stated below shall constitute a part of the agreement resulting from an order for the whole or any
part of the apparatus covered by this quotation, unless expressly stated herein. The word "YEA" used herein
shall mean and represents Yokogawa Engineering Asia Pte Ltd.
1. ACCEPTANCE
All orders based on this proposal shall be subject to the approval and acceptance of YEA as to price, quantity,
delivery and other conditions not stated herein.

2. SCOPE OF SUPPLY AND WORK

No equipment or service other than those expressly stated in and covered by this proposal is included in the
scope of supply of YEA.

3. PRICE
3.1 All Prices pertaining to an order shall be based on YEA written quotation.
3.2 All quoted prices are in Singapore Dollars unless specified otherwise.
3.3 YEA is registered for GST . The Goods and Services Tax and our registration number is 19-9702061-H.

With the implementation of GST effective 01 July 2007, all invoices generated by YEA should include the 7%
Tax.

4. TERMS AND VALIDITY

This proposal is valid for a period of 30 days from the date of the quotation unless stated otherwise. If an
extension of validity period is required, the purchaser shall make a request in writing to YEA. YEA reserves the
right to alter this proposal whether in whole or part, upon such request.
5. SPECIFICATION CHANGES AND CANCELLATIONS
Upon confirmation of order, no addition to or modification of any specification shall be binding upon YEA unless
made in writing and signed by a duly authorized officer of YEA. Any change from the original specification on
which YEA quotation is based shall be documented and advised to YEA in the form of a revision of Purchase
Order. All changes by Purchaser are binding only if accepted by YEA.
5.1 Additional cost due to such specification shall be quoted by YEA within 30 days after receipt of revision of
order.
5.2 The following table indicates the cancellation charges at various stages or progress of factory orders:

Whenever there are items in this proposal that are subcontracted by YEA to a third party, the terms involving
changes in specification and for cancellation between YEA and the third party shall apply to the purchaser.

6. TYPING ERRORS
YEA reserves the right to correct all typographical or clerical errors which may be present in the prices or
specifications in this proposal.

7. TERMS OF PAY
7.1 Payment terms shall be stated in the official quotation or secured by an irrevocable letter of credit to be
confirmed by YEA bankers and payable in our favor. The validity period of the letter of credit shall be sufficient
to cover the period as stated in the confirmation of order, plus two weeks for clearing.
7.2 The payment for installation and erection work at site shall be made in accordance with the milestones
8. DELIVERY SCH
Time of shipment stated herein is approximate and subject to prompt receipt of Purchase Order, Letter of
Credit and all necessary system design and engineering information by YEA at its factory.

9. SUSPENSION OF THE WORKS

In the event that the Purchaser requires, after confirmation of order or establishment of the contract, to
temporarily suspend the work order processing for some time or indefinitely or requires to defer the agreed
delivery time, and that YEA accepts such request, YEA reserves the right to claim from the Purchaser an
equitable compensation for all the expenses directly or indirectly caused by such suspension of the work or
postponement.
10. WARRANTY
YEA warrants that all its manufactured instruments shall be free from defects in material or workmanship under
normal and proper usage. YEA fs obligation is limited to repairing or replacing, free of charge, any part of an
instrument or other apparatus within twelve (12) months from shipment by YEA that are proven to be not within
the specified limit of calibration or defective in material or workmanship. The defective instrument or apparatus
shall be returned by the purchaser to YEA with transportation charges borne by the purchaser .In no event shall
YEA be liable for consequential damages. Consumables and fragile items, thermocouples, resistance bulbs
are not subjected to replacement unless returned unused. Other than equipment manufactured by YEA, the
Warranty of the original manufacturer applies.
11. INSPECTION
All equipment shall be tested before shipment by YEA or its sub-contractors. The inspection or test by
Purchaser or purchaser nominated inspector is acceptable, provided that the costs for such inspection such as
man-hour rate, travel expenses, etc. shall be borne by Purchaser nominated inspector. Timing for such
inspection shall be by prior agreement between YEA and Purchaser. In all cases, the inspection or test shall be
made in accordance with manufacturer's standard procedure.
12. DOCUMENTATION
The documents to be submitted by YEA shall be in YEA standard form.

13. LANGUAGE
All documents and working language for this contract shall be in English.

14. EXPORT PACKAGING

Export packing will be made in accordance with YEA standard procedure.

15. FORCE MAJEURE

YEA shall not be liable for loss, damage, detention or delay caused by fire, strike, civil or military authority,
insurrection or riot, or for any other causes beyond its reasonable control.

16. DISPUTES
All disputes and differences in opinions arising out of or in connection with orders based on this proposal shall
be settled between Purchaser and YEA in an amicable way. If the parties are unable to reach any solution within
a period of 30 days after the commencement of negotiation, the matter may first be referred for mediation
through the Singapore Mediation Center in accordance with its rule of mediation. If mediation fails, the matter
may then be referred to arbitration through the Singapore International Arbitration Center in accordance with its
then existing rules before a single neutral arbitrator in the English language. The costs of arbitration, including
legal and attorney fs fees, shall be determined by the arbitrator. The decision of the arbitrator shall be final and
binding on both parties.
17. GOVERNING LAWS
The validity, performance and construction of these items and conditions and any sale made shall be governed
by the laws of Singapore and subject to the exclusive jurisdiction of the Courts of Singapore.

18. OTHERS
No variations, waiver or modification of this TERMS AND CONDITIONS shall be valid unless made in writing
and signed by or on behalf of the Parties f hereto authorized personnel. All other terms and conditions shall be
subjected to mutual agreement. The definitions and understanding of words used herein and in this contract ,
resulting from this quotation shall be subject to INCOTERMS 2000 (International Rules for the Interpretation or
Trade Terms) by the International Chamber of Commerce.
19. TERMS AND DUTIES
Prices do not include any foreign or local taxes or duties, new or hereafter enacted, applicable to the Equipment
sold. Where YEA is obliged to pay these taxes or duties in the first instance, the Purchaser shall reimburse
YEA the same amount.
20. PROPRIETARY RIGHT OF SOFTWARE
YOKOGAWA has the proprietary right for the software supplied to the Purchaser in the form of floppy disks ,
streamer tapes, read only memories, etc. Users are only granted the right to use the supplied software for the
supplied equipment and not entitled to use it for other purpose.
