FOREWORD

The Olympic Central Business District (OCBD) is a warehousing and industrial cluster located in Sentul

Provisions in regard with this estate management refer to various laws and regulations applicable at the
regional as well as central level, so as not to deviate with spirit of designation of the warehousing and
industrial estate properly.

Parallel with the construction and development of OCBD, it will also require adjustment and evaluation of
material of the provisions of this prescribed Regulations, for the future to come, without prejudice to the
interests of tenant companies operating inside the Warehousing and Industrial Cluster OCBD.

Accordingly this estate regulation has been made as an inseparable document with Sale Purchase
Agreement (Perjanjian Pengikatan Jual Beli/PPJB) and hopefully providing optimum benefits and for all
parties.

OCBD PT Bogorindo Cemerlang is a Non-Facilities Company as manager and developer of Sentul
Industrial Estate residing at Jl. Olympic Raya Kav. B - Commercial Area, Sentul-Bogor Industrial
Estate 16810.

Basically as manager of Sentul Industrial Estate, PT Bogorindo Cemerlang has commitment to


achieve the following objectives:
a) Provide buildings for warehousing and industrial activities including supporting and infrastructure for
PMDN (Domestic Investment) and PMA (Foreign Direct Investment).
b) Establish, develop and maintain Warehousing and Industrial Cluster estate of OCBD in accordance with
the plan and not in contradiction with Government policies and regulations.
c) To help create employment opportunities in order to improve living standard of people around the estate.
d) To accelerate growth rate of warehousing and industrial estate constituting part of the national economic
development program and is expected to increase national income.

CHAPTER II
PURPOSE AND OBJECTIVE OF REGULATION

1. PURPOSE

Warehousing Regulations are provision established and stipulated by Estate Management Company of
Warehousing and Industrial with purpose, explanation and rules related to:
a) Rights and obligations of Estate Management Company that is PT Bogorindo Cemerlang as
Developer and Estate Management Company of Warehousing and Industrial Cluster OCBD with
companies under management and utilizing warehousing and industrial estate in accordance with
the prevailing laws and regulations, as follows: applicable Legislation, Government Regulations,
Regulations and Decree of the City Regents, and Amdal of the Estate.
b) Related to management and monitoring of environment according to result of Analysis Study of
Environmental Impact, Environmental Management Plan and Environmental Monitoring Plan.
c) Regulation on Building, and
d) Other technical regulations.

2. OBJECTIVE
a) Avoiding conflict of interest between developers and estate managers and with companies under
the management and utilizing Warehousing and Industrial Clusters OCBD.
b) The creation of environmental order and business harmony within the environment of Warehousing
and Industrial Cluster OCBD.
c) Establish boundaries that should be adhered in order to prevent any deviation of existing provisions
in the prevailing government regulations.
d) Become standard / guideline for developer & estate manager with various building unit owners as
well as supporting companies within the warehousing and industrial cluster area so as to create an
orderly OCBD Area.

BAB III
FACILITIES AND INFRASTRUCTURE

1. LOCATION

Warehousing and Industrial Cluster Estate OCBD is a strategic location prepared with careful planning
within Sentul Industrial Estate, located on suburb área of Bogor city which has beautiful environment
and low pollution level, spread over 4 hectares of land in Leuwinutug Village, Citeureup District with
altitude 160 meters above sea level. It has special entrance direct access to Sentul Circuit Toll Gate
Door no more than 100 meters. A convenience distribution to the City of Jakarta and to all parts of
Indonesia and for delivery of export goods, the best access & safest toll roads in West Java and toll
roads in the city of Jakarta with range approximately 50 km to the International Sea Port and Soekarno
Hatta Airport constituting time efficiency without having to cross any traffic congestion path.

2. PHYSICAL INFRASTRUCTURE

Besides its strategic location, OCBD has sufficiently complete infrastructure and can be developed
further to suit the needs and developments of business activities of the investors.
Some of the infrastructures that have been and will be built are as follows:

 Industrial Estate Roads are roads constructed with ROW 14 M with a reinforced concrete casting
condition on the left and right side of the road, to support 40 feet container transport mobility within the
area and not constituting a public road.

 Entrance Access Road to Warehousing Cluster Area is the road built with ROW 14 M with concrete and
reforced casting and green área on the left and right side of road, to support 40 feet container transport
within the warehousing area and not for public road.

 Lighting on Public Road is any lighting that is placed on berm along the área’s road as well as on any
other required places.

 Water tunnels are closed channel provided by management on the left and right along the cluster road
to deliver rain water and household water to rivers / canals.

 Green line is the greening path or open space provided by the management to balance against the land
building area.

 Fish Pond is the final industrial waste water reservoir which is always under control before it is flowed
to any natural tunnel.

 Hydrant is the pillars of water acquisition provided on the cluster roadside in order to cope with fire
hazard.

 Garbage Disposal Site is a facility provided by PT Bogorindo Cemerlang to reserve domestic waste
from any warehouse unit before being transported to Final Garbage Disposal Site (TPA) outside the
cluster area.

supporting facilities that are integrated with Sentul Industrial Estate and Will be able to provide more
ease and convenience, as follows:

 Commercial Area as an area that is provided inside the estate as commercial and office center that
will be able to provide ease to acquire some industrial needs for tenants and employees.

 Places of Worship as the main facility provided by PT Bogorindo Cemerlang to serve the needs of
worship for employees of tenant companies.

 Cafeteria and Pujasera to be provided inside estate area for the needs of food and beverage and
restaurant needs for tenant ‘s management of the company and its employees or to entertain the
guests of tenants.

 Polyclinic as a health service center providing first aid services as well as health checks for
employees of tenant companies.

 Pool Container as a special place provided for Employee Bus and Truck, Container parking so as
not to inhibit the smoothness of the área road traffic.

 A 24-hour security unit (SATPAM) that is trained and resilient for the implementation of security and
order in the Sentul Industrial Estate area.

 Security Post as a place for security checkpoint equipped with monitor for survailance on

CHAPTER IV
PROCEDURES FOR UNIT PURCHASE

obtaining change of Building Construction Permit (IMBG), prepared with planning for optimal utilization.

1. Marketing Information

Information regarding the warehouse unit can be found in detail information at the Marketing Office
domiciled in Sentul Industrial Estate, Jl. Olympic Raya Kav.B - Commercial Area, Sentul - Bogor.

2. Purchase Procedure of Building Unit

For potential investors who already have price agreement and have determined particular building unit, can
follow up the transaction process as follows:

a) Preparing a Letter of Intent (in case necessary))


b) Signing Unit Order Form
c) Signing Warehouse Order Agreement.
d) Signing Sale and Purchase Agreement
e) Signing Minutes of Unit Handover
f) Payment for VAT (Value Added Tax) and BPHTB (Land and Building Rights Levies)
g) Explanation and Signing on Service Charge and Estate Regulations Agreement
h) Signing the Sale and Purchase Certificate in the presence of Notary Public (PPAT/Land Certification
Official)

CHAPTER V
SCOPE OF SERVICE AND PROVISION ON RIGHT TRANFER

1. Services for OCBD Warehousing and Industrial Cluster Estate

In an effort to provide investment facilities for potential investors, OCBD Warehousing Estate
Management in cooperation with one business entity provide service of:

a) Handling additional Electricity Capacity (PLN)


b) Amendment of Building Purpose Permit (IMB)
c) UKL and UPL document handling
d) UKL & UPL monitoring reports
e) UKL and UPL documentation handling
f) Provision of manpower
g) Giving recommendation for telephone connection
h) Giving recommendation for internet connection

2. Transfer of Right to Land and Building or Lease

Any owner of warehouse unit that will transfer rights or lease the land and building to another party
is obliged to report in written to estate management to ensure the fulfillment of the following
provisions:

1) The type of business is in the categories allowed to operate within the warehousing and
industrial cluster estate.

2) The new owner or tenant is obliged to sign Management Agreement with / or estate
management, and observe all provisions contained in estate rules as well as costs imposed
by estate management.

3) Administration cost for transfer of rights is 2.5% from NJOP (Taxable goods) value and
responsible of the first owner or subsequent owner and paid to estate management.

4) Fulfill all obligations to estate management by previous owner. In the event of any transfer
without knowledge of estate management, all the obligations of previous owner shall be the
responsibility and paid by the new owner / tenant to the estate manager.

CHAPTER VI
PROVISIONS FOR DOING BUSINESS IN THE AREA

A. GENERAL

1. Building Usage

• Every unit is only used for the purpose of warehousing or industrial activities that do not violate
any regulatory requirements of PT Bogorindo Cemerlang and Indonesian government.

• The use of building space should be in accordance with its business license and should not be
used for other purpose, for instance: vehicle pool, dormitory, etc.

2. Land and Building Maintenance

Owner of warehouse unit should always maintain every building, open space / park and parking
area always in clean and tidy condition.

3. Building Inspection

PT Bogorindo Cemerlang as estate manager or Official appointed is entitled to enter and inspect
every building. In case there is any violation of the cluster regulation, the officer will send warning
letter and in case after receiving warning letter and the unit owner does not correct the violation not
later than 7 (seven) working days, then the manager have the right to make correction and any
costs incurred shall be the full responsibility of building owner.

4. Enter In Emergency

In an emergency, PT Bogorindo Cemerlang or its appointed officer may enter the building unit of
the resident company without prior notice, eg fire, drugs, immoral and criminal.

5. Disturbance

In conducting its business, the tenant company is not allowed to cause any disturbance including
but not limited to what is mentioned below:

•Smoke
• Pollution
• Blasting
• Strong Scent
• Dust
• Vibration
• Electromagnetic Disorder
• Noise

Any acts or negligence that interfere the community and the rights or using tenant area for other
industrial business units are considered as disturbance.

6. Maintenance and Warranty Costs

a. Every month tenant company is required to pay maintenance fee in accordance with the
maintenance fee agreement that is used for the maintenance of estate facilities and
infrastructure such as the area clean and environmental safety.

b. Maintenance fees are subject to change with prior notice.

c. Payment of maintenance fee is made upfront on every 1st day of the month and in case it is
exceeding the 15th day of the month then it is considered as a delay.

d. Late payment of maintenance fee is subjected to a fine of 0.1% per day.

e. In case the obligation to pay maintenance fee is not done at the latest 30 days from the due
date, all kind of services and facilities from the estate management shall be postponed for the
company concerned and for recovery the tenant should finish its obligations and bear the cost
of reconnection .

f. In order to ensure the smooth payment of maintenance fee, tenant company is obliged to put
security deposit to Estate Manager for 1 (one) month maintenance fee upon signing the
maintenance contract or parallel at the time of payment the first month maintenance fee.

7. Image Marks

Tenant companies are not allowed to put signs, images or posters within the OCBD warehouse
environment without written permission from PT Bogorindo Cemerlang.

8. Security and Order in Sentul Industrial Estate

Security and order within the environment of the area is generally the responsibility of the security
unit in PT. Bogorindo Cemerlang which is its implementation require coordination and cooperation
with security unit of tenant company in carrying out its duties, as follows:

a. Security for People

Every employee of the company is required to have personal identification from the company and
tenant company is responsible for the employee in and out and any violations committed by that
employee.

b. Security for Traffic

c. Warehouse Security

Security and order within the area of tenant companies shall become their own responsibility,

 In carrying out its business every tenant company is obliged to comply with the applicable labor
regulation in order to increase work productivity.

 Tenant companies are responsible for any loss arising from their employees action as a result of
deviations from any applicable labor regulations.

10. Insurance and Indemnification

Tenant company is required to insure its premises and the management shall not responsible for any loss,
damage or claim from any third party over the property of tenant company for any reason whatsoever, unless
proven otherwise.

11. Vehicle Levies

In order to acquire more sources of local income and for the interest of local security in the area, sticker is
applied for every tenant’s vehicle, with the following provisions:

• Passenger vehicle = Rp. 10,000, - / year.

CHAPTER VII
TECHNICAL PROVISIONS

For the purpose of establishing warehousing and industrial cluster orderly & beautiful, it is necessary to have
rules governing the planning of the existing buildings within the area, in order to create harmonious
environment.
However general requirement on renovation of building and addition on building are as follows:

1. Any changes and additions to buildings outside the IMB (Building Construction Permit) that have
been issued by Local Government should obtain prior written approval from PT Bogorindo
Cemerlang and the Government.

2. Payment Warranty, every investor should deposit Rp 20.000.000, - (twenty million rupiah) without
receiving interest to PT. Bogorindo Cemerlang during construction / renovation period. This deposit
is used to replace damage caused by the contractor to the infrastructure owned by PT. Bogorindo
Cemerlang, for instance: roads, drains, power grids, FO/Fiber Optic network / telephone network,
Hydrant network, etc.
This warranty will be returned to the investor after the construction period is completed afater
reduced by damage cost (if any).
3. Not allowed to change facade and building theme: design, color and same material as Standard
Unit.

4. Unit hook and excess of land 360 M2


Not allowed to add permanent construction from existing building, except for supporting construction
(PLN Substation, Genset Substation, Parking Area and Guard Post Inside road line 6 M of the plot
and 3 M from the back of the plot is not allowed for any construction, except for: flagpole, garbage
bin, underground water tank, parking lots and electrical substations.

5. Place for loading and unloading goods


Place for loading and unloading goods (direct or transit) is specified within the boundary of plot land
concerned. It is not allowed to load and unloading goods (direct or transit) on the road and green
line.

6. Dump / Storage of Goods


All items/material should be kept in a walled room and not visible from outside. Not allowed to store
/ stockpile any goods, materials, spare-parts outside of warehouse building, for example on open
area in front of building.

7. Vehicle Parking Place


Adequate parking space should be provided for guest vehicle, company vehicle or contract vehicle,
employee vehicle and transport vehicle. It is not allowed to park or put any vehicle on the road
because it can disturb smooth flow of traffic within the area.

8. Groundwater Acquisition
Any Company is prohibited to explore, drill and acquire underground water without permission of
PT. Bogorindo Cemerlang and local authorities.

CHAPTER VIII
ENVIRONMENTAL IMPACT CONTROL

Buildings designated as a place for production is a place where an industry is expected to produce a quality
and competitive product. In order for the industry to operate stable and comfortable and free from any
disturbance from other tenants as well as from any surrounding communities, it is necessary for joint effort
from all parties to keep sustainable environment and manageable environment that remain balance.

In order to achieve environmental sustainability and balance, each investor should pay attention and
observe the requirements as described below:

1. Air Quality

Air quality from each factory (investor) should meet quality standard for air quality and emission quality
standard based on Decree of SK Gub. KDH TK I Jabar No.660.31 / SK / 694-BKPMD / 82 and Kep
Men.LH No.Kep .13 / MenLH / 3/1995 dated March 7 1995 (Attached)

In case the quality of waste does not meet quality standard, the factory concerned is obliged to install
air pollution control devices such as: Dust Collector, Wet Scrubber, and Filter according to the type of
production.

2. Noise Quality

Factories (investors) whose factory activity has potential to generate noise should control the noise in
order not to exceed the noise quality standard, in accordance with Decree of SK.Gub KDH TK.I Jabar
no. 660.31 / SK / 694-BKPMD / 1982 where the threshold values for area surrounding shopping
complexes, roads and factories are as follows:

a. The threshold value at work : 85 dBA


b. Threshold value for society & industry environment:

* Night Time : <50 dBA


* Morning and Evening : <55 dBA
Daytime : <60 dBA

3. Liquid Waste Quality

a. Wastewater disposal
Each investor is required to provide a wastewater treatment system within the area of each unit
before flowing through the area tunnel.

b. Wastewater Quality Standard


Wastewater from production process to be discharged to the area sewerage system should meet
the liquid waste quality standards for industrial activities, in accordance with Decree of
SK.Gub.KDH.TK.I Jabar No.16 of 1997, Group I (Attachement)
In case of domestic wastewater as well as the production to be discharged to the area sewerage
system, however not yet qualified the standard of quality, the relevant factory (investor) should

4. Quality of Solid Waste (Garbage)

a. PT Bogorindo Cemerlang will provide garbage bins in each lot as a domestic solid waste reservoir
(NON B3) before it is managed by estate management.

b. Every factory (investor) is required to provide dumps and solid waste management systems (non
B3) from industrial activities.

c. Every factory (investor) producing B3 solid waste is required to provide temporary storage system
of B3 solid waste before being processed outside the location of the estate, pursuant to Government
Regulation PP.RI No.19 of 1994 and PP.RI No.12 of 1995.

5. UKL and UPL

Every investor is required to make Environmental Processing Effort (UKL/Upaya Pengolahan


Lingkungan) and Environmental Monitoring Effort (UPL/Upaya Pemantauan Lingkungan) with reference
to AMDAL of the estate.

All provisions / regulations set forth in this Estate Regulation shall apply and bind on every tenant located in
the Warehouse and Industrial Cluster OCBD since the date of its effective.

2. VIOLATION AGAINST ESTATE REGULATION

a) PT. BOGORINDO CEMERLANG may perform investigation into the building whose operated within
the Warehouse and Industrial Warehouse Cluster Area OCBD, request for information and take
appropriate arrangement properly.

b) Any violation against the provisions of any Estate Regulations prior to the enactment of the Estate
Regulation shall be made to the extent of possible adjustment the implementation of which shall be
the responsibility of investor.

c) Any consequences of violation of Estate Regulation shall be borne and responsibility of the investor.

d) The Management reserves the right to exercise partial or total restrictions against usage of Facilities
and infrastructure within the Area to any tenant in case any violation to the above-mentioned
regulation. Such restrictions for instance blocking access road into the Area and delaying
households and offices waste collection etc.

3. AMENDMENT AND PERFECTION OF ESTATE REGULATIONS

PT. BOGORINDO CEMERLANG as the Management shall always evaluate and may change (add or
reduce) the content of this Estate Regulation in accordance with the development of prevailing Government
Regulations & Industrial Public Regulations or new related provisions set forth in the future.
Any amendments to the prescribed Estate Regulation will be informed and binding to all Tenants in OCBD
Warehousing and Industrial Clustering Area.

In case there is any deficiency or error in the provisions of this Estate Regulation will be revised and
improved accordingly.
