REGIONAL SERVICE AGREEMENT

THIS AGREEMENT is made and entered into by and between:

PT. Panasonic Gobel Eco Solutions Sales Indonesia, a company duly established
and operating under the laws of Indonesia, having its place of business at Summitmas
1 Building. Jl Jend Sudirman Kav 61-62, Jakarta, Indonesia (hereinafter referred to as
“PESGSID”).

PT. Panasonic Gobel Indonesia, a company duly established and operating under
the laws of Indonesia, having its place of business at Jl. Dewi Sartika No. 14 (Cawang
II), Jakarta 13630, Indonesia (hereinafter referred to as “PGI”).

Panasonic Eco Solutions Asia Pacific, a company duly established and operating
under the laws of Singapore, having its place of business at 202 Bedok South Avenue
1 #01-14 Singapore 469332 (hereinafter referred to as “PESAP”).

WHEREAS, PESGSID and PGI desires to appoint PESAP as Regional Management

Service Provider for its business operation in Indonesia.

WHEREAS, PESAP is willing to provide Regional Management Services to

PESGSID and PGI.

THEREFORE, in consideration of the mutual covenants and obligations set forth

below, the parties agree as follows:

1. Regional Management Services

During the term of this Agreement, PESAP agrees to provide and render its
professional services and expertise in business management to PESGSID and
PGI.

Scope of Service

Provision of business management, consultancy services and organisation

support in areas covering Sales and Distribution, Planning, Accounting and
Finance in Indonesia.

2. Remuneration and Payments

In consideration of the services rendered by PESAP, PESGSID shall pay to

PESAP a service fee as follow:

Period : April 2018 to April 2019

Total Management Fee : 252.000.000 per month

 A Debit Note will be issued on a monthly basis by PESAP to PESGSID.
Payment shall be made by PESGSID within ten (10) days from the end of the
month from the date the Debit Note is issued.

A Debit Note will be issued on a monthly basis by PESGSID to PGI. Payment

shall be made by PGI within ten (10) days from the end of the month from the
date the Debit Note is issued.

3. Taxes

If there are any taxes which PESGSID and PGI is required to pay under the
applicable laws in Indonesia, PESGSID and PGI agrees to bear the burden of
such tax.

Payment to PESAP shall be without any deduction or withholding.

4. Terms and Termination of the Agreement

This Agreement shall be valid starting from April 1, 2018 and ending on April
30, 2019 and can be renegotiated on a yearly basis.

IN WITNESS WHEREOF, the parties have caused this Agreement to be executed

and authorized by below.
