MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

This Memorandum of Agreement is made and entered into by and between:

none delete this portion) herein by the _______________________________, and
hereinafter referred to as __________________,

Vet Precision Animal Health Centre, hereinafter referred to as Vet Precision, (add
if deemed necessary), a private veterinary establishment duly organized and created
under the laws of the Republic of the Philippines, aimed at providing excellent and
affordable veterinary services to the citizens of ______________, with a pet ambulance,
laboratory, clinic, and competent veterinarians that are available seven days a week, with
principal office address at _________________, represented herein by its
_______________, John Christopher Mangalus, and hereafter referred to as JP

Witnesseth:

WHEREAS, (insert here first party) is willing to invest a total of P150,000 in the form of
currency of legal tender in the Philippines;

WHEREAS, Vet Precision is willing to provide a return of investment amounting up to

P210,000 in the form of products and services for a span not longer than thirty (30) months.
(optional, if none delete this the attachment portion) The details of which are indicated in its
proposal, Attachment A;

WHEREAS, Vet Precision was established to provide excellent and affordable

veterinary services to the citizens of ______________;

WHEREAS, John Christopher Mangalus is duly empowered to enter into, sign and
execute this Memorandum of Agreement in behalf of Vet Precision

NOW, THEREFORE, in consideration of the above premises, the parties mutually agree
on the following:

Article 1
TITLE OF THE PROJECT

The project is entitled “_______________________________”

Article 2
PROJECT

Section 1. Project proposal. – Vet Precision shall ________________________.

Section 2. Modification of project proposal. – No modification of the PROJECT PROPOSAL or

any deviation in the implementation of the same different from that as contained shall be allowed
without the written agreement between ______________ and Vet Precision. Modification of any
part of the project proposal shall be contained in an Amended Project Proposal that shall
supplant Attachment A upon signing its conformity thereto by both parties.

The Amended Project Proposal shall contain the original project proposal. Additions thereto
shall be typed in capital letters while deleted letters, words, phrases or paragraphs shall be
bracketed for easy reference.

Section 3. Assignment of rights. – No part of the project including the rights thereto maybe
transferred or assigned by Vet Precision nor shall any part of the project be subcontracted
without the written consent of _______________.

Article 3
FUNDING

Section 1. Provision of funds. – _______________ shall provide the total amount of

__________________________________ in Philippine currency, for the project for a period of
__________________ to be computed from the date of receipt.

Section 2. Mode of Payment/Release of Funds. – The funds for the project shall be given in
either of the following:

 One-time payment of P150,000, Philippine Currency

 Installment payment for 2 months, or P75,000 monthly
 Installment payment for 5 months, or P30,000 monthly

Article 4
OBLIGATIONS OF THE PARTIES

Section 1. Obligation of Vet Precision. – Vet Precision shall receive the funds from the herein
parties abovementioned, and shall use the said funds for the furtherance, improvement, and
acquisition of necessary equipment herein specified in the proposal, Attachment A.

Section 2. Obligations of the investors. – ______________ shall disburse a total of

____________ in Philippine Currency, the same which shall be received by ________________.

Section 3. Return of Investment. – Vet Precision shall provide the herein investor with different
veterinary services, some of which includes:

 30% discount on laboratory services

 No home service charge fees
 Free Usage of the Pet Ambulance
 P210,000 worth of products and services within the span of 30 months

Article 5
COMPLAINTS HANDLING

Complaints shall be handled with utmost dispatch and in accordance with the formal Complaint
Procedure created for the purpose and approved by Vet Precision.

Article 6
TERMINATION OF THE MEMORANDUM OF AGREEMENT

Section 1. Grounds. – At Any time after the execution of this contract, this MOA may be
terminated at the instance of ANY OR BOTH PARTIES hereto or by reason of default described
hereunder without prejudice to any other rights or remedies it is entitled under this MOA and
applicable law.

Section 2. Events of Default – Each of the following events shall constitute a valid ground for
default:
 Any failure, neglect or inability on the part of EITHER OF THE PARTIES to comply
with any of the terms and/or conditions of this MOA
 Any misrepresentation or breach of warranty made in connection herewith and proven to
have been incorrect or misleading as of the time it was made;
 The present contract cannot be performed due to force majeure;
 The Clinic suffers from losses and is unable to continue operation.

Section 3.Procedure – Termination of this MOA shall be by service to the other party of a written
notice of termination, which shall take effect thirty (30) days after receipt of said written notice

Article 7
TERM OF AGREEMENT

This Memorandum of Agreement shall take effect on _______________________, and shall be

terminated on _______________________. This MOA may be renewed every two (2) years at
the option of Vet Precision alone upon such terms and conditions as may be agreed upon by
them, unless sooner revoked BY EITHER PARTY.

Article 8
SEPARABILITY CLAUSE

If any part of this Memorandum of Agreement shall for any reason be declared invalid and
unenforceable, the remaining portion not affected therein shall remain in full force and effect as
if the parties would not have executed this MOA had they known the invalidity or
unenforceability thereof.

Article 9
NON-LIABILITY CLAUSE

This Memorandum of Agreement shall not in any manner create an employer-employee

relationship between the PARTY and/or its employees and Vet Precision so as to make one
liable and/or responsible for any personnel injury or damage, including death sustained or caused
by any of the personnel of the PARTY assigned to the centers particularly with respect to the
Labor Code of the Philippines and all other social legislation laws and in connection therewith,
the PARTY agrees and binds itself to save and hold Vet Precision from any and all liabilities
arising wherefrom.
