SERVICES AGREEMENT

This Services Agreement (“Agreement”) is made on the day of
{$AGREEMENT_DD_MM_YYYY}.

BY AND AMONG

NESTAWAY TECHNOLOGIES PRIVATE LIMITED, a private limited company


registered under the Companies Act, 2013 having its registered office at #1556, 19 th Main,
HSR Sector 1, Bangalore 560102 (hereinafter referred to as the ‘Nestaway’ which expression
shall, unless it to be repugnant to the context or meaning thereof, deem to mean and include
its executors, administers and permitted assigns), of the FIRST PARTY;

of {$OWNER_FATHER_NAME}, residing at {$OWNER_PERMANENT_ADDRESS}
hereinafter referred to as the “Owner”, (which term shall, unless it is repugnant to the
context, mean and include its executors, administers and permitted assigns) of the SECOND
PARTY;

The Nestaway and Owner are hereinafter collectively referred to as the “Parties” and
individually as the “Party”.

WHEREAS

A. NestAway is engaged in the business of building a technology platform for real estate
market; facilitating rental transactions & various services & processes around it.

B. The Owner is the actual owner of or is entitled to lease the property located at
{$HOUSE_ADDRESS} (‘Scheduled Property’).

C. The Owner is desirous of using services of NestAway in accordance with Annexure A


of this Agreement in leasing the Scheduled Property subject to the terms and
conditions as mentioned in this Agreement.

D. Based on the mutual understanding and agreement among the Parties, the Parties have
decided to enter into this Agreement on the terms and conditions herein below:

NOW THEREFORE THIS AGREEMENT WITNESSETH AS UNDER:

1. TERM

The initial term of this agreement shall start on {$SERVICE_START_DATE} & end
on one year thereafter (“Initial Term”). Upon conclusion of this initial term, this
agreement shall automatically renewal in one-year increments (“Renewal Term”),
unless otherwise cancelled at the end of each term by providing at least 60 days of
written notice.

In the event that either party wants to terminate the agreement during the term, he can
terminate it in accordance with terms set forth in Clause 12.

“Term” shall collectively mean and include the Agreement terms represented by the
Initial Term and the Renewal Term (if applicable).

2. EXCLUSIVITY OF ENGAGEMENT

The Owner hereby engages NestAway on an exclusive basis during the Term of this
Agreement to provide its Services to the Scheduled Property located at
{$HOUSE_ADDRESS}. The Parties agree that NestAway shall be the sole cause of

any lease of, or agreement to any lease of the Scheduled Property, whether such
agreement is made in writing or orally.

3. LEASING OF SCHEDULED PROPERTY

The Owner shall partner with NestAway to lease the Scheduled Property as per the
following process.
1. Owner shall specify his tenant preference & verification requirements.
2. Owner shall specify the monthly rent he expects from tenants.
3. Owner & NestAway shall execute this service Agreement.
4. Owner shall furnish the Scheduled Property with required fixtures & furniture
as detailed in “Furnishing Clause” or utilize services of NestAway approved
furnishing rental vendors. NestAway shall assist the Owner in furnishing if
required.
5. Once furnished, NestAway shall upload the Scheduled Property on its portal.
6. It shall show the Scheduled Property to interested tenants & if any tenant
expresses interest, NestAway shall collect verification details from the tenant
& submit to the Owner for approval.
7. Upon approval, NestAway shall prepare the lease agreement between Owner
& Tenant & complete other move-in formalities on behalf of owner.
8. During tenancy, NestAway shall collect monthly rent on Owner’s behalf &
deposit it in Owner’s account after deducting its charges. NestAway shall
make a separate payout to the Owner in case the tenant defaults on payment of
rent.
9. NestAway shall facilitate maintenance work required at the Scheduled
Property during the term of this agreement.

4. SCOPE OF SERVICES

Nestaway shall provide the Owner with services as mentioned in Annexure A of this
Agreement (“Services”) to enable leasing the Scheduled Property to suitable tenants.
Such Services will start from {$SERVICE_START_DATE} (“Effective Date”).

The Owner hereby grants full power & authority to NestAway to perform all actions
necessary to discharge Services to the Owner, Scheduled Property & tenants as
detailed in Annexure A. Any such actions shall be deemed ratified & approved by the
Owner. Additionally, the Owner grants NestAway the right to enter the Scheduled
Property at anytime during the Term hereof.

5. TENANT PREFERENCE & VERIFICATION

NestAway, through its owner onboarding portal, shall collect Owner’s preference of
tenants & monthly rental. NestAway shall show the Scheduled Property to tenants
who agree to abide by these preferences.

For verification, NestAway shall mandatorily collect ID proof & address Proof of
tenants. It shall also collect tenant employment proof, wherever available, & tenant
permanent address details. Once a tenant expresses interest to stay in the property, all
these verification details shall be submitted to the Owner for approval. The Owner has

a 48 hour window to approve or reject the tenant. If the Owner doesn’t act within 48
hours, the tenant is considered auto approved. The tenant can move-in to the property
only after Owner approval.

In case of rejection, the Owner shall specify the reason which shall be communicated
to the tenant & NestAway shall continue showing the Scheduled Property to other
prospects.

6. SECURITY DEPOSIT

Once approved, the tenants shall pay 2 months of rent to NestAway on behalf of the
Owner as refundable security deposit. NestAway shall deposit the amount with the
Owner within 7 working days of tenant move-in.

NestAway shall furnish a refundable advance of INR {$SECURITY_DEPOSIT} at
the time of signing this agreement which shall be treated as security deposit from
tenants & shall be refunded to NestAway upon termination of this agreement. The
details of the advance payment is captuted in Annexure F of this agreement.

Upon the receipt of such amount of security deposit from NestAway, the Owner shall
give to NestAway in writing a receipt, acknowledging the same, which shall contain
the details of the deposit like amount of deposit, date of deposit, mode of transfer etc,
in the form and manner provided under Annexure F.

In cases where NestAway pays money to the Owner in lieu of tenant security deposit
in advance before it collects the same from tenants, it shall have the right to collect
security deposit from tenants, adjust it against its advance & deposit the remaining
money, if any, in the Owner’s account. The advance deposit hence furnished to the
Owner shall be deemed as security deposit from tenants in the lease agreement.

The Owner shall refund the security deposit, through NestAway, to tenants after
necessary deductions on the day of tenant move-out.

In cases where NestAway refunds the security deposit, on behalf of the Owner, to
tenants on their moving out, it shall have the right to adjust such money from payable
towards the Owner.

{if $BANK_GUARANTEE == ‘yes’}


It is expressly agreed that NestAway shall have the option to provide the Owner a
bank guarantee of amount equal to tenant security deposit in lieu of the refundable
security deposit that NestAway shall collect from tenants. This bank guarantee shall
serve the role of security deposit. Upon termination of this agreement, the bank
guarantee shall turn void.

Such bank guarantee shall be exercised by the Owner in case he needs to deduct
money from the tenant security deposit to cover for any unpaid rent, approved repair
& move-out charges that was supposed to be paid by the tenant but the tenant did not

pay. Owner shall provide notice of at least 72 hours to NestAway before he encashes
the bank guarantee. The bank guarantee shall be valid during the Term of this
Agreement & will expire on termination of this Agreement.

In cases where the Owner takes bank guarantee in lieu of refundable security deposit,
he shall not be required to receive or refund security deposit every time a tenant
moves in or out respectively.

The Owner shall be able to exercise the bank guarantee directly from the bank without
NestAway’s involvement. The bank guarantee document shall be given to the Owner
within seven days of this Agreement.

7. RENT

The Owner shall have the absolute authority to decide the monthly rent per tenant &
minimum lock-in period & NestAway shall find tenants accordingly. The tenant shall
be required to pay a month’s rent as penalty if he/ she moves-out of the property
before the expiry of the lock-in period.

The Owner shall be entitled to change the rent before the tenant moves in. Thereafter,
he shall change the rent based on mutual discussion with the tenant at the end of every
lease period.

For any given month, NestAway shall collect the rent from tenant(s) & deposit it in
Owner’s bank account before 5th of the next month after deducting its charges & any
other amounts payable by the Owner to NestAway. For example – rent for the month
of February shall be paid to the Owner on or before 5th March.

In case of rent default by a tenant in a given month, NestAway shall remind the tenant
via email on daily basis for the payment till the end of the coming month. If it does
not receive the rent within a month of its becoming due, NestAway, with Owner’s
consent, shall initiate legal proceeding against the defaulter tenant asking them to pay
the due & vacate the property at the earliest. The defaulter tenant shall be banned to
lease NestAway homes anywhere in India henceforth without settling the unpaid rent
& fine if any.

If NestAway determines that the Owner is owed rental money from tenants for more
than 30 days, NestAway shall make necessary payments to the Owner irrespective of
payment collection from the tenants or the Owner shall be authorized to invoke the
bank guarantee wherever applicable.

To allow sufficient time for rent collection in case of late payment/default, NestAway
shall have the option to collect rent from tenants at the beginning of month.

For purposes of clarity, it is expressly agreed that the Owner’s rental income is based
on actual occupancy at the Scheduled Property. This Agreement creates no liability on
NestAway for rental payment during the period the Scheduled Property remains fully
or partially vacant.

It is expressly agreed that all payments shall be made through bank accounts only.

8. OTHER PAYMENTS

In cases where NestAway pays money to tenant & partner vendors on behalf of the
Owner for structural repair, wear & tear repair, cleaning the house at beginning of the
Agreement etc, NestAway shall have the right to adjust such money in addition to its
monthly charges against monthly rent due to the Owner. NestAway shall submit
necessary bills, estimations & invoices to that effect & seek Owner’s approval over
email.

If the payment is for less than INR 500, the owner shall approve or reject within 24
hours or it will be considered auto-approved. If the payment is for more than INR
500, the Owner shall approve or reject within 48 hours or such payment shall be
withheld.

However in special cases of pending utility bills & other statutory payments including
society maintenance fees that the Owner owes, NestAway is authorized to pay upto
INR 5000 & reimburse the same from Owner’s rent without having to wait for
Owner’s approval if it doesn’t come within 24 hours. NestAway shall ask for explicit
Owner approval for payment larger than INR 5000.

The Owner shall be able to dispute a payment within 48 hours of such a payment
being made on his behalf with necessary documentation including original bills &
receipts. If NestAway, based on the documents submitted, determines that the Owner
is owed money, it shall send a refund payout to the Owner within next 48 hours.

9. FURNISHING & FITTINGS AT THE PROPERTY

It is required that the Scheduled Property has fittings & furnishing in good working
condition as detailed in Annexure B for the Scheduled Property to be onboarded onto
NestAway portal. It is the Owner’s responsibility to provide such furnishing during
the term of this Agreement.

NestAway shall provide the furnishing & fixture checklist to the Owner at start of the
Agreement based on which the Owner shall make the necessary arrangements. This
checklist shall detail new furnishing as well as repair & replacement of existing
furnishing & fitting requirement before leasing the property to tenants. NestAway,at
the Owner’s option, shall facilitate furnishing at the Scheduled Property through its
partner vendors.

The Owner shall have option of furnishing the Scheduled Property at his own expense
or he can utilize services of furnishing rental vendors, through NestAway, wherever
possible. The charges for furnishing rental service, if utilized, shall be separate & will
be in addition to the regular service charge under this Agreement as defined in
Annexure A of this Agreement. Any furniture & fixture taken on rent & deployed at
the Scheduled Property during the Term shall be returned to the vendor(s) on
termination of the Agreement.

Owner owned fixtures & furnishings shall be subject to wear & tear depreciation as
per Indian Generally Accepted Accounting principles to ascertain their value in case
of a damage claim.

The Owner shall store & furnish receipts, bills, invoices & warranty cards, if any, of
furnishing & fittings as & when a damage claim is filed for faster settlement.

10. MAINTENANCE OF THE PROPERTY & FURNISHING

In the event of any damage to the Scheduled Property & its furnishing during the term
of this Agreement, it shall be borne by either the tenant or the Owner based on
Annexure D of this Agreement that details maintenance responsibility between Owner
& tenant. Either party can raise a maintenance request providing details of the issue.
NestAway shall seek approval of the maintenance request either from Owner or the
tenant based on the provisions of Annexure D, and facilitate the maintenance work.

The Owner shall respond to any maintenance request approval within 48 hours. In
case NestAway pays any maintenance charges on behalf of the Owner, such payments
shall be governed under “Other Payments” section of this Agreement.

In case damages to the Scheduled Property or its furnishing are caused by tenants, the
Owner shall be entitled to recover damage charges from the security deposit or the
bank guarantee whichever is applicable.

11. NESTAWAY CHARGES

In lieu of its Services, NestAway’s service Charges are described in Annexure A of


this Agreement.

The Owner shall be responsible for paying NestAway all the Charges subject to the
terms and conditions contained therein. Any services that is not mentioned in
Annexure A shall not be deemed to be included & charges for such services will be
separate and if provided, the Owner shall pay for it separately. NestAway reserves the
right to deduct its charges from payable to the Owner, if any.

Nestaway reserves the right to change its prices, as may be mutually agreed subject to
60 days’ notice to the Owner.

12. TERMINATION

This Agreement shall be terminated in any of the following circumstances:

In the event the Services are not provided by Nestaway, Owner shall be entitled to
terminate this Agreement after giving one (1) month written notice to rectify the
breach.

Notwithstanding anything written in this Agreement, either party can terminate the
Agreement by

a) Giving one months advance notice to the other party;


b) Or by paying a move-out charge equivalent to one months of rental based on
actual occupancy at the time of termination in lieu of the notice period;
c) By mutual agreement between the Parties.

Any dues owed by either Party to the other shall be settled within seven days of
termination of the Agreement.

13. REPRESENTATIONS AND WARRANTIES

13.1 The Owner hereby undertakes that he is the lawful owner, or has necessary
valid legal documents from the real owner of the property to enter into this
Agreement. The Owner further undertakes that NestAway shall not be liable
for any dispute regarding ownership of the Scheduled Property or the validity
of entering into this Agreement during the Term of the Agreement and the
Owner shall keep NestAway and its directors indemnified from all such
events.

13.2 The Owner further undertakes that all dues including but not limited to
government fees & dues towards local authorities & apartment societies shall
be paid by Owner during the Term of the Agreement.

13.3 The Owner further undertakes that the Scheduled Property is free from any
default, foreclosure, contract for sale, option to purchase, contract for deed or
any other obligation which would be in conflict with the intention of this
Agreement.

13.4 The Owner further undertakes that all maintenance, electricity, telephone and
water charges & dues towards governmental agencies and apartment societies
that would have arisen with respect to the said Schedule Premises prior to the
commencement of this Agreement has been paid. NestAway reserves the right
to deduct such payments from payable towards the Owner in case it pays such
amount on behalf of the Owner.

13.5 NestAway undertakes that it has all legal permissions to enter into this
Agreement & shall indemnify the Owner should there be disputes regarding
validity of this Agreement.

14. LIMITATION OF LIABILITY

Except to the extent caused by NestAway’s gross negligence or wilful misconduct,


NestAway, its employees & including its agents & independent contractors shall have
no liability whatsoever under this Agreement.

15. INSURANCE

NestAway shall partner with insurance companies that offer home insurance covering
the structure and content of properties. If the Owner purchases home insurance for the
Scheduled Property from NestAway partner insurer, NestAway shall assist and carry
out documentation for claim settlement with the insurer in case of any damage.

16. DISPUTE RESOLUTION

a. Any bona fide problem with the Services will be brought to the attention of
Nestaway’s representatives. In the event a reported problem is not resolved by
Nestaway’s representatives to reasonable satisfaction, within seven (7) days of
notification, such problem will be escalated to Nestaway’s senior
management. In the event the problem is not resolved within ten (10) days of
escalation the Parties shall resolve such disputes by the procedure set out in
Clause below.

b. Any dispute or difference arising between the Parties out of this Agreement
that could not be settled amicably shall be settled in the Courts of Bangalore.
Subject to the above, courts in Bangalore shall have exclusive jurisdiction to
deal with any dispute or difference between the Parties arising out of this
Agreement.

17. CONFLICT

In the event of conflict between the terms of Annexures and this Agreement, the
former shall prevail.

18. SEVERABILITY
If the court of law finds any provision or clause or part thereof of this Agreement to
be invalid or void in full part or in part, the remainder of the clause and this
Agreement shall continue to be valid, enforceable and effective.

19. COUNTERPARTS

This Agreement shall be executed simultaneously in two counterparts, each of which


shall be deemed as original and shall constitute as one and the same instrument.

NESTAWAY CHARGES

NestAway shall deduct {$NESTAWAY_COMMISSION} of the rental received in every


month towards service charges. For purposes of clarity, this
{$NESTAWAY_COMMISSION} is applicable only on rental received and creates no
obligation on Owner to pay NestAway.

The Owner hereby authorizes NestAway for collection & deposit of rent & security deposit
on his behalf from tenants in the scheduled property as has been mutually agreed between the
parties as per the authorization letter present with this agreement.

The Owner shall be able to change rent of any of the bed(s) at his discretion after this
agreement signature.

This rent shall include monthly maintenance charges & any other charges that the Owner
is obligated to pay as levied by the society or govt. bodies irrespective of the property
being rented or not. It shall not include water, electricity, DTH, Internet bills etc, which
shall be borne by tenants separately on per-use basis.

For purposes of clarity, it is expressly agreed that the Owner’s rental income is based on
actual occupancy and this annexure to the Agreement creates no liability on NestAway
for rental payment for the period the Scheduled Property remains fully or partially vacant.

ANNEXURE D

Division of maintenance responsibilities between the Owner and the Tenant

The following Annexure has been prepared in compliance with Model Residential Tenancy
Act 2011, a draft by Ministry of Housing & Urban poverty alleviation, Govt. of India.

As per this draft Act, the Owner will be responsible for repairs relating to matters falling
under Part A and the tenant shall be responsible for matters falling under Part B.

Part A
: Structural Repairs to be got done by the Owner

1. Structural Repairs except those necessitated by the damage caused by the tenant. 

2. Whitewashing of walls and painting of doors and windows. The owner shall paint the
interior, doors & windows at the beginning of the agreement period & thereafter at least
once in three years.
3. Changing plumbing pipes when necessary 

4. Any major repair due to natural wear & tear of appliances & furniture. The tenant shall
pay for such damages if they cause it.
5. Any repair, replacement & maintenance issues arising during the first two months of the
agreement period. Thereafter, the charges for such maintenance shall be borne by tenants.

Part B
: Day-to-Day repairs to be got done by the Tenant 



1. Changing of tap washers and taps 

2. Drain cleaning 

3. Water closet repairs 

4. Wash Basin repairs 

5. Bath tub repairs 

6. Geyser repairs 

7. Circuit breaker repairs 

8. Switches and socket repairs, Replacement of bulbs
9. Repairs and replacement of electrical equipment except major internal and external

wiring change 

10. Kitchen fixtures repairs 

11. Replacement of knobs and locks of doors, cupboard windows etc. 

12. Replacement of flynets 

13. Replacement of glass panels in windows, doors etc. 

14. Periodic maintenance of private gardens and open spaces, if any, let out to the tenant.
15. Periodic maintenance of appliance & furniture.

NestAway shall bear upto total of INR 500 per month worth service visit charges in relation
to repair at the scheduled premise including electric, plumbing, furniture & appliance repair.

FURNITURE & APPLIANCE BUYBACK ANNEXURE

NestAway undertakes to buyback furniture & appliances from owner if the following
conditions are met.
1. The owner furnishes the house with new furniture & appliances via facilitation with
NestAway.
2. The owner requests for buyback during the agreement period.
3. The furniture & appliance buyback is requested within
{$BUY_BACK_TIME_PERIOD_MONTHS} months from the agreement effective date.
4. The entire set of furniture & appliances that are bought new with NestAway’s facilitation
are offered for buyback.

The buy-back price would be governed by buy-back schedule as mentioned below.
