Johnny Uy,

We of William N. Reyes and Associates are willing to represent you as counsel as regards to the
order of the SEC General Counsel for the creation of a panel to render an Accounting dated May 31,
2016 and in other related matters to the said Accounting that may be filed in other courts, tribunals,
and agencies.

Our service will cover the proper implementation of the Accounting to be conducted in the SEC or
in any other court, tribunal or agency and the recovery of the monies and properties adjudged to
belong to Mr. Johnny Uy.

Pursuant to the issue of the proceeding, we will engage the service of an independent accounting
and auditing firm to ascertain the accuracy and correctness of the financial condition of the
companies involved.

We kindly request that we be forwarded a copy of all the relevant documents and evidences for us
to properly evaluate and prepare for the proceeding so that we may represent you to the best of our
ability.

All information obtained during our engagement will be kept strictly confidential and is subject to
lawyer-client privilege. We will send you a copy of all pleadings, documents, and all other relevant
information obtained throughout the proceeding as to keep you abreast as to its status.

The principal factor in determining our legal fee will be the time and effort devoted to the matter
and the hourly rates of the lawyers and the staff involved. As we have yet to properly evaluate the
intricacy of the issue at hand due to the lack of the necessary documents, the legal fees may be
subject to change. For our legal fees, we are requesting P750,000.00 as our Acceptance Fee. Our
rate is at P1,750.00 per hour for all legal work such as the preparation of the necessary pleadings
and documents and appearances in any tribunal, court, and agency. All other necessary and related
expenses that we may incur such as filing fees and other legal fees, as well as the cost of engaging
the services of an independent auditor will be included in the billing statement which will be sent
monthly. Payment is due upon receipt of the statement.

As per the initial conference conducted, there is a possibility that the Accounting may be suspended
or terminated upon compromise with the adverse party regarding the properties to be distributed.
We reserve the right to collect on all legal fees already completed and all expenses that were
already incurred prior to the termination of the proceeding.
