DEED OF ASSIGNMENT OF SHARES OF STOCK

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Assignment of Shares (this "Deed”) executed this ____ of ___________ ________ at

________________________, hereinafter referred to as the “Assignor”.

and

______________, of legal age, married to ____________, Filipino with address at

__________________________ , Philippines, hereinafter referred to as the “Assignee”;

W I T N E S S E T H : That -

WHEREAS, the Assignor is the registered owner of _____ (__) common share of stock of
_____________________ (the “Corporation”) covered by Stock Certificate No. ______ (“Subject Shares”).

WHEREAS, the Assignor desires to sell and Assignee desires to purchase the Subject Shares for the purchase
price of ____________________ Pesos (PhP____.00).

WHEREAS, the Assignor hereby sells, assigns, transfers and conveys to the Assignee the Subject Shares and
the latter hereby acquires and accepts all of the right, title and interest to the Subject Shares of stock.

WHEREAS, the Assignor and Assignee agree to execute or cause to be executed all such other documents,
contracts or instruments as may be necessary or required in order to carry out the intent and purposes of this Deed.

WHEREFORE, through this Deed, the Assignor gives his consent to and hereby instructs and authorizes the
Corporate Secretary of the Corporation to cancel the Stock Certificate of the Corporation, which is in his name,
representing his ________ (__) share of stock and issue a new stock certificate in the name of the Assignee. This Deed
shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
