I. INSTRUCTIONS TO BIDDERS

1. Introduction

1.1. The following Tender Documents and Preliminary Tender Drawings are
issued to every Bidder upon receipt of payment of Rp. 20.000.000,- in the
form of a check made payable to the order of PT. JAYA MANDIRI SUKSES.
This charge of payment is used for the need of aanwidjzing expenses for 2
days trip and 2 persons only. The expenses included tender documents file,
hotel accommodation, meals, and inland transportation but excluded air fare.
The above payment is not refundable being a charge for the documents.

1.3. Safety Requirements

Special attention should be paid to the protection of personnel from contact


with moving parts, sufficient handrails on platforms, stairs, cages around
ladders, gratings over openings etc. Emergency electric stop push buttons for
conveyors etc to be provided

1.4. Detailed Construction Drawings

The successful contractor must present 3 (three) full set of


construction/workshop drawings of every individual equipment inclusive of
mechanical, civil and structural details for the approval of the employer
before proceeding to fabricate and construct. This is also necessary for site
supervision.

2. Intent of the Tender Documents

2.1. The Bidders will present his proposals with the understanding that the intent
of the Contractual Documents is to embrace the construction of the Plant
which is the object of this Tender, and that the Bidders will have to supply
without extra charge or additional cost, all the labor and material that would
be necessary to complete any part of the project in appropriate form,
according to and within the stipulated time for completion.

2.2. Any neglect or failure on the part of the Bidders to obtain reliable
information, on the spot or elsewhere, upon the foregoing or upon any other
matters affecting the execution, delivery or the erection of the Plant or Works
as defined in the Contract, shall not relieve the Bidder whose tender is

accepted from any liabilities or from the responsibility of completing and


handing over the complete works as defined in the Contract.

2.3. The Employer does not guarantee the accuracy of any information contained
in the Tender Documents and of any information supplied by or on behalf of
the Employer in respect of the Works.

4. Submission of Tender

4.1. All tenders (one original + CD / soft copy) shall be addressed to:

and shall be received not later than 16.00 WIB /local time on 15th January
2010.

4.2. The following information and tender components have to be presented:


- Tenders and specifications for equipment as specified in these Tender
Documents.
- Inland transportation and Insurance.
- Erection Cost.
- Details of local costs.
- Form of Tender (Appendix 1 to this section).
- Any other information that is not specifically mentioned in this paragraph
but which, in these Tender Documents, is required to be supplied by
Tenders.
- To make effective the Deposit of Guarantee as mentioned in paragraph 4
(four) of this section.

4.3. All documents tender must be in order as follow :

- Quotation / Proposal and detailed Bill of Quantity (BOQ)


- Detail Construction Drawing
- Company Profile
- Reference letter from other companies who has been corporate in the
same project ( Palm Oil Mill) minimum two letters from different group
company
- Legal documents such as: Articles of Incorporation and its latest
amendments, SIUP (Surat Ijin Usaha Perusahaan), TDP (Tanda Daftar
Perusahaan), NPWP (Nomor Pokok Wajib Pajak).
- Bid Bond / Bank Guarantee

4.4. To assure the acceptance of this offer, the Bidder must present it under the
same name and responsibility of the Firm that obtained the Tender
Documents from the Employer to make his proposals.

4.5. The proposal must be presented sealed, signed. The proposals shall include
all the required documents duty signed.

The proposals shall be packed in one or more properly brown sealed


envelopes (Legal Size), clearly marked in capital letters in the upper left hand
corner “TENDER FOR PT JAYA MANDIRI SUKSES-BANGKIRAI
PALM OIL FACTORY”

The original copy of the Tender Documents shall be marked “Original


Tender” and the others “Copy of Tender”. In the event of any discrepancy
the copy marked “Original Tender” shall prevail.

4.6. The proposals shall be presented with a validity of 180 calendar days from
the delivery date.

4.7. Bidders shall not be reimbursed for any expenditure incurred in the
preparation and submission of their Tenders.

5. Bid Bond/Bank Guarantee

5.1. The Tenders must be accompanied with an acceptable Bid Bond or a Bank
Guarantee from first class local / reputable Bank which has authority from
Finance Ministry to arise Bank Guarantee or Bank that has approved by
Employer in an amount not less than 1% (one percent) of the total tender
price of all items in which the tender is submitted, valid for 180 calendar
days (or any agreed extension thereof) following the opening of the Tenders.

The Bid Bond or Bank Guarantee shall be payable either in the currency of
the Tender or in Rupiah. The deposit shall be held as guarantee of the good
faith of the Bidders and the performance of the obligations under taken by
them.
5.2. The Bidders deposit shall be retained until a tender has been definitely
accepted and the Contract signed.

5.3. There after unsuccessful Bidders may withdraw their deposits. The time
during which deposits will be retained shall, however, not exceed 180
calendar days (or any agreed extension thereof) from the date of the opening
of the Tenders.
5.4. The successful Bidder’s deposit shall be released after signing of the contract
and after the selected Bidder (here in after called “the Contractor”) will
have provided the Performance Bond in an amount not less than 10% (ten
percent) of the total tender price to the Employer’s entire satisfaction.

5.5. Any Tender without a Bid Bond/Bank Guarantee will be disqualified and
no further consideration will be given to such tenders.

5.6. In a case of a Bank Guarantee this Guarantee must stipulate that the Bank
will be able to make it effective on the Employer’s behalf, when the Bidder is
successful in obtaining the award but does not fulfill the further procedure
with regard to signing the Contract, or does not provide the Performance
Bond to the Employer’s entire satisfaction within the appropriate time.

5.7. If for any reason the Bidder declared successful does not proceed with the
further procedure with regard to signing the Contract, or does not provide the
Performance Bond within the specified terms, the Employer reserves the
right to select another Bidder.

6. Evaluation and Comparison of Tenders

6.1. In comparing Tenders, PT JAYA MANDIRI SUKSES will consider such


factors as degree of compliance with Specifications; quality and availability
of supplies, services and spare parts; Bidder’s financial responsibility, skill,
experience within the field of the palm oil industry; ability to furnish repair
and maintenance services; the delivery time and performance offered
including facilities such as plant, equipment, technical organization and
working capital to begin manufacture and work promptly and execute it
vigorously in such a manner as to secure delivery within the time specified.

6.2. The Employer does not bind himself to accept the lowest or any tender, and
will not give any reason for the rejection of any tender.

7. Formal Contract

The accepted Bidder shall be required to execute and sign within 15 days of the issue
of notification of the acceptance of his tender a formal contract as laid down in
appendix 2 of these Tender Documents.

8. Materials, Labour, etc.

Bidders must inquire and satisfy themselves as to the conditions prevailing at the site
and as to the sufficiency of the means of transporting all materials, labor, power,
water and other matters and possible contingencies affecting the execution,
completion and maintenance of the Plant.

9. Beginning and Completion of Works

9.1. The Contractor must begin the work to which this Contract refers within 15
calendar days, after the date of signing the Contract. Bidders must guarantee
in their tender that the Plant shall be ready for regular operation within the
time limit specified in the offer for the Plant and the guarantee time limit will
be considered an important factor in the award of the Contract.

9.2. Should the Contractor, due to his own inability, fail to have the Works ready
for regular operation within the guaranteed time limit set for the Plant, he
shall be liable to the penalties specified in the Contract.

10. Approval of Sub-Contractors

The Bidders shall submit as part of their tender a list of the proposed sub-contractors
specifying the works to be carried out by them. Any subsequent change in this list
has to be approvped by the Employer prior to effectuation.

to the Tender Documents to be jointly and severally bound with us in the sum of
10% (ten percent) of the Contract Price, to be held by you as security for the due
performance of our obligations under the Contract and which may be set off by way
of compensation against any loss or damage resulting from any breach of Contract on
our part. All cost in this connection have been included in our Tender. This guarantee
shall be valid for the whole duration of the Contract until taken over by you in
accordance with the terms of the Contract.

4. Bank Guarantee/ Performance Bond of 10% of Contract Price will be required


against down payment for duration of contract.

5. We agree to abide by this Tender for the period of …… days from the date fixed for
receiving the same and it shall remain binding upon us and may be accepted at any
time before the expiration of that period.

6. Unless and until a formal Agreement is prepared and executed this Tender, together
with your written acceptance thereof, shall constitute a binding Contract between us.

construction completion and maintenance of the Works the Contract Price at the
times and in the manner prescribed by the Contract.

II. GENERAL CONDITIONS OF CONTRACT

CLAUSE 1
Definition of Terms

In construing these General Conditions of the Specification, the following words shall
have the meanings herein assigned to them unless there is something in the subject
matter or context inconsistent with such construction: - The "EMPLOYER" shall
mean PT. JAYA MANDIRI SUKSES shall include the Employer’s legal personal
representatives, successors and assigns.

1.1. The "Contractor" shall mean the Company whose tender has been accepted by
the Employer, and shall include the Company’s legal personnel representatives,
successors and assignees

1.2. "Sub-Contractor" shall mean any person or Company (other than the
Contractor) named in the Contract for any part of the Works or any person to
whom any part of the Contract has been sub-let with the consent in writing of
the Engineer, and the legal representatives, successors and assignees of such
person/company.

1.3. "Engineer" shall mean the Engineer or some other person for the time being or
from time to time duly appointed in writing by the Employer to act as
Engineer for the purpose of the Contract, or in default of such appointment the
Employer.

1.4. "Plant" shall mean and include machinery, apparatus, materials, articles and
things of all kinds and the like intended to form or forming part of the Works.

1.5. The "Works" shall mean and include all plant to be provided and work to be
done by the Contractor under the Contract.

1.6. “Letter of Acceptance” or “Letter of Intent” shall mean the formal acceptance
by the Employer of the Tender.

1.7. The "Contract" shall mean the agreement between the Employer and the
Contractor for the execution of the Works howsoever made, including therein all
documents to which reference may properly be made in order to ascertain the
rights and obligations of the parties under the said agreement.

1.8. The "Contract Price" shall mean the sum named in the Contract as the Contract
Price.

1.9. The "Specification" shall mean the specification annexed to or issued with these
General Conditions.

1.10. The "Site" shall mean the actual place or places to which the plant is to be
delivered or where work is to be done by the Contractor, together with so much
of the area surrounding the said place or places as the Contractor shall with the
consent of the Engineer actually use in connection with the Works otherwise than
merely for the purpose of access to the said place or places.
1.11. "Test Runs" shall mean no load tests and commissioning of the Plant until such
time as the "Tests on Completion" shall be carried out.

1.12. "Tests on Completion" shall mean such tests to be made by the Contractor
before the Works are taken over by the Employer as are provided for in the
Contract and such other tests as may be agreed between the Employer and the
Contractor.

1.13. "Month" shall mean calendar month.

1.14. "Writing" shall include any manuscript, typewritten or printed statement, under
seal or hand - written as the case may be.

1.15. Words importing persons shall include firms and corporations and any
organization having legal capacity.

1.16. Words importing the singular only shall also include the plural and vice versa
where the context requires.

CLAUSE 2
Contractor to Inform Himself Fully

The Contractor shall be deemed to have examined the Site, if access thereto has been
available to him and the General Conditions, Specification, Schedule, Drawings and
Plans.
CLAUSE 3
Performance Bond

3.1. The Contractor shall provide a Performance Bond by a first class Bank in
Indonesia to be jointly and severally bound with the Contractor to the Employer
in a sum amounting to 10 per cent of the Contract Price for the due performance
of the Contract. Value of Performance Bond should be in the same currency as
the Contract. The said Bank shall be approved by the Employer in the form
acceptable to the Employer. Insurance guarantee shall not be accepted. The
obtaining of such Bond and the cost thereof shall be at the expense in all respects
of the Contractor. This Bond shall be valid up to the Completion of the Contract
and will be returned for cancellation within 14 days after Taking-Over of the
Works.
3.2. If the Bond for the due performance of the Contract required to be furnished
pursuant to this clause shall not be duly furnished by the Contractor to the
Employer within one month from the date of the Letter of Acceptance, the
Employer may, at his option, without prejudice to any rights or claims he may
have against the Contractor by reason of the Contractor's noncompliance with any
of the provisions of this Clause, and within seven days after the expiry of the
said period, by notice in writing to the Contractor terminate the Contract
forthwith, and the Employer shall thereupon not be liable for any claim or
demand from the Contractor in respect of any thing then already done or
furnished, or in respect of any other matter or thing whatsoever in connection
with the Contract, but the Employer shall be entitled to be repaid by the
Contractor all out-of-pocket expenses properly incurred by the Employer
incidental to the obtaining of new tenders.

Documents Mutually Explanatory

The provisions of the General Conditions and Conditions of Particular Application shall
prevail over those of any other document forming part of the Contract. Subject to the
forgoing the several documents forming the Contract are to be taken as mutually
explanatory of one another but in case of ambiguities or discrepancies the same shall be
explained and adjusted by the Engineer, who shall thereupon issue to the Contractor
instructions directing in writing in what manner the work is to be carried out. Provided
always that if, in the opinion of the Engineer, compliance with any such instructions shall
involve the Contractor in any expense which, by reason of any such ambiguity or
discrepancy, the Contractor did not and had reason not to anticipate, the Engineer shall
certify and the Employer shall pay such additional sum as may be reasonable to cover
such expense.

CLAUSE 5
Drawings

5.1. Drawings referred to in the Contract Documents shall mean the drawings
supplied by the Employer and those provided by the Contractor under the terms
of this Contract.

5.2. General layout and arrangement drawings showing the buildings, plant and
ancillary equipment are included in the Contractor Documents as shown in the
Schedule of Drawings attached.

5.3. The Contractor shall, prior to the carrying out of the actual work, furnish the
Engineer with the necessary details, Civil Works drawings and shop drawings
prepared for the purpose of giving detailed instructions to the Contractor's
workshops or to his sub-contractors where such detail drawings are not included
in the Schedule of Drawings. The Contractor shall submit two copies each of
such drawings to the Engineer who shall signify his approval and otherwise
within 28 days of receipt of the drawings. One copy of each drawing will be
returned to the Contractor with the Engineer's decision.

5.4. All drawings listed under the Schedule of Drawings and any other drawings as
may from time to time be prepared and issued by the Engineer, or as may from
time to time be issued by the Contractor and approved by the Engineer, shall be
deemed to form part of the Contract Documents.

5.5. The notice of the Engineer's approval of any drawings submitted by the
Contractor will only signify his general approval of the design and shall not
relieve the Contractor of his obligations and responsibility under the Contract.

5.6. Drawings signed as above described shall not affect the increase of Contract Price
except as provided in Clause 26 (Variations and Omissions).

5.7. The Engineer shall have the right at all reasonable times to inspect at the factory
of the Contractor all drawings against any portion of the Works.

5.8. The Contractor shall furnish to the Employer at the commencement of the
maintenance period drawings other than shop drawings of the Works as

completed, in sufficient detail to enable the Employer to maintain, dismantle,


reassemble, and adjust all parts of the Works.

CLAUSE 6
Mistakes in Drawings

The Contractor shall be responsible for any discrepancies, errors, or omissions in


the drawings and other particulars supplied by him, whether such drawings and
particulars have been approved by the Engineer or not, provided that such discrepancies,
errors, or omissions are not due to inaccurate concept design or particulars furnished in
writing to the Contractor by the Employer or the Engineer.

The Employer shall be responsible for drawings and information supplied in writing by
the Employer or the Engineer and for the details of special work specified by either of
them. The Employer shall agree in writing and pay any extra cost reasonably incurred by
the Contractor due to any alterations of the work necessitated by reason of inaccurate
concept design so supplied to the Contractor.

CLAUSE 7
Ruling Language

The language according to which the Contract shall be construed and interpreted shall be
English. Correspondence between the Contractor and the Engineer and the Engineer's
Representative shall be in English or Bahasa Indonesia. All notes and titles on drawings
shall be in English or Bahasa Indonesia and dimensions shall be given in Metric units.

If there is any conflict, discrepancy, or ambiguity, between the English language version
and Bahasa Indonesia version, the English language version shall prevail.

CLAUSE 8
Law Governing Contract

The Contract shall be and shall be deemed to be an Indonesian Contract and shall
accordingly be governed by and construed according to the Laws for the time being
in force in Indonesia and the Indonesian Courts shall have exclusive jurisdiction
arising out of the Contract and the Contractor hereby submits to the jurisdiction of
the Indonesian Courts for the purpose of any such actions and proceedings.

CLAUSE 9
Patent Rights Etc

9.1. The Contractor shall fully indemnify the Employer against all actions, claims
demands, costs, charges and expenses arising from or incurred by reason of any
infringement of letters patent, design, or copyright by the use of any plant
supplied by the Contractor, but such indemnity shall not cover any user of the
Works otherwise than for the purpose indicated by or reasonably to be inferred
from the Specification.

9.2. In the event of any claim being made or action brought against the Employer
arising out of the matters referred to in this Clause, the Contractor shall be
promptly notified thereof and may at his own expense conduct all negotiations

for the settlement of the same, and any litigation that may arise there from. The
Employer shall not, unless and until the Contractor shall have failed to take over
the conduct of the negotiations or litigation, make any admission, which might be
prejudicial thereto. The conduct by the Contractor of such negotiations or
litigation shall be conditional upon the Contractor having first given to the
Employer such reasonable security as shall from time to time be required by the
Employer to cover the amount ascertained or agreed or estimated, as the case
may be, of any compensation, damages, expenses, and costs for which the
Employer may become liable. The Employer shall, at the request of the
Contractor, afford all available assistance for the purpose of contesting any such
claim or action, and shall be repaid any expenses incurred in so doing.

9.3. The Employer on his part warrants that any design or instructions furnished or
given by him shall not be such as will cause the Contractor to infringe any letters
patent, registered design, trade mark, or copyright in the performance of the
Contract.

CLAUSE 10
Customs And Import Duties, Surtax Etc.

The Contractor shall not include in his rates for customs and import duties, surtax etc. on
any Plant and materials to be incorporated into the permanent works.

Upon production to the Engineer of proof for such payments the Contractor will be
reimbursed by the Employer.

However, the customs duty on everything else shall not be reimbursed by the Employer
but shall be included by the Contractor in his rates.

The Employer will be responsible for obtaining clearance through the customs of all
Plant and Contractor’s Equipment and in procuring any necessary Government consent
to the re-export of Contractor’s Equipment upon removal from the Site.

CLAUSE 11
Workmen's Compensation

11.1. The Contractor shall forthwith and as a precedent to the commencement of any
work under this Contract take out at his own expense with an insurance company
to be approved by the Engineer in writing a policy or policies of insurance
indemnifying the Contractor and the Employer from all liabilities arising out of
claims by any and every workman employed in and for the performance of this
Contract for payment of compensation under or by virtue of the Workmen’s
Compensation Legislation or any other law amending or replacing such
Legislation and from all costs and expenses incidental or consequential thereto.

11.2. The said policy or policies so taken out shall be deposited with the Engineer and
the Contractor shall maintain it or them in full force and effect by payment of all
premiums from time to time on he first day on which the same ought to be paid
and until the completion of this Contract and upon demand the Contractor
shall produce to the Engineer the last receipt for payment of such premiums.

11.3. Nothing in this Clause shall be construed to take away or to waive or in any
manner to modify the right of the Employer to be indemnified by the Contractor
in respect of all compensation, costs and other expenses whatsoever which by
reason of the Contractor’s default or otherwise become payable by the Employer
under the said Legislation or other law.

CLAUSE 12
Wages and Hours of Work

12.1. The Contractor shall in respect of all persons employed by him in the
execution of the Contract pay rates of wages and observe hours and conditions of
labour not less favorable than those established for the trade or industry in the
district where the Works are carried out.

12.2. In the absence of any rates of wages, hours, or conditions of labour the
Contractor shall pay rates of wages and observe hours and conditions of labour
which are not less favorable than the general level of wages, hours, and
conditions observed by other employers whose general circumstances in the trade
or industry in which the Contractor is engaged are similar.

12.3. The Contractor shall be responsible for the observance of this Clause by
subcontractors.

CLAUSE 13
Insurance of Works Etc

Without limiting his obligations and responsibilities under Clause 30(Care of Works)
hereof the Contractor shall insure in the name of the Employer against all loss or damage
from whatever cause arising (other than the excepted risks) for which he is responsible
under the terms of the Contract and in such manner that the Employer is covered during
the construction of the Works and up to and including the date of the taking-over of the
Works for loss or damage arising from a cause occurring prior to the commencement of
the Maintenance Period and for any loss or damage occasioned by the Contractor in the
course of any operations carried out by him for the purpose of complying with his
obligations under Clause 43 (Maintenance Period - Defects After Taking Over).

13.1. The works and the temporary work to the full value of such works executed from
time to time.

13.2. The Contractor's Equipment, Plant, Materials, Machinery and other things
brought on to the Site by the Contractor to the full value of such Materials, Plant,
Machinery, Contractor’s Equipment and other things.

13.3. Such insurance shall be affected with PT [____] and in terms approved by the
Employer (which approval shall not be unreasonably withheld) and the
Contractor shall deposit with the Engineer the policy or policies of insurance and
the receipts for payment of the current premiums. All deductibles shall be borne
by Contractor. Provided always that without limiting his obligations and
responsibilities, as aforesaid nothing in this Clause contained shall render the
Contractor liable to insure against the necessity for the repair or reconstruction of

any work constructed with materials or workmanship not in accordance with the
requirements of the Contract.

13.4. In the event of loss or damages by fire to any works, buildings, materials or
things insured under this Clause all monies received by the Employer under the
insurance policies shall be paid by the Engineer to the Contractor by such
installments as the Engineer may deem reasonable and shall be applied by the
Contractor in or towards the re- building, repair or replacement as aforesaid and
shall have no claim to any payment in respect thereof beyond the payment to him
of the said monies, provided that in case of any loss or damage by fire as afore
said the Engineer shall allow the Contractor such extension of time for the
performance of this Contract as shall be just and reasonable.

CLAUSE 14
Third Party Insurance

Before commencing the execution of the Works the Contractor (but without
limiting his obligations and responsibilities under Clause 31 [Liability for
Accidents and Damage) hereof shall insure against any damage loss or
injury which may occur to any property (including that of the Employer) or
to any person (including any employee of the Employer) by or arising out
of the execution of the Works or Temporary Works or in the carrying out
of the Contract otherwise than due to the matters referred to in the
proviso to Clause 31 hereof.

CLAUSE 15
Failure of Contractor to Insure to

If the Contractor shall fail to effect and keep in force the insurance herein-before referred
to or any other insurance which he may be required effect under the terms of the
Contract then and in any such case the Employer may effect and keep in force any
such insurance and pay such premium or premiums as may be necessary for that purpose
and from time to time deduct the amount so paid by the Employer as aforesaid from
any Moines due or which may become due to the Contractor or recover the same as a
debt due from the Contractor.

CLAUSE 16
Employee’s Provident Fund

The Contractor shall comply with any law at present in force in Indonesia providing for
Employee’s Provident Fund/ Astek or Jamsostek and with all Regulations and Rules
from time to time made there under and shall in particular be responsible for the
payment into the Employees' Provident Fund/Astek or Jamsostek of all contributions
required under that law in respect of all persons employed by the Contractor or any
authorized Sub- Contractor in and for the performance of this Contract.

CLAUSE 17
Local and Other Authorities Notices and Fees

The Contractor shall comply with and give notice required by and written law,
regulations and by-laws of any local authorities and/or any public service company
or authorities relating to the works or with whose system the same are or will be
connected and he shall pay and indemnify the Employer against any fees or charges
demandable by law there under in respect of the Works.

CLAUSE 18
Sufficiency of Tender

The Contractor shall be deemed to have satisfied himself before tendering as to the
correctness and sufficiency of his Tender for the Works and of the rates and prices stated
in the priced Schedule of Contract Values and the Schedule of Rates and Prices which
rates and prices shall except in so far as it is otherwise provided in the Contract
cover all his obligations under the Contract and all matters and things necessary for
the proper completion and maintenance of the Works. If, however, during the execution
of the Works the Contractor shall encounter physical conditions or artificial obstructions
which conditions or obstructions could not have been reasonably foreseen by an
experienced contractor the Contractor shall forthwith give written notice thereof to the
Engineer and if in the opinion of the Engineer such conditions or artificial
obstructions could not have been reasonably foreseen by an experienced Contractor
then the Engineer shall certify and the Employer shall pay the additional expenses to
which the Contractor shall have been put by reason of such conditions including the
proper and reasonable expense.

18.1. Of complying with any instruction which the Engineer may issue to the
Contractor in connection therewith and.

18.2. Of any proper reasonable measures approved by the Engineer which the
Contractor may take in the absence of specific instructions from the Engineer as
a result of such conditions or obstructions being encountered.

CLAUSE 19
Assignment and Sub-Letting of the Contract

The Contractor shall not, without the consent in writing of the Employer, which shall
not be unreasonably withheld, assign or transfer the Contract or the benefits or
obligations thereof or any part thereof to any other person, provided that this shall not
effect any right of the Contractor to assign, either absolutely or by way of charge, any
Moines due or to become due to him, or which may become payable to him under the
Contract. The Contractor shall not, without the consent in writing of the Engineer, which
shall not be unreasonably withheld, sub-let the Contract or any part thereof, or make any
sub-contract with any person or persons for the execution of any portion of the Works
other than for materials, for minor details, or for any part of the Works of which the
makers are named in the Contract. Any such consent shall not relieve the Contractor
from his obligations under the Contract.

CLAUSE 20
Contractor's Equipment

20.1. Unless specific arrangements are made to the contrary the Contractor shall, at his
own expense, provide all materials, labour, haulage, power, tools, tackle and
apparatus necessary to execute and complete the Works.

20.2. The Contractor shall be responsible for the proper fencing, guarding, lighting and
watching of all the Works on the Site until taken over and for the proper
provision during a like period of temporary roadways, footways, guards and
fences as far as the same may be rendered necessary by reason of the Works for
the accommodation and protection of the owners and occupiers of adjacent
property, the public and others. No naked light shall be used by the Contractor on
the Site otherwise than in the open air without special permission in writing from
the Engineer.

20.3. The Contractor may be entitled, upon Engineer’s approval, to use such supplies
of electricity, water and gas as may be available on the Site for the purpose of the
Works and shall, at his own expense, provide any apparatus necessary for such
use and shall pay to the Employer for such use such sum as may be reasonable in
the circumstances.

20.4. The Employer shall at the request of the Contractor and for the execution of the
Works operate any suitable lifting equipment belonging to the Employer that may
be available on the Site and the Contractor shall pay a reasonable sum therefore.
The Employer may during such operation retain control of the working of the
lifting equipment.

CLAUSE 21
Vesting of Plant

Plant supplied pursuant to the Contract shall become the property of the Employer at
whichever is the earlier of the following times, namely:-

21.1. When the Plant is delivered pursuant to the Contract.

21.2. When the Contractor has been paid any sum to which he may become entitled in
respect thereof either pursuant to Clause 22 (Delivery of Plant) or pursuant to
Clause 46 (Terms Of Payment).

All tools, tackle and stores on the Site for the purpose of the Works shall vest in and be
the property of the Employer, and shall be used solely for the purpose of the Works and
shall not be taken away by the Contractor while they are required on Site for the purpose
of the Works without the permission in writing of the Engineer, and the Contractor shall
be liable for the loss or destruction thereof or damage thereto which may happen
otherwise than through the fault of the Employer. If there shall be due, owing, or
accruing to the Employer from the Contractor any Moines under or in respect of the
Contract, of which the Employer shall be unable to obtain payment, the Employer shall
be at liberty at the cost of the Contractor to sell and dispose of any surplus stores and any
such tools and tackle as he shall think fit, and to apply the proceeds in or towards the
satisfaction of such Moines as aforesaid. Subject to the foregoing the property in any
surplus stores and in all such tools and tackle as aforesaid shall revert to the Contractor
on the completion of the Works or the termination of the Contract whichever may be the
earlier.

CLAUSE 22
Delivery of Plant

22.1. No Plant shall be delivered to the Site until intimation in writing has been applied
for and obtained by the Contractor from the Engineer that the Employer is ready
to take reception. The Contractor shall be responsible for the reception on the
Site of all Plant delivered for the purposes of the Contract.

22.2. If, by delay or failure on the part of the Engineer to give the said intimation or
from any cause for which the Employer or some other contractor employed by
him is responsible, the Contractor shall be prevented from delivering any plant
to the Site at the time specified for the delivery thereof or, if no time is so
specified, at the time when it is reasonable for it to be delivered having regard to
the date by which the Works ought to be completed, and shall have suitably and
sufficiently marked the said Plant as appropriated to the Contract, and shall
have given the Engineer an opportunity of inspecting the said Plant, then and in
any such case :-

22.2.1. The reasonable additional expense incurred in storing and adequately


protecting and preserving such Plant against loss, deterioration, or damage
and of insuring it against fire from the time when the said Plant would
have been delivered until the Contractor shall be no longer prevented
from delivering it shall be added to the Contract Price.

22.2.2. The Contractor may at any time after one month from the date of the last
mentioned notice require that the value of the said Plant be included in
any interim certificate thereafter to be given.

22.2.3. If at the expiration of two months from the date of the said notice the
Contractor shall still be prevented as aforesaid from delivering the said
Plant to the Site it shall be deemed to have been taken over by the
employer.

22.2.4. If the Contractor shall, within twelve months from the date of the said
notice, cease to be so prevented as aforesaid he shall, if required by the
Engineer, make the tests on completion or such of the said tests as may
reasonably be required for the purpose of testing the said Plant and Clause
40 (Tests on Completion) shall apply. Any expense to which the
Contractor may be put in making the said tests pursuant to this Clause,
which would not have been incurred if the delivery of the said Plant had
not been prevented as aforesaid, shall be added to the Contract Price.

22.2.5. If tests shall be made pursuant to paragraph (d) of this sub-clause the
obligations set forth in Clause 43 (Maintenance Period) shall apply as if
for the period therein mentioned there had been substituted a period of
twelve months after the said plant shall have passed the said tests.
CLAUSE 23
Contractor's Representative and Workmen

23.1. The Contractor shall employ one or more competent representatives, whose
names shall have previously been communicated in writing to the Engineer by
the Contractor, to superintend the carrying out of the Works on the Site. The said
representative, or if more than one shall be employed, then one of such
representatives, shall be present on the Site during working hours, and any orders
or instructions which the Engineer may give to the said representative of the
Contractor shall be deemed to have been given to the Contractor.

23.2. The Engineer shall be at liberty by notice in writing to the Contractor to object to
any representative or person employed by the Contractor in the execution of or
otherwise about the Works who shall, in the opinion of the Engineer, misconduct
himself or be incompetent or negligent, and the Contractor shall remove such
person from the Works and such person shall not again be employed on the
Works without the written permission of the Engineer. Any person so removed
from the Works shall be immediately replaced by a competent substitute
approved by the Engineer.

CLAUSE 24
Quality of Materials and Workmanship

All material and workmanship shall be so far as procurable be of the respective


kinds described in the Drawings and Specifications and the Contractor shall upon the
request of the Engineer furnish him with vouchers to prove that the materials comply
therewith. The Contractor shall arrange and/or carry out any test of any materials which
the Engineer may in writing require and the cost thereof shall be added to the Contract
Price unless the test shows that the said materials and/or workmanship are not in
accordance with this Clause. No second hand materials shall be used in fabrication.

In the event that equipment parts of machinery or material do not conform to the
specifications, the contractor shall replace the said items. All cost incurred in the
replacement and the consequential loss shall be for the Contractor’s account.

CLAUSE 25
Work To Be To Satisfaction of Engineer

Save in so far as it is legally or physically impossible the Contractor shall execute


complete and maintain the Works in strict accordance with the Contract to the
satisfaction of the Engineer and shall comply with and adhere strictly to the Engineer's
instructions and directions on any matter (whether mentioned in the Contract or not)
touching or concerning the Works. The Contractor shall take instructions and directions
only from the Engineer or from the Engineer's representative.

CLAUSE 26
Variations and Omissions

26.1. The Contractor shall not alter any of the Works, except as directed in writing by
the Engineer, but the Engineer shall have full power, subject to the proviso
hereinafter contained, from time to time during the execution of the Contract by
notice in writing to direct the Contractor to alter, amend, omit, add to, or
otherwise vary any of the Works, and the Contractor shall carry out such
variations, and be bound by the same conditions, so far as applicable, as though

the said variations, were stated in the Specification. Provided that no such
variation shall, except with the consent in writing of the Contractor, be such as
will, with any variations already directed to be made, involve a net increase or
decrease in the Contract Price of more than 15 per cent thereof. In any case in
which the Contractor has received any such direction from the Engineer which
either then or later will, in the opinion of the Contractor, involve an increase or
decrease in the Contract Price, the Contractor shall, as soon as reasonably
possible, advise the Engineer in writing to that effect. The difference of cost, if
any, occasioned by any such variations, shall be added to or deducted from the
Contract Price as the case may require. The amount of such difference shall be
ascertained and determined in accordance with the rates specified in the
Schedule of Rates, so far as the same may be applicable, and where rates are not
contained in the said Schedule, or are not applicable, such amount shall be
agreed between the Engineer and the Contractor.

26.2. If the Engineer shall make any such variation in any part of the Works, such
reasonable notice in writing shall be given to the Contractor as will enable him to
make his arrangements accordingly, and in cases where Plant is already
manufactured or in course of manufacture, or any matter done or drawings or
patterns made that require to be altered, a reasonable sum in respect thereof shall
be allowed by the Engineer. If in the opinion of the Contractor any such variation
is likely to prevent or prejudice the Contractor from or in fulfilling any of his
obligations under the Contract, he shall notify the Engineer thereof in writing,
and the Engineer shall decide forthwith whether or not the same shall be
carried out. If the Engineer confirms his instructions in writing, the said
obligations shall be modified to such an extent as may be justified. If the
Engineer does not so confirm his instructions they shall be deemed to be
withdrawn.

26.3. The Contractor shall send to the Engineer, once in every month, an account
giving particulars (as full and detailed as possible) of all claims for any
additional expenses to which the Contractor may consider himself entitled and of
all extra or additional work ordered by the Engineer which he has executed
during the preceding month, and no claim for payment for any such work will
be considered which has not been included in such particulars.

26.4. If, with the consent in writing of the Contractor, the total value of all variations
ordered under the provisions of this Clause exceeds 15 per cent of the Tender
Price, the Contract Price shall be amended by such sum as shall be agreed upon
between the Engineer and the Contractor. In the event of disagreement the
Engineer shall fix such sum as shall in his opinion be reasonable and proper,
regard being had to all material and relevant factors including the Contractor’s on
costs and overheads.

CLAUSE 27
Manner of Execution

All Plant to be supplied and all work to be done under the Contract shall be
manufactured and executed in the manner set out in the Specification or, where not so set
out, to the reasonable satisfaction of the Engineer.

CLAUSE 28
Setting Out

The Contractor shall be responsible for the true and proper setting-out of the Works in
relation to original points lines and levels of reference given by the Engineer in writing,
and for the correctness (subject as above mentioned) of the positions, levels, dimensions
and alignment of all parts of the Works and for the provision of all necessary instruments
appliances and labor in connection therewith. The checking of any setting out or of any
line or level by the Engineer shall not in any way relieve the Contractor of his
responsibility for the correctness thereof.

CLAUSE 29
Programmed To Be Furnished

29.1. As soon as practicable after the acceptance of his Tender the Contractor shall if
required submit to the Engineer for his approval a programmed showing the order
in which he proposes to carry out the Works including design, manufacture,
delivery to site, erection and commissioning. The submission to and approval by
the Engineer of such programmed shall not relieve the Contractor of any of his
duties or responsibilities under the Contract.

29.2. After submission to and approval by the Engineer of such programmed the
Contractor shall adhere to the order of procedure and method stated therein
unless he obtains the written permission of the Engineer to vary such order or
method.
CLAUSE 30
Care of Works

30.1. From the commencement to the completion of the Works the take full
responsibility for the care thereof and of all Temporary Works and in case any
damage loss or injury shall happen to the Works or to any part thereof or to the
Site or to any Temporary Works from any cause whatsoever (save and except
the excepted risks as defined in sub-clause (ii) of this Clause) shall at his own
cost repair and make good the same so that at completion the Works shall be
in good order and condition and in conformity in every respect with the
requirements of the Contract and the Engineer's instructions. In the event of
any such damage loss or injury happening from any of the excepted risks the
Contractor shall if and to the extent required by the Engineer repair and make
good the same as aforesaid at the cost of the Employer. The Contractor shall also
be liable for any damage to the Works occasioned by him in the course of any
operations carried out by him for the purpose of complying with his obligations
under Clause 43 (Maintenance Period - [Defects After Taking-Over]) hereof.

30.2. The "excepted risks" are war hostilities (whether war be declared or not)
invasion act of foreign enemies rebellion revolution insurrection or military or
usurped power civil war or (otherwise than among the Contractor's own
employees) riot commotion or disorder or use or occupation by the Employer
of any portion of the Works in respect of which a Final Certificate has been
issued or any such operation of the forces of nature as reasonable foresight
and ability on the part of the Contractor could not foresee or reasonably provide
against (all or which are herein collectively referred to as "the excepted risks").

CLAUSE 31
Liability for Accidents and Damage

31.1. The Contractor shall, during the progress of the Works, properly cover up and
justify protect any part of the Works liable to injury by exposure to the weather
and shall take every reasonable precaution against accident or injury to the Works
from any cause.

31.2. In the case of loss of or damage to the Works on the Site arising from or
occasioned by the causes for which the Contractor is not responsible under the
Contract the same shall, if required by the Employer, be made good by the
Contract but at the cost of the Employer at a price to be agreed between the
Contractor and the Employer or in default of agreement to be settled by
arbitration and such cost shall be added to the Contract Price.

31.3. Subject to sub-clauses 31.6 and 31.7 of this Clause, all losses of and damage to
any section or portion of the Works that shall not have been taken over, which
shall arise from or be occasioned by any act or omission of the Contractor or any
sub- contractor, shall be made good by and at the sole cost of the Contractor and
to the reasonable satisfaction of the Engineer.

31.4. The Contractor shall, subject to sub-clauses 31.6 and 31.7 of this Clause,
indemnify the Employer in respect of all damage or injury occurring before all
31.7 the Works shall have been taken over to any person or to any property (other
than property forming part of the Works) and against all actions, suits, claims,
demands, costs, charges, and expenses arising in connection therewith which
shall be occasioned by the negligence of the Contractor or any sub-contractor, or
by defective design (other than a design made, furnished, or specified by the
Employer and for which the Contractor has disclaimed responsibility in writing
within a reasonable time after the receipt of the Employer's instructions),
materials, or workmanship, but not otherwise.

31.5. If, while the Contractor is on the Site for the purpose of making good a defect
pursuant to Clause 43 (Maintenance Period - [Defects After Taking Over]) there
shall occur any losses of or damage or injury to the Works or to any other
property or to any person the Contractor's liability in respect thereof shall be the
same as if the said losses, damage, or injury had occurred before any part of the
Works had been taken over.

31.6. The Contractor shall not be liable to the Employer for: -

31.6.1. Any loss of profit or of contracts.


31.6.2. Except as provided in these Conditions, any claim made against the
Employer.

31.6.3. Any damage or injury caused by or arising from the acts or omissions of
the Employer or of others (not being the Contractor’s servants or sub-
contractors).

31.6.4. Any loss or damage in circumstances over which the Contractor has no
control (save as to damage by fire, lightning, earthquake, flood, and
tempest as provided in Clause 13 (Insurance of Works Etc.).

31.7. Except in respect of damage or injury to a person other than the Employer or to
property not belonging to or in the occupation or possession of the Employer, the
liability of the Contractor to the Employer in respect of any one act or default
shall not exceed the Contract Price.

31.8. In the event of any claim being made against the Employer arising out of the
matters referred to in and in respect of which the Contractor is liable under this
Clause, the Contractor shall be promptly notified thereof, and may at his own
expense conduct all negotiations for the settlement of the same and any litigation
that may arise there from. The Employer shall not, unless and until the
Contractor shall have failed to take over the conduct of the negotiations or
litigation, make any admission which might be prejudicial thereto. The conduct
by the Contractor of such negotiations or litigation shall be conditional upon the
Contractor having first given to the Employer such reasonable security as shall
from time to time be required by the Employer to cover the amount ascertained or
agreed or estimated, as the case may be, of any compensation, damages,
expenses, and costs for which the Employer may become liable. The Employer
shall, at the request of the Contractor, afford all available assistance for any such
purpose, and shall be repaid any out-of-pocket expenses incurred in so doing.

CLAUSE 32
Inspection, Testing and Rejection

32.1. The Engineer shall be entitled at all reasonable times during manufacture to
inspect, examine, and test on the Contractor's premises the materials and
workmanship of all Plant to be supplied under the Contract, and if part of the said
Plant is being manufactured on other premises the Contractor shall obtain for the
Engineer permission to inspect, examine and test as if the said Plant were being
manufactured on the Contractor's premises. Such inspection, examination, or
testing, if made, shall not release the Contractor from any obligation under the
Contract.

32.2. The Contractor shall give the Engineer written notice of the date on and the place
at which any Plant will be ready for testing as provided in the Contract and unless
the Engineer shall attend at the place so named within 10 days of the date which
the Contractor has stated in his notice the Contractor may proceed with the tests,
which shall be deemed to have been made in the Engineer's presence, and
shall forthwith forward to the Engineer duly certified copies of the test readings.
The Engineer shall give the Contractor twenty-four hours' notice in writing of his
intention to attend the tests.
32.3. Where the Contract provides for tests on the premises of the Contractor or of any
sub-contractor the Contractor, except where otherwise specified, shall provide
free of charge such assistance, labour, materials, electricity, fuel, stores,
apparatus and instruments as may be requisite and as may be reasonably
demanded to carry out such tests efficiently.

32.4. If after inspecting, examining, or testing any Plant the Engineer shall decide that
such Plant or any part thereof is defective or not in accordance with the Contract,
he may reject the said Plant or part thereof by giving to the Contractor within 2
(two) weeks notice in writing of such rejection, stating therein the grounds upon
which the said decision is based.

32.5. Where the Contract provides for tests on the Site, the Employer, except where
otherwise specified, shall provide free of charge, subject to the provisions of
Clause 40.4 (Tests On Completion), such labour, materials, electricity, fuel,
stores, and apparatus, as may be requisite and as may be reasonably demanded
to carry out such tests efficiently.

CLAUSE 33
Access To and Possession of the Site

33.1. Subject to sub-clause 33.4 of this clause, access to and possession on the Site
shall be afforded to the Contractor by the Employer in reasonable time and,
except in so far as the Specification may provide to the contrary, the Employer
shall provide a road or railway suitable for the transport of all Plant necessary for
the execution of the Works from the nearest public thoroughfare or railway
available to the Contractor to the point on the Site where it is to be delivered or
used.

33.2. In the execution of the Works, no persons other than the Contractor, sub-
contractors and his and their employees shall be allowed on the Site, except by
the written permission of the Engineer, but facilities to inspect the Works at all
times shall be afforded to the Engineer and his representatives and other
authorized officials or representatives of the Employer.

33.3. The access to and possession of the Site referred to in sub-clause 33.1 hereof
shall not be exclusive to the Contractor but only such as shall enable him to
execute the Works. The Contractor shall afford to the Employer and to other
contractors whose names shall have been previously communicated in writing to
the Contractor by the Engineer every reasonable facility for the execution of
work concurrently with his own.

33.4. On the completion of the Works the Contractor shall clear away and remove from
the Site all Contractors’ Equipment surplus materials and rubbish and leave the
whole of the Site and Works clean and in a workmanlike condition to the
satisfaction of the Engineer.

CLAUSE 34
Duties and Power of the Engineer

34.1. The duties of the Engineer or the Engineer's Representative are to watch and
justify supervise the Works and to test and examine any materials to be used or
workmanship employed in connection with the Works. He shall have no authority
to relieve the Contractor of any of his duties or obligations under the Contract nor
except as expressly provided hereunder or elsewhere in the Contract to order any
work involving delay or any extra payment by the Employer nor to make any
variation of or in the Works

34.2. The Engineer may from time to time delegate any of the powers, directions;
functions and authorities vested in him and may at any time revoke any such
delegation. Any such delegation or revocation shall be in writing signed by the
Engineer and, in the case of a delegation, shall specify the powers, discretion’s,
functions, and authorities thereby delegated and the person or persons to whom
the same are delegated. No such delegation shall have effect until a copy
thereof has been delivered to the Contractor. Any person to whom any such
delegation is made shall be entitled to exercise the powers, discretion’s,
functions, and authorities so delegated to him as aforesaid.

34.3. If a Clerk of Works be appointed to watch the carrying out of the Contract, the
Contractor shall afford him every reasonable facility for so doing, but the Clerk
of Works shall not be authorized to relieve the Contractor in any way of his duties
or obligations under the Contract. Any written notice from the Clerk of Works
condemning any plant or workmanship shall have the effect of a similar notice
given by the Engineer under Clause 37 (Defects Prior To Taking Over) except
that the Contractor may appeal to the Engineer for his decision in the matter.

34.4. Failure of the Engineer's Representative to disapprove any work or materials shall
not prejudice the power of the Engineer thereafter to disapprove such work or
materials and to order the pulling down removal or breaking up thereof.

CLAUSE 35
Engineer's Decision

The Contractor shall proceed with the Works in accordance with decisions, instructions,
and orders given by the Engineer in accordance with these conditions, provided always
that :-

35.1. If the Contractor shall, without undue delay after being given any decision,
instruction, or order otherwise than in writing, require it to be confirmed in
writing, such decision, instruction, or order shall not be effective until written
confirmation thereof has been received by the Contractor, and.

35.2. If the Contractor shall, by written notice to the Engineer within 14 days after
receiving any decision, instruction or order of the Engineer in writing or written
confirmation thereof, intimate that he disputes or questions the decision,
instruction, or order, giving his reasons for so doing, either party shall be at
liberty to refer the matter to arbitration pursuant to Clause 55 (Arbitration), but
such an intimation shall not relieve the Contractor of his obligation to proceed
with the Works in accordance with the decision, instruction, or order in respect
of which the intimation has been given. The Contractor shall be at liberty in any
such arbitration to rely on reasons additional to the reasons stated in the said
intimation.

Labour, Drugs, Arms, Festivals and Epidemics

36.1. The Contractor shall make his own arrangements for the engagement of all
labour local or otherwise and, save in so far as the Contract otherwise
provides, Epidemics for the transport housing feeding and payment thereof.

36.2. The Contractor shall not, otherwise than in accordance with the Statutes
Ordinances and Government Regulations or Orders for the time being in force,
import sell give barter or otherwise dispose of any alcoholic liquor or drugs or
permit or suffer any such importation sale gift barter or disposal by his sub-
contractors, agents or employees.

36.3. The Contractor shall not give barter or otherwise dispose of to any person or
persons any arms or ammunition of any kind or permit or suffer the same as
aforesaid.

36.4. The Contractor shall, in all dealings with labour in his employ, have due regard to
all recognized festivals days of rest and religious or other customs.

36.5. In the event of any outbreak of illness of an epidemic nature the Contractor shall
comply with and carry out such regulations orders and requirements as may
be made by the Government or the local medical or sanitary authorities for the
purpose of dealing with and over-coming the same.

36.6. The Contractor shall at all times take all reasonable precautions to prevent any
unlawful riotous or disorderly conduct by or amongst his employees and for the
preservation of peace and protection of persons and property in the neighborhood
of the Works against the same.

36.7. The Contractor shall provide and maintain in an easily accessible position on the
Site an adequate First Aid outfit. At least one of his staff shall be fully qualified in
the administration of First Aid.

36.8. The Contractor shall at his own cost provide office and other temporary
accommodation for his staff and workmen, including where necessary canteen
facilities and sanitary accommodation.

36.9. The Contractor shall be responsible for observance by his sub-contractors of the
foregoing provisions.

36.10. The Contractor shall deliver to the Engineer at his office a return in detail, in such
form and at such intervals as the Engineer may prescribe, showing the
supervisory staff and the numbers of the several classes of labour from time to
time employed by the Contractor on the Site.

Defects Prior To Taking Over

If at any time before the Work is taken over under Clause 41 the Engineer shall:-

37.1. Decide that any work done or plant supplied or materials used by the Contractor
or any sub-contractor is or are defective or not in accordance with the Contract
or that the Works or any portion thereof are defective or do not fulfill the
requirements of the Contract (all such matters being hereinafter in this Clause
called "defects"), and.

37.2. 2 (two) weeks practicable give to the Contractor notice in writing of the said
decision specifying particulars of the defects alleged and of where the same are
alleged to exist or to have occurred, and

37.3. So far as may be necessary place the plant at the Contractor's disposal, then the
Contractor shall at his own expense and with all speed make good the defects
so specified. In case the Contractor shall fail so to do the Employer may,
provided he does so without undue delay, take, at the cost of the Contractor, such
steps as may in all the circumstances be reasonable to make good such defects.
All plant provided by the Employer to replace defective plant shall comply with
the Contract and shall be obtained at reasonable prices and where reasonably
practicable under competitive conditions. The Contractor shall be entitled to
remove and retain all plant that the Employer may have replaced at the
Contractor's cost.

Nothing contained in this Clause shall affect any claim by the Employer under Clause 39
(Liquidated Damages for Delay in Completion).

CLAUSE 38
Extension of Time For completion of the Works

If after the acceptance of the Tender, by reason of any industrial dispute or justify any
cause beyond the reasonable control of the Contractor, other than through a default of or
breach of Contract by the Contractor or for which he is responsible, the Contractor shall
have been delayed or impeded in the completion of the Works, whether such delay or
impediment occur before or after the time (if any) or extended time fixed for
completion, provided that the Contractor shall without delay have given to the
Employer or the Engineer notice in writing of his claim for an extension of time, the
Engineer shall on receipt of such notice determine from time to time in writing either
prospectively or retrospectively such extension of the time fixed by the Contract for the
completion of the Works as may be reasonable.

CLAUSE 39
Liquidated Damages for Delay in Completion

If the Contractor fails to complete the Works in accordance with the Contract
justify (except the maintenance thereof as provided in Clause 43 and as such tests as are
to be made in accordance with Clause 40) within the time fixed by the Contract for the
completion of the Works or any extension of such time, or if no time be fixed, within
a reasonable time, and the Employer shall have suffered any loss from such failure,
there shall be deducted from the Contract Price the sum named in the Appendix to the

Form of Tender for each week between the time of completion of the Works as aforesaid
and the actual date of completion, but the amount so deducted shall not in any case
exceed the maximum percentage of the contract value named in the Appendix of such
portion or portions only of the Works as cannot in consequence of the said failure to be
put to the use intended and such deduction shall be in full satisfaction of the
Contractor's liability for the said failure.
With respect to Critical Path Method, if at any point of the duration of the Contract, the
cumulative delay exceeds 90 days, the Employer reserves the right to terminate the
Contract and appoint another contractor to complete the job and the cost will be borne by
the original Contractor.
CLAUSE 40
Tests on Completion

40.1. The Contractor shall give to the Engineer in writing 14 days notice of the date
after which he will be ready to make the tests on completion. Unless otherwise
agreed the tests shall take place within ten days after the said date, on such day or
days as the Engineer shall in writing notify the Contractor.

40.2. If, in the opinion of the Engineer, the tests are being unduly delayed, he may by
notice in writing call upon the Contractor to make such tests within ten days
from the receipt of the said notice and the Contractor shall make the said tests
on such day within the said ten days as the Contractor may fix and of which he
shall give notice to the Engineer. If the Contractor fails to make such tests
within the time aforesaid the Engineer may himself proceed to make the tests.
All tests so made by the Engineer shall be at the risk and expense of the
Contractor unless the Contractor shall establish that the tests were not being
unduly delayed in which case tests so made shall be at the risk and expense of
the Employer.

40.3. If any portion of the Works fails to pass the tests, tests of the said portion shall, if
required by the Engineer or by the Contractor, be repeated within a reasonable
time upon the same terms and conditions, save that all reasonable expenses to
which the Employer may be put by the repetition of the tests shall be deducted
from the Contract Price.

40.4. The Employer shall provide free of charge for the purpose of carrying out the
tests for the period specified in the Contract such labour and raw materials as
are specified in the Contract but not otherwise. The Contractor shall notify the
Engineer in writing 21 days in advance the amount and time of delivery of the
raw materials for the tests and the Employer will deliver the raw materials as
close to the required amount and time as is reasonably possible.

40.5. The Contractor shall, save as provided in sub-clause 40.5 hereof, provide
everything else necessary for the carrying out of the tests aforesaid.

40.6. It is expressly declared and agreed that the product of the Works arising from all
tests (Test Runs and Tests on Completion) shall belong to the Employer and the
Contractor shall have no rights thereto.

40.7. The tests shall be carried as per the provisions of Section 5 of this document.

CLAUSE 41
Taking Over

41.1. On as the Works have been completed in accordance with the Contract (except
in minor respects that do not affect their use for the purpose for which they
are intended and except for the maintenance thereof as provided in Clause 43)
and have passed the tests on completion the Engineer shall issue a Certificate
(herein called a "taking-over certificate") in which he shall certify the date on
which the Works have been so completed and have passed the said tests and the
Employer shall be deemed to have taken over the Works on the date so
certified, but the issue of taking-over certificate shall not operate as an
admission that the Works have been completed in every respect. In the event
of the Works being divided by the Contract into two or more sections the
Employer shall be entitled to take over any section or sections before the
other or others and thereupon the Engineer shall issue a taking-over certificate
in respect thereof. If by agreement between the Employer and the Contractor
any portion of the Works (other than a section or sections) shall be taken over
before the remainder of the Works, the Engineer shall issue a taking-over
certificate in respect of that portion.

41.2. If, by reason of any default on the part of the Contractor a taking-over certificate
has not been issued in respect of every portion of the Works within one month
after the date fixed by the Contract for the completion of the Works, or, if no
time be fixed, within a reasonable time, the Employer shall be at liberty to use
the Works or any portion thereof in respect of which a taking- over certificate
has not been issued, provided that the Works or the portion so used as aforesaid
shall be reasonably capable of being used and that the Contractor shall be
afforded reasonable opportunity of taking such steps as may be necessary to
permit of the issue of the taking-over certificate.

41.3. If, by reason of any act or omission of the Employer or the Engineer the
Contractor shall be prevented from carrying out the tests on completion as
provided in Clause 40 (i), then unless in the meantime the Works shall have
been proved not to be substantially in accordance with the Contract, the
Employer shall be deemed to have taken over the Works, and the Engineer
shall issue a taking-over certificate accordingly; nevertheless the Contractor
shall make the said tests during the maintenance period as and when required by
the Engineer by fourteen days' notice in writing, and sub-clause 40.2, 40.3 and
40.4 shall apply. Any additional expense to which the Contractor may be put in
making the said tests during the maintenance period pursuant to this sub- clause
shall be added to the Contract Price, and such allowance shall be made from the
performances required to be attained in the said tests as may be reasonable having
regard to any use of the Works by the Employer prior to the tests.

41.4. If, after a taking-over certificate has been applied for by the Contractor, the
Engineer shall, without proper cause, fail to issue it or to certify therein a date not
later than the date which ought to have been certified, there shall be added to the
Contract Price interest at the rate of 5 per cent per annum on all sums the
payment of which to the Contractor has been delayed by the said failure for the
period or periods for which the said payments have been delayed.

CLAUSE 42
Suspension of Works

The Contractor shall on the written order of the Engineer suspend the progress of the
Works or any part thereof for such time or times and in such manner as the Engineer
may consider necessary, and shall during such suspension properly protect and secure
the work so far as is necessary in the opinion of the Engineer.

All reasonable expenses incurred by the Contractor by reason of the suspension of the
Works by the Employer or the Engineer (otherwise than in consequence of some default
on the part of the Contractor) or by reason of the Contractor being prevented from or
delayed in proceeding with the Works by the Employer, the Engineer, or some other
contractor employed by the Employer, shall be added to the Contract Price, provided
that no claim shall be made under this Clause unless the Contractor has, within a
reasonable time after the event giving rise to the claim, given notice in writing to the
Engineer of his intention to make such claim.

CLAUSE 43
Maintenance Period - (Defects After Taking Over)

43.1. For a period of 12 months after the Works or any portion thereof have been taken
over the Contractor shall be responsible for making good with all possible speed
any defects arising from defective design (other design made furnished, or
specified by the Employer and for which the Contractor has disclaimed
responsibility in writing within a reasonable time after the receipt of the
Employer's instructions), materials, or workmanship or from any act or omission
of the Contractor that may develop in the works under the Conditions provided
for by the Contract and under proper use.

43.2. If any such defect shall occur the Engineer shall inform the Contractor thereof
stating in writing the nature of the defect. If the Contractor replaces or renews
any portion of the Works, the provisions of this clause shall apply to the portion
of the Works so replaced or renewed until the expiration of 6 months from the
date of such replacement or renewal.

43.3. If any defects be not remedied within 2 (two) months, the Employer may
proceed to do the work at the Contractor's risk and expense, but without
prejudice to any other rights which the Employer may have against the
Contractor in respect of the failure of the Contractor to remedy such defects.

43.4. If the replacement or renewals are of such a character as may affect the
efficiency of the works or any portion thereof, the Employer may within one
month of such replacement or renewal give to the Contractor notice in writing
requiring that tests on completion be made, in which case such tests shall be
carried out as provided in Clause 40.

43.5. If any defects be such that, in the opinion of the Engineer, it is impracticable
or inconvenient to remedy, the Engineer shall ascertain the diminution in the
value of the Works due to the existence of such defect and deduct the amount
of such diminution from the sum remaining to be paid to the Contractor or
failing such remainder it shall be recoverable as a liquidated demand in money.

43.6. These General Conditions shall apply to all inspections, adjustments,


replacements, and renewals and to all tests occasioned thereby, carried out by the
Contractor during the maintenance period.

43.7. Save as in this clause expressed, the Contractor shall be under no liability in
respect of the said defects after the works have been taken over under Clause
41

43.8. Until the final Certificate shall have been issued, the Contractor shall have the
right of access at all reasonable working hours, at his own risk and expense, by
himself or his duly authorized representatives whose names shall have previously
been communicated in writing to the Engineer, to all parts of the Works for the
purpose of inspecting the working thereof and to the records of the working and
performance thereof for the purpose of inspecting the same and taking notes there
from. Subject to the Engineer’s approval, which shall not be unreasonably
withheld, the Contractor may at his own risk and expense make any tests which
he considers desirable.

CLAUSE 44
Interim and Final Certificates

44.1. The Contractor may at the times and in he manner following apply for interim
and final certificates, as referred to in Clause 46 (Terms of, Payment), for
plant delivered to, and work executed on the Site.

44.2. Applications for interim certificates may be made to the Engineer from time to
time during the progress of the Works. Each such application shall state the
amount claimed and shall set forth in detail in the order of the Schedule of Prices
particulars of the works executed on the Site and of the plant delivered to the Site
pursuant to the Contract to a date named in the application and since the period
covered by the last preceding certificate, if any.

44.3. The Engineer shall issue to the Contractor an interim certificate within 14 days
after receiving an application therefore which the Contractor was entitled to
make. If the Engineer shall fail to issue an interim certificate as provided in this
clause the Contractor shall be at liberty, after giving to the Employer or the
Engineer 14 days' notice in writing of his intention so to do, to stop the works or
any part thereof until the said certificate be issued, and the expenses of the
Contractor occasioned by the stoppage and the subsequent resumption of work
shall be added to the Contract Price.

44.4. Every interim certificate shall certify the total value of the permanent work
already executed on the Site and of the plant and materials delivered to the Site
for use in the Works pursuant to the Contract up to the date named in the
application for the certificate, less the said total value so certified in the last
previous certificate (if any), provided that the value of any plant that, according
to the decision of the Engineer, does not comply with the Contract or has been
brought and is at the date of the certificate prematurely upon the Site shall not be
included in any such certificate.

44.5. No interim certificate shall be relied on as conclusive evidence of any matter


stated therein, nor affect or prejudice any right of the Employer or the Contractor
against the other.

44.6. Application for the final certificate may be made to the Engineer at any time after
the Contractor has ceased to be under any obligation under Clause 43
(Maintenance Period - [Defects After Taking Over]), provided that, if a taking-
over certificate has been issued in respect of any portion of the Works, the
Contractor may apply for a separate final certificate in respect of each such
portion at any time after the said obligation has ceased in relation to such
portion, and provided also that, if by reason of the fact that it has become
necessary for the Contractor to replace or renew any portion of the Works the
obligations of the Contractor under Clause 43 shall continue after the period of
6 months first therein mentioned, the right of the Contractor to apply for a final
certificate in respect of the Works or portion thereof other than the portions so
replaced or renewed shall not be affected by that fact, and after the Contractor
has ceased to be under any obligation under Clause 43 in respect of the
portions replaced or renewed he may apply for a final certificate in respect
thereof.

44.7. The Engineer shall issue to the Contractor a final certificate within 14 days after
receiving an application therefore which the Contractor was entitled to make.

44.8. A final certificate shall certify the total of all amounts comprised in interim
certificate previously issued in respect of the Works, or the portion thereof to
which the final certificate relates, subject to such additions thereto or
deductions there from as may be authorized in sub-clause (x) of this clause.

44.9. A final Certificate shall, save in the case of fraud or dishonesty relating to or
affecting any matter dealt with in the certificate and save as regards defects and
insufficiencies in the Works that a reasonable examination would not have
disclosed, be conclusive evidence as to the sufficiency of the Works and of the
value thereof.

44.10. If any sum shall become payable to the Contractor under the Contract otherwise
than for work executed or plant delivered the amount thereof shall be included in
the next certificate (interim or final) issued by the Engineer, and if any sum
shall become payable under the Contract prior to the issue of the final certificate
by the Contractor to the Employer, the amount thereof shall be deducted in the
next such certificate.

44.11. The Engineer may in any certificate give effect to any correction or modification
that should properly be made in respect of any previous certificate.

44.12. The Engineer shall have the power to withhold any certificate if the Works or any
parts thereof are not being carried out to his satisfaction.

CLAUSE 45
Payments Due From the Contractor

All costs, damages, or expenses for which under the Contract the Contractor is liable to
the Employer may be deducted by the Employer from any moneys due or becoming
due to the Contractor under the Contract, or may be recovered by action at law or
otherwise from the Contractor.

CLAUSE 46
Terms of Payment

46.1. Subject to the provision of Clause 45 ( Payments due from the Contractor) the
Employer shall pay to the Contractor in the following manner the Contract
Price together with such additions thereto and subject to such deductions there
from as are herein provided for :-

46.1.1. For Import portion, by Irrevocable Letter of Credit to be established


within three months after the date of Agreement up to 90 percent of the
value of the Contractor's price CIF Indonesian port (to deduct
previous payments made and excluding cost of erection and
installation) and payable :
 60 % on presentation of shipping document (Bill of Lading, etc).
 30 % on presentation of Certificate stating the item has been satisfactorily
installed.

The remaining 10 % shall be retained as Retention Money and shall be


payable:
 5 % on presentation of Taking over Certificate.
 5 % on presentation of Final Certificate.

46.1.2. Within 30 days from the presentation of each interim certificate and
Contractor’s complete & correct invoice at Employer’s Head Office a sum
equals to 90 percent of the net value of the permanent work already
executed; the remaining 10 percent thereof is hereinafter referred to as
"retention money" less previous payments made. The limit of the
retention money shall be 10 percent of the Total Contract Price.

46.2. All monetary statements, estimates and payments referred to in this Clause shall
be calculated in the currency stated in the Contractor's tender. Payments by the
Employer shall be made in the aforementioned currency.

46.3. If the Employer shall fail to make any payment as provided in this clause the
Contractor shall be at liberty, without prejudice to any other remedy, after
giving to the Employer 14 days' notice in writing of his intention so to do, to
stop the Works or any part thereof until the said payment be made, and the
expenses of the Contractor occasioned by the stoppage and the subsequent
resumption of work shall be added to the Contract Price.

CLAUSE 47
Payment of Retention Money

47.1. The 5 % retention money relating to the Works, or to any portion thereof in
respect of which a taking-over certificate has been issued, shall be paid to the
Contractor within six months after the presentation of the Final Certificate in
respect of the Works or the said portion thereof.

47.2. If at any time at which any installment of the retention money would be payable
under paragraph 47.1 of this clause there shall be any defect in the works, or in
any portion thereof in respect of which a payment of retention money is
proposed, the Employer may retain the whole of the said installment, provided
that in the event of the said defect being of minor character and not such as to
affect the use of the Works or the portion thereof for the purpose intended without
serious risk the Employer shall not retain out of the said installment a greater
sum than represents the cost of making good the said minor defect. Any sum
retained by the Employer pursuant to the provisions of this paragraph shall be
paid to the Contractor upon the said defect being made good.

CLAUSE 48
Approval by Final Certificate Only

No certificate other than the Final Certificate shall be deemed to constitute approval of
any work or other matter in respect of which it is issued or shall be taken as an admission
of the due performance of The Contract or any part thereof or of any claim or demand
made by the Contractor or of additional or varied work having been ordered by the
Engineer nor shall any other certificate conclude or prejudice any of the powers of the
Employer and the Engineer.

CLAUSE 49
Cessation of Contractor’s Liability

The Contract shall not be considered as completed until a Final Certificate shall have
been signed by the Engineer and delivered to the Employer stating that the Works
have been completed and maintained to his satisfaction.

CLAUSE 50
Cessation of Employer’s Liability

The Employer shall not be liable to the Contractor for any matter or thing arising out of
or in connection with the Contract or the execution of the Works unless
the Contractor shall have made a claim in writing in respect thereof
before the giving of the Final Certificate.
CLAUSE 51
Unfulfilled Obligations

Notwithstanding the issue of the Final Certificate the Contractor and, subject to Clause
50 (Cessation of Employer's Liability) hereof, the Employer shall remain liable for
the fulfillment of any obligation incurred under the provisions of the Contract prior to
the issue of Final Certificate which remains unperformed at the time such certificate

is issued and for the purpose of determining the nature and extent of any such obligation
the Contract shall be deemed to remain in force between the parties hereto.

CLAUSE 52
Contractor's Default

If the Contractor shall neglect to execute the Works with due diligence and expedition,
or shall refuse or neglect to comply with any reasonable orders given him in
writing by the Engineer in connection with the Works, or shall contravene
the provisions of the Contract, the Employer may give seven days' notice in
writing to the Contractor to make good the failure, neglect, or contravention
complained of. Should the Contractor fail to comply with the notice within
seven days from the date of service thereof in the case of a failure, neglect,
or contravention capable of being made good within that time, or otherwise
within such time as may be reasonably necessary for making it good, then
and in such case the Employer shall be at liberty to employ other workmen,
and forthwith execute such part of the Works as the Contractor may have
neglected to do, or, if the Employer shall think fit, it shall be lawful for him,
without prejudice to any other rights he may have under the Contract, to
take the Works wholly or in part out of the Contractor's hands and re-
contract with any other person or persons to complete the works or any
part thereof, and in that event the Employer shall have the free use of all
tools, tackle, stores and other things that may be at any time on the Site in
connection with the Works, without being responsible to the Contractor for
fair wear and tear thereof, and to the exclusion of any right of the
Contractor over the same, and the Employer shall be entitled to retain and
apply any balance which may be otherwise due on the Contract by him to
the Contractor, or such part thereof as may be necessary, to the payment of
the cost of executing the said part of the Works or of completing the
Works as the case may be. If the cost of completing the Works or executing
a part there of as aforesaid shall exceed the balance due to the Contractor, the
Contractor shall pay such excess.

CLAUSE 53
Bankruptcy

If the Contractor shall become bankrupt or insolvent, or have a receiving order made
against him, or compound with his creditors, or being a corporation commence to be
wound up, not being a members' voluntary winding up for the purpose of
reconstruction, or carry on its business under a receiver for the benefit of its creditors or
any of them, the Employer shall be at liberty (a) to terminate the Contract
forthwith by notice in writing to the Contractor or to the receiver or liquidator or to any
person in whom the Contract may become vested, and to act in the manner provided in
Clause 52 (Contractor's Default) as though the last mentioned notice had been the
notice referred to in such clause and the Works had been taken out of the Contractor's
hands, or (b) to give such receiver, liquidator or other person the option of carrying out
the Contract subject to his providing a guarantee for the due and faithful performance
of the Contract up to an amount to be agreed.

CLAUSE 54
Statutory and Other Regulations

The Contractor shall in all matters arising in the performance of the Contract
conform at his own expense with all Acts of Parliament and with all orders,
regulations, and by-laws made with statutory authority by Government Departments or
by local or other authorities that shall be applicable to the Works, but if by reason of the
making after the date of the Contractor's Tender of any such Act, order, regulation,
or by-law the cost to the Contractor of the performance of the Contract excluding cost
of labour and materials shall be increased or reduced the amount of such increase or
reduction shall be added to or deducted from the Contract Price as the case may be. The
Employer shall, when desired, afford all reasonable assistance to the Contractor in
obtaining information as to local conditions. The Contractor shall not in the performance
of the Contract in any manner endanger the safety or unlawfully interfere with the
convenience of the public.
CLAUSE 55
Settlement of Dispute

55.1. If any dispute or difference of any kind whatsoever shall arise between the
Employer or the Engineer and the Contractor in connection with or arising out of
the Contract or the carrying out of the Works (whether during the progress of the
Works or after their completion and whether before or after the termination
abandonment or breach of the Contract) it shall in the first place be referred to
and settled by the Engineer who within a period of 30 days after being
requested by either party to do so shall give written notice of his decision to
the Employer and the Contractor. Save as hereinafter provided such decision in
respect of every matter so referred shall be final and binding upon the Employer
and the Contractor until the completion of the Works and shall forthwith be given
effect to by the Contractor who shall proceed with the Works with all due
diligence whether he or the Employer requires District Court as hereinafter
provided or not. If the Engineer has given written notice of his decision to the
Employer and the Contractor and no claim to District Court has been
communicated to him by either the Employer or the Contractor within a period
of 30 days from receipt of such notice the said decision shall remain final
and binding upon the Employer and the Contractor. If the Engineer shall fail to
give notice of his decision as aforesaid within a period of 30 days after being
requested as aforesaid or if either the Employer or the Contractor be
dissatisfied with any such decision then and in any such case either the
Employer or the Contractor may within 30 days after receiving notice of such
decision or within 30 days after the expiration of the first named period of 30
days (as the case may be) require that the matter or matters in dispute be referred
to District Court as herein provided. All disputes or differences in respect of
which the decision (if any) of the Engineer has not become final and binding as
aforesaid shall be finally settled under District Court. The Employer or the
Engineer and the Contractor shall agree to elect general and permanent domicile
with the Register’s Office of the District Court of Central Jakarta.

55.2. Performance of the Contract shall continue during District Court proceedings
unless the Engineer shall order the suspension thereof or of any part thereof, and
if any such suspension shall be ordered the reasonable expenses of the Contractor
occasioned by such suspension shall be added to the Contract Price. No payments
due or payable by the Employer shall be withheld on account of a pending
reference to District Court.

CLAUSE 56
Stamp Duty

The proper Stamp Duty on this Contract shall be borne by the Contractor.

CLAUSE 57
Deductions for PPh 23

A deduction of total amount excluding PPN of any progress payments made shall be
withheld by Employer in accordance to regulation PPh 23. Such deductions would be
properly acknowledged.

III. GENERAL REQUIREMENTS

CLAUSE G.1
Conditions of Contract

The Conditions of Contract shall be as attached herein.

CLAUSE G.2
Contract Documents

The Contract Documents shall comprise the Conditions of Contract, the Specification,
the Form of Tender, the Form of Agreement, the Tender Bond, the Performance Bond,
the Schedule of Contract Values, the Schedule of Rates, the Drawings and any other
documents as may be issued from time to time before and during the finalization of
the Contract.

All the above Documents and Drawings are to be regarded as mutually explanatory and
in the event of his finding any discrepancy between them, the Contractor shall
immediately inform the Engineer of the matter in writing and the Engineer will issue his
instructions accordingly.

CLAUSE G.3
British Standards

The initials B.S. and S.I.I. followed by a number in any of the Contract Documents
shall refer to the current British or S.I.I. standards of that number issued by the British
Standards Institute and the Standards Industry Indonesia including all amendments to
date.

Equipment complying with equivalent or better U.S., European or other standards is


acceptable provided that the Contractor states clearly in his Tender the Standard
Specification to which the equipment has been manufactured.

CLAUSE G.4
Dimensions and Levels

Before commencing work, the Contractor shall obtain from the Engineer in writing
the location and value of the permanent bench mark to be used as a reference
for the establishment of temporary bench mark and for setting out the Works.
He shall also obtain from the Engineer in writing the value of the various
control points in the layout as may be necessary for him to set out the Works.

All dimensions and levels shown on the drawings or mentioned in the Contract
Documents shall be verified by the Contractor on the Site, and he shall be held
responsible for the accuracy and maintenance of all dimensions and levels.

CLAUSE G.5
System of Units

Unless otherwise stated, all dimensions and levels shown on The Drawings or referred to
in this Specification are in metric units.

CLAUSE G.6
Services for Construction of Works

The Contractor shall provide the necessary Construction supply of water, electricity and
such other services as he may require for the Works.

CLAUSE G.7
Land for Contractor's Use

The Contractor will be allowed a reasonable area of land for storage of his plant and
equipment, and erection of temporary buildings, in a position or positions to
be approved by the Engineer for the duration of the Contract.

CLAUSE G.8
Contractor's Plant

The entire contractor's plant and equipment to be used on the Works shall be new or in
good working condition, to ensure that maximum progress is always maintained. Any
plant or equipment which suffers repeated breakdown or becomes inoperative shall be
removed from the Site and replaced forthwith if so instructed by the Engineer. In any
case the Contractor shall have on site at all time’s sufficient plant and equipment so that
the Work will not be delayed on account of defective plant and equipment.

CLAUSE G.9
Contractor's Housing

The Contractor shall not erect any housing or temporary buildings or use any existing
buildings for the overnight stay of any of his workmen unless he has obtained the prior
approval of the Engineer. If approval is given to the provision and erection of housing for
the Contractor’s employees on the Site, the Contractor shall provide clean and adequate
latrines, water supply and washrooms with concrete floors and proper drainage, and
suitable areas for cooking and eating especially during wet weather. All buildings and
services in connection therewith shall be subject to the approval of the Engineer and of
the relevant local authority, and the Contractor shall be required to produce a proper
Certificate showing that they comply with all local regulations pertaining thereto.

The Contractor shall be responsible for all fees and other charges or expenses incurred
in connection with such temporary housing, and he shall keep the whole area in a clean,
tidy and well drained condition, all to the approval of the Engineer and the local
Authority.

At the completion of the Contract, the Contractor shall remove all such housing and
appurtenant works from the Site, clean up the area, and restore it to its original condition.

CLAUSE G.10
Latrines and Cleanliness of Site Generally

The Contractor shall provide proper and sufficient latrines for the use of his employees
and sub- contractors.

Latrines shall be maintained in a clean and sanitary condition throughout the duration of
the Contract, to the satisfaction of the Engineer and the local Authority and shall be
removed from the Site as soon as they are no longer required.

Throughout the Contract, the Site and all temporary works shall be kept in a clean, tidy
and sanitary condition.

CLAUSE G.11
Temporary Fencing and Lighting

The Contractor shall provide erect and maintain all necessary temporary fencing to
protect persons and any such stock as may be in the locality from sustaining
injury as a result of the work, and to protect the Works or temporary works
and construction plant and materials, and shall remove such temporary
fencing when required to do so by the Engineer or at the completion of the
Works. Adequate lighting and red warning lamps shall be provided during
night hours to give sufficient warning of the area of the Works at road
junctions and such other places as may be instructed by the Engineer.

CLAUSE G.12
Restriction to Site

The Contractor shall be responsible for restricting his workmen only to the Site of the
Works and shall take all necessary precautions to prevent and shall
indemnify the Employer against any damages arising from nuisance of any
kind.

CLAUSE G.13
Obstruction

The Contractor shall ensure that all his Plant, materials, temporary workshops, stores,
offices etc. shall be kept within the area allocated to him by the Engineer. If it should be
necessary to utilize land outside the confines of land approved for these purposes the
Contractor shall be responsible for any rent or hire incurred. The Contractor shall avoid
causing any unnecessary inconvenience or obstruction to other Contractors or to the
Employer's Workmen who may be working in the area or vicinity of the Works.

CLAUSE G.14
Other Contractors

There may be other Contractors and labours employed directly by the Employer on the
Site.

The Contractor shall allow them full access to any part of the Site and the Works, for the
execution of their work. In the event of any dispute, the Engineer’s decision shall be
final.

CLAUSE G.15
Contractor's Site Representative

The Contractor shall during all working hours maintain an English and Indonesian
speaking representative on the Site who shall act on his behalf and receive
instructions from the Engineer. Such instructions given to the Contractor's
representative shall be deemed to have been given to the Contractor.

CLAUSE G.16
Assistance for Engineer

The Contractor shall provide for the Engineer at all times for the duration of the Contract
a competent chairman and all such other men and dumpy levels, theodolites, tapes and
other equipment as may be required to assist him in carrying out and/or checking any
measurement, setting out of levels, testing materials or measuring up of work.

CLAUSE G.17
Weather Conditions

The Contractor shall be deemed to have taken all possible weather conditions into
account when preparing his tender and he shall not be entitled to extra payment or an
extension of the contract period by the occurrence or effect of excessive rainfall, high
seas, or any other weather condition, provided that the Engineer may, in certain
exceptional circumstances, consider any reasonable claim by the Contractor if it can
be shown that he has been adversely affected in the carrying out of the Works by a
condition of the weather, which, on the basis of past records, could be considered as
having less than a 5% chance of occurring in any one year.

In assessing the statistical probability of such extraordinary conditions, reference shall be


made to the Rainfall Statistics issued by the Government Meteorological Services.

CLAUSE G.18
Works in the Dry

The whole of the Works are to be carried out in the dry, unless authorized otherwise by
the Engineer in writing, and they shall be kept free of water from whatever source it may
come to the satisfaction of the Engineer.

The position of any sump or well points that the Contractor may construct shall be
approved by the Engineer. When no longer required, all sumps shall be backfilled with
properly compacted material or with lean concrete as the Engineer may direct.

CLAUSE G.19
Quality of Materials and Labour

All materials incorporated in the permanent works shall be new and of the best
quality and description of their various kinds, and shall conform with the respective

British Standard for such materials where available. Similarly the workmanship in every
case shall be of the best character, and the whole shall be subject to the approval of the
Engineer.

The Contractor shall provide all labour, materials, equipment and transport necessary for
the proper completion of the Works.

CLAUSE G.20
Samples

In addition to any special provisions herein for the sampling and testing of materials the
Contractor shall submit to the Engineer as he may require samples of all materials and
goods which he proposes to use or employ in or for the Works. Such samples, if
approved, will be retained by the Engineer and no materials or goods of which samples
have been submitted shall be used in the permanent Works, unless and until such samples
shall have been approved in writing by the Engineer.

The Engineer may reject any goods or materials which in his opinion are inferior to the
samples thereof previously approved and the Contractor shall promptly remove such
goods and materials from the Site.

The cost of provision and delivery of all samples shall be borne by the Contractor.

CLAUSE G.21
Tests Generally

The Engineer may examine and may require to be tested any materials or goods required
in or for the Works as he may decide from time to time and shall have unrestricted
access to the Contractor's sub-contractors' or suppliers' premises for such purposes
during all normal working hours.

The Contractor shall afford the Engineer all facilities, labour and assistance necessary for
the convenient examination, testing, weighing or analysis of all such materials or goods.
Notwithstanding any tests which may have been carried out off the Site, the Engineer
shall be empowered to order further tests of any materials or goods to be made on the
Site and to reject such materials or goods should they fail to pass such tests on Site.

The full cost of providing all facilities and labour required in connection with all testing
on the Site shall be deemed to be included in the tendered rates and prices.

CLAUSE G.22
Test Certificates

If directed by the Engineer, the Contractor shall obtain Certificates of Test from the
suppliers of any materials or goods and shall send such Certificates to the Engineer for
his approval. Such Certificates shall certify that the materials or goods concerned have
been tested in accordance with the requirements of the Specification and shall give the
results of all the tests carried out. The Contractor shall provide adequate means of
identifying the materials and goods delivered to the Site with the corresponding
Certificate.

The full cost of complying with this Clause shall be deemed to be included in the
tendered rates and prices.

CLAUSE G.23
Submission of Materials for Testing

It shall be the Contractor's responsibility to ascertain from the Engineer which materials
and articles are required for testing, and to ensure that they are submitted, at his own
cost, sufficiently far in advance as to avoid delay in the Works.

No extension of completion date of the Contract shall be given for delays occasioned by
late submission by the Contractor of materials and articles for testing.

CLAUSE G.24
Clearing Up Site

The Contractor shall make every effort to keep the Site in a reasonably clean and tidy
condition for the duration of the Works. He shall, in addition, from time to time on the
completion of any area of reclamation or where directed by the Engineer, remove all
rubbish, construction plant; surplus materials or any other construction debris from such
areas as may be attributable to his works under this Contract and generally leave them in
a satisfactory condition.

On completion of the Works, the Contractor shall clean up the whole site to the
satisfaction and approval of the Engineer. Due allowance will be made by the Engineer
in giving his approval to the presence and operations of other Contractors as may be on
the Site at the time.

CLAUSE G.25
Inspections during Period of Maintenance

The Engineer will give the Contractor due notice of his intentions to carry out any
inspections during the Period of Maintenance and the Contractor shall thereupon arrange
for a responsible representative to be present at the times and dates nominated by the
Engineer. This representative shall render all necessary assistance and take note of all
matters and things to which his attention is directed by the Engineer.

IV. TECHNICAL SPECIFICATION

A. CIVIL WORKS

Work scope covered of land, supplying and construction work for all building including
all support structure, facility and also necessary infrastructure. Work scopes are:

1. Main Factory Building

The buildings below as part of main factory building and should be built according to the
civil works drawing, government standard and regulation and technical specification of
civil work.

Main Factory Buildings consist of 3 constructions:


- Main Processing Building A (MPB A)
- Main Processing Building B (MPB B)
- Main Processing Building C (MPB C)

General descriptions are as follow:


Foundation:
- Substructure foundation and pedestal column of reinforced concrete with K225
concrete quality, equipped by anchor with measurement and quantity based on the
civil works drawing.
- Reinforced concrete Sloof with K225 concrete quality.

Main structure:
- Portal Frame WF BJ 37 steel profile equipped with column support and bracing
column.
- Gording CNP steel profile equipped by air knot and sagrod.
- Cladding Frame of mild steel profile equipped with sagrod.

antirust.
- Gypsum covered with 4 mm thickness, Vinilex wall finishing paint, Emulsion
Paint.
- Plafond List from wood profile, Platone wood finishing paint, Synthetic High
Gloss Paint, type must be according to civil works drawing.

Electric Works:
- Electrics network in the building using NYM cable from Eterna 3x2.5 mm2,

- Relining wall between MPB A with MPB B and of MPB C, provided with weep
holes.

General description as follows:


- Relining wall of reinforced concrete with K225 quality and reinforcement based
on civil works drawing, provided with weep holes.

6. Empty Bunch Area

Size, type, construction detail, quality of material and execution procedure must
follow civil works drawing, government standard and regulation and technical
specification of civil work.

Work scope covered:


- Length and width measurement dimension of Empty Bunch Area should be
according to civil works drawing.
- Concrete floor of Empty Bunch area 20 cm thickness with K225 concrete quality,
two lining M6 wire mesh reinforcement, concrete floor covered by dilatation
which filled with asphalt according to civil works drawing
- K225 concrete wall 30 cm thickness, reinforcement according to civil preliminary
Drawing
- K225 Concrete wing 20 cm thickness, with reinforcement detail according to
civil works drawing.

7. Composting Area

Size, type, construction detail, quality of material and execution procedure must
follow civil works drawing, government standard and regulation and technical
specification of civil work.

Work scope covered:


- Length and width measurement dimension of Composting Area should be
according to civil works drawing.
- Concrete floor of Composting Area 20 cm thickness with K225 concrete quality,
two lining M6 wire mesh reinforcement, concrete floor covered by dilatation
which filled with asphalt according to civil works drawing
- K225 concrete wall 30 cm thickness, reinforcement according to civil works
drawing.
- K225 Concrete wing 20 cm thickness, with reinforcement detail according to
civil works drawing.

8. Drainage

Size, type, construction detail, quality of material and execution procedure must
follow civil works drawing, government standard and regulation and technical
specification of civil work.

Work scope covered all drainage channel of reinforced concrete and drainage channel
of land dig according to preliminary drawing.

Channel construction of reinforced concrete, K225 quality, reinforcement based on


civil works drawing.

For channel of reinforced concrete owning deepness more than or equal to 800 mm
have to be provided with prop log of K225 reinforced concrete every 2 m distance,
reinforcement detail and dimension based on preliminary drawing.

For channel that is cutting the path have to be made as per box culvert system of
reinforced concrete by size based on preliminary drawing.

In each of crossing channel have to be made manhole of functioning reinforced


concrete as control basin.

Land channel have to have minimum inclination 0,2% at land with flat relative
contour or follow contour inclination.

9. Internal Road Factory

Size, type, construction detail, quality of material and execution procedure must
follow civil works drawing, government standard and regulation and technical
specification of civil work.

Work scope covered:


- Reinforced concrete road for motor vehicle in factory environment, K225 quality,
15 cm thickness concrete with 2 M6 wire mesh layer reinforcement and 15 cm
height kanstin in the both side of the road.
- Reinforced concrete road which do not pass by motor vehicle in factory
environment, K225 quality, 10 cm thickness with 1 (one) M6 wire mesh layer
reinforcement.

Elementary land layer have to be compacted reach 95% maximum density, given by
5 cm thickness polished 1:3:5 work floor. Reinforced concrete road has to give
dilatation with area not exceeded of 20 m2 as wide as 2 cm, and filled with asphalt.

10. Parking Area

Work scope is making of reinforced concrete kanstin, with K225 quality. Concrete
kanstin location as according preliminary drawing. Sirtu mulching and compaction is
not contractor scope.

11. Fence and Door

11.1. Fence and Gate

Size, type, construction detail, quality of material and execution procedure must
follow civil works drawing, government standard and regulation and technical
specification of civil work.

Work scope covered:


- Fence highly 2.48 m, materials of harmonica galvanized strand of metal size
50x50x3 mm and baberd wire of galvanish with 60x60x6 mm angle bar column
every 3 m distance with contributor every 30 m distance and also at crossing
corners. Construction Detail fence as according to civil works drawing. Fence has
to cover up factory perimeter.
- Main gate of sliding type highly 2.15 m, wide of real aperture 2x10 m completed
with heavy-duty 3” padlock and activator motor system to each door. Motor
specification that used is, as per motor list at mechanical specification.
Construction door Detail as according to civil works drawing.
- Motor activator system to each door consists of:
- Motor Geared of Brook Hansen, model SFN 34B28U-D100LAH-4G
- Sprocket 17 x teeth 1” pitch, at wheel axis and motor
- Pillow Block UCP210D1 for the axis of diameter 50 mm.
- Activator wheel complete with diameter axis 50 mm.
- Side door of swing type highly 2.15 m, wide of real aperture 1 m provided with
heavy-duty 3” padlock. Construction Detail as according to civil works drawing.
- Back door of swing double type highly 2.15 m, wide of 2x2 m real aperture
provided with heavy-duty 3” padlock. Construction Detail as according to civil
works drawing.
- Reinforced concrete Stair with K225 quality, which is located in external slope of
factory fence, provided with bordes structure of steel profile. Construction Detail
as according civil works drawing.

11.2.Reservoir Fence and Gate

Size, type, construction detail, quality of material and execution procedure must
follow civil works drawing, government standard and regulation and technical
specification of civil work.

Work scope covered:


- Fence highly 1.50 m, made of galvanish baberd wire with 50x50x5 mm column
of angle bar every 3 m distance with contributor every distance 30 m and at
crossing corners. Construction Detail fence as according to civil works drawing.
Fence has to cover up dam perimeter.
- Door of swing double type highly 1.5 m, wide of 4 m real aperture provided with
heavy-duty 3” padlock. Construction Detail as according to civil works drawing.

11.3.Effluent Ponds Fence and Gate

specification of civil work.

Work scope covered:


- Fence highly 1.50 m, made of galvanish baberd wire with 50x50x5 mm column
of angle bar every 3 m distance with contributor every distance 30 m and at
crossing corners. Construction Detail fence as according to civil works drawing.
Fence has to cover all waste perimeters.
- Door of swing double type highly 1.5 m, wide of 4 m real aperture provided with
heavy duty 3” padlock. Construction Detail as according to civil works drawing.
12. Water Reservoir

Size, type, construction detail, quality of material and execution procedure must
follow civil works drawing, government standard and regulation and technical
specification of civil work.

Work scope covered:


- Making of water intake system to take water from water source which has been
determined into dam with structure as according to civil works drawing,
including making of harmonica barbed wire and galvanish baberd wire with
lasing of angle bar and making of entrance of angle bar and black pipe.

13. Effluent Pond Open Drain

Size, type, construction detail, quality of material and execution procedure must
follow civil works drawing, government standard and regulation and technical
specification of civil work.

Work scope covered:


- Making of underflow channel of K225 concrete with 1 (one) M6 wire mesh layer
reinforcement, equipped by rigid log from every 3 m distance reinforced
concrete. Size and detail as according to civil works drawing.
- Making of K225 concrete control tank with 1 (one) M6 wire mesh layer
reinforcement, as storage of waste from HDPE pipe before flows into underflow
channel, provided with door of wood materials. Size and detail as according to
civil works drawing - Making of underflow channel cover from wood. Size and
detail as according to civil works drawing.

14. Landscaping and Turfing

follow civil works drawing, government standard and regulation and technical
specification of civil work.

Work scope covered:


- Fireplace all land heeling in factory area.
- Fireplace of open land areal in factory and dismissal of dig land pickings.
