Dear mister Joseph ,

I hereby send you a proposal for Buy Back of an Ampelmann System to be deployed in Trinidad &
Tobago as offshore access / personnel transfer for 3 years. This proposal provides the payment
scheme and conditions.

PURCHASE OF SYSTEM
Ampelmann System (incl. Powerpack) 1 4,000,000 EURO
Maintenance and Service Contract* 1 100,000 EURO/YEAR
* Please see “Maintenance and Service Proposal” attached.

During the operational phase, the Ampelmann system can only do work for BP Trinidad & Tobago, for
the envisaged specific project and on a dedicated vessel. After the project, the system will be bought
back from BP Trinidad & Tobago according the following scheme:

Ampelmann System (incl. Powerpack) after 1,5 year 1 1,464,912 EURO
Ampelmann System (incl. Powerpack) after 2 year 1 1,088,656 EURO
Ampelmann System (incl. Powerpack) after 2,5 year 1 815,057 EURO
Ampelmann System (incl. Powerpack) after 3 year 1 613,750 EURO

At this stage a technical assessment of the system will be performed and any required maintenance
will be determined excluding normal wear and tear to return the system to Ampelmann.

OPERATORS PER SYSTEM

Operator 1 1,177 EURO/DAY/OPERATOR
Mob fee for Operator to Port of Spain 1 1,824 EURO/TRIP
Demob fee for Operator to Port of Spain 1 1,824 EURO/TRIP

During the start of operation Ampelmann will provide operators for safe operation of the system. For
twelve (12) hours operation you will need 2 operators. For twenty-four (24) hours operation you will
need 4 operators.

TRAINING OF CLIENT’S CREW TO AMPELMANN OPERATORS

Client’s crew can be trained for operating and maintaining the Ampelmann system. Training of crew
can be provided under the conditions stated below. The Client’s crew will be trained according a
“Training of Ampelmann operators V2” Document.

Operator 1 Training - 5 days and 5 persons 1 25,000 EURO

Operator 2 Training - 2 days and 5 persons 1 15,000 EURO
Mob fee for Trainer to Port of Spain 1 2,000 EURO/TRIP
Demob fee for Trainer to Port of Spain 1 2,000 EURO/TRIP

Bear in mind that Ampelmann Operations will always supply one Ampelmann supervisor for the entire
duration of this project.

Mobilisation fee 1 198,529 EURO
Demobilisation fee 1 198,529 EURO

OTHER PRICES
Engineering 1 118 EURO/HOUR
Fabrication of add-ons 1 Cost + 15% EURO

TERMS AND CONDITIONS:

All prices mentioned above are excluding taxes and dues.

The General delivery and payment conditions of the Koninklijke Metaalunie of 1 January 2008 are
applicable.

Traveling and lodging paid by Ampelmann not mentioned above will be charged at cost + 15%.

Any and all additional items will be charged at cost + 15%.

Invoicing will take place every 14 days, in advance. Payment term: 14 days.

First invoice will be sent before the beginning of the contract period.

Any part of a calendar day will be billed as a full day.

This proposal is valid for 14 days and subject to the availability of an Ampelmann system.
