PURCHASE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT is made, executed and entered into by:

MARIA RENEE SOL D. CALUMPANG, of legal age, married, Filipino, and with residence
and postal address at L. Rovira Road, Pulang Tubig, Negros Oriental, hereinafter referred to as
the SELLER;

-AND-

TOPLEVEL SOLUTIONS, INC., a corporation duly incorporated under and by virtue of

Philippine laws with local address at Room 100, Portal West Building, Dumaguete City, duly
represented herein by its Executive Vice President and CFO, PHIL ADNIL CALUMPANG,
hereinafter referred to as the BUYER;

Whereas, Seller owns and conducts a Business Process Outsourcing Business by the
name of LLC Customer Service Solutions at Room 106, Portal West Building, Dumaguete City;
and
Whereas, Seller agrees to sell, and the Buyer agrees to buy the business assets under
such terms and conditions below;

Now, Therefore, for and inconsideration of the foregoing premises and the mutual
covenants and stipulations hereinafter stated, the parties hereby agree as follows:
1. Consideration:

Under the terms and conditions set forth herein, BUYER shall pay SELLER the
total amount of EIGHTY THOUSAND PESOS (80,000)

2. Manner of Payment

Within Seven (7) banking days from the date of the execution of this contract,
BUYER will give to the SELLER, the amount of TWENTY THOUSAND PESOS
(20,000).

Thereafter, BUYER will pay the amount of TEN THOUSAND PESOS (10,000) on
each of the following dates: May 25, June 25, July 25, August 25, September 25
and October 25, 2015.

3. Assignment of Rights

The rights of each party under this Agreement are personal to that party and may
not be assigned or transferred to any other person, firm, corporation, without the
prior express and written consent of the other party.

In this Agreement, any reference to a party includes that party’s heirs, executors, administrators,
successors and assigns.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures, this 2nd day of April,
2015 at Dumaguete City, Philippines.
