REVISED CONSTITUTION AND BY-LAWS

ARTICLE I. NAME, SEAL AND ORGANIZATION

Section 1. This organization shall be known as the Association of Computer Engineering
Students also referred to as “ACOES” in this constitution.

Section 2. The official seal and logo of the ACOES shall be in such form as may be approved by
the organization in accordance with the college regulation.
ARTICLE II. AIMS AND PURPOSES
Section 1. To unite all the Computer Engineering Student of the Central Colleges of the
Philippines.

Section 2. To keep the Computer Engineering Students of the Central Colleges of the Philippines
informed with the developments, trends, and changes in the practice of the Computer
Engineering profession.

Section 3. To promote active participation in all activities sponsored by the organization and the
College of Engineering.

Section 4. To operate and maintain any important undertaking or any other activity which will
promote growth and progress of the organization which may directly or indirectly attain the
general objectives set forth.

ARTICLE III. MEMBERSHIP

Section 1. Membership of the organization shall be limited to the bonafide students of the
Central Colleges of the Philippines taking up Computer Engineering.
Section 2. Membership shall be denied to person(s) who have committed violation against the
organization.

ARTICLE IV. THE EXECUTIVE BOARD AND REPRESENTATIVES

Section 1. There shall be an Executive Board composed of the following officers:
 President

 Vice-President for Internal Affairs

 Vice-President for External Affairs

 Secretary

 Treasurer

 Auditor

 P.R.O.
Section 2. There shall be one Representative in each year level that will complete the set of
officers, composed of the following:
 1st Year Level Representative

 2nd Year Level Representative

 3rd Year Level Representative

 4th Year Level Representative
 5th Year Level Representative

Section 3. The Executive Board and the Representatives shall be the decision-making body of
the organization in matters concerning expenditures, activities including special projects,
appointments to any vacancies in the board.
Section 4. The Executive Board Officers and the Representatives shall be elected from among
the organization’s regular members during the annual election meeting which shall be one month
after the opening of each school year.

Section 5. Any member/officer of the Executive Board and the Representatives who has been
absent for three consecutive meeting without justifiable reason shall automatically be considered
resigned from the board but not from the organization.

ARTICLE V. QUALIFICATIONS OF THE EXECUTIVE BOARD AND THE

REPRESENTATIVES MEMBERS
Section 1. All Executive Board members shall have the following qualifications:
 Must be a regular member of the organization.
 Must be of Good Moral Character.
 Must not hold two elective positions.
 Must not have been impeached as an officer of any organization recognized by the
colleges/school.
 Must have at least two successive semesters residency prior to the holding of elections,
with an academic load of at least eighteen (18) units for each semester.
 Must have a weighted average of at least 2.50 for preceding semester, with no grade of
NC, or dropped for the preceding two semesters.
 Must not be a candidate for graduation in the first semester of the academic year at the
time of the election.
Section 2. All Representative members shall have the following qualifications:
 Must be a regular member of the organization.
 Must be of Good Moral Character.
 Must not hold two elective positions.
 Must not have been impeached as an officer of any organization recognized by the
colleges/school.
ARTICLE VI. DUTIES AND POWERS OF THE EXECUTIVE BOARD MEMBERS
Section 1. The President
 Shall have the power to call and preside on all the meetings of the organization.
  Shall have the power to create committee and appoint their respective chairmen with the
approval of the board.
 Shall authorize all the expenditures with the approval of the board.
 Shall act as the organizations official representative to any conference, meeting, or
convention.

 Shall issue official statements of the organization through the P.R.O.

 Shall be the executive officer of the organization and shall exercise all the powers and
discharge all the duties regularly or continuously inherent to his office under the by-laws
of the organization.
Section 2. The Vice-President for Internal Affairs
 Shall assist the president in the performance of his/her functions.
 Shall exercise and discharge all the powers and duties of the president in case of absence
and/or incapability of the latter.
 Shall have direct supervision over the official organizations internal affairs.
Section 3. The Vice-President for External Affairs
 Shall have direct supervision over all the committees created.
 Shall exercise and discharge all the powers and duties of the president and/or the internal
vice-president in case of absence and/or incapability.
 Shall take charge of all the affairs of the organization involving other organizations.
 Shall take charge of all the affairs in the national organization: Institute of Computer
Engineers of the Philippines – Student Edition NCR Chapter (ICEPEP.se-NCR).
Section 4. The Secretary

 Shall be in-charge of all the corresponding records and documents pertaining to the
organization.
 Shall issue notices for meeting, prepare the order business thereof and the minutes of the
meeting.
 Shall perform other duties as the executive board may require him/her.
Section 5. The Treasurer
 Shall disburse funds upon the authorization of the president.
  Shall collect all fees.
 Shall be the custodian of all funds and properties of the organization.
 Shall report during the regular meeting on the financial condition of the organization.
 Shall take all books of accounts open for inspection by any members.
 Shall submit a financial report to the office of student affairs every semester.
Section 6. The Auditor
 Shall examine and audit the books of accounts of the organization quarterly or as may be
directed by the executive board.
 Shall submit a report to the executive board regarding the result of the audit.
Section 7. The P.R.O.
 Shall inform the officers and member of all the meetings and activities of the
organization.

 Shall be in-charge in organization’s official websites, fan pages, or other social

networking accounts.
 Shall make public announcements regarding the organization upon the authorization of
the president and perform other functions that the executive board may require him/her.
Section 8. The Representatives
 Shall inform the members in their respective year level about the events, meetings, and
other activities of the organization.
 Shall be the voice of the members in their respective year level.
 Shall assist the Executive Board members in the performance of his/her functions.
ARTICLE VII. RIGHTS AND DUTIES OF MEMBERS
Section 1. Members of the organization shall abide the by-laws of the organization at all times.
Pay all dues promptly and cooperate at all times with the performance of their duties.

Section 2. All regular members shall have the right to avail of all the benefits that the
organization may offer.

Section 3. Members shall have the right to vote on all elections that may be held by the
organization.
ARTICLE VIII. ELECTION AND TENURE
Section 1. There shall be a yearly election of the executive board officers and representatives to
be held one month after the opening of each academic year.

Section 2. There shall be no reelection for the same position for all executive board officers and
representatives.

Section 3. A committee shall be formed from the members to supervise the election proceedings
and insure proper conduct of the election.

Section 4. The elected Executive Board Officers and Representatives shall assume their duties,
powers, and responsibilities after they are inducted into office. They shall hold office for one
academic year or until their successor have been duly elected and inducted.
ARTICLE IX. IMPEACHMENT
Section 1. All executive board officers and representatives are subjected to removal from office
by impeachment when found guilty of the following:
 Culpable violation of the constitution
 Gross negligence of duty
 Incompetence and other serious grounds
Section 2. Impeachment proceeding shall take place the shortest time possible and shall be given
priority over the matters.

Section 3. Any charge for the impeachment shall be formally forwarded to the executive board
and representatives. This shall contain:
 The name(s) of the officer(s) involved
 The ground(s) for the impeachment charge
 The board and representatives will then be responsible for informing the officers
concerned and the members of the organization for the impeachment.
Section 4. Upon receiving a formal impeachment charge, the officer involved is automatically
suspended from office.

Section 5. The board meeting in quorum has the power to decide the case after it has been
thoroughly discussed. If found guilty of the charges filed against them, the officer concerned is
permanently removed from office and is further disqualified from holding any other office in the
organization. Otherwise, he/she shall continue until the end of his/her term.

Section 6. Any member or officer has the right to file an impeachment charge against any
member of the executive board and representatives.

ARTICLE X. MEETINGS
Section 1. The executive board and representatives shall meet at least once a month and
whenever the need arises.

Section 2. General meetings of members shall be held at least twice a year for the planning and
undertaking of activities.

Section 3. There shall be an annual meeting, to organize the election, which shall be held two
weeks after the opening of classes.

Section 4. A majorities of the members of the executive board and representatives shall
constitute a quorum.

ARTICLE XI. FINANCE

Section 1. The funds of the organization shall come from its annual dues and from other
legitimate sources.

Section 2. The whole academic year membership dues shall be one hundred fifty pesos (Php
150.00) for every member, this include the I.D. and benefits in every activities of the
organization.

ARTICLE XII. AMMENDMENTS

Section 1. Proposals to amend the by-laws may be made in writing by a group of five (5) regular
members or by a resolution of the executive board.

Section 2. No provision(s) of this constitution and by-laws shall be amended, altered, or

suspended except by 2/3 vote of all the members.
Section 3. Any amendment to this constitution shall be valid and binding only when supported
by an affirmative vote of the majority of the members of the organization, and upon the approval
of the dean of the college of engineering and the dean of the student affairs.
ARTICLE XIII. TRANSITORY PROVISION
Section 1. The chairman of the organizational committee upon the effectivity of this constitution
shall be authorized to call a meeting for the election of the first set of officers (executive board)
of the organization. The date of the election shall be decided upon by the members of the said
meeting.
Section 2. The officers and members of the organizational committee shall attend the meeting
mentioned in section 1 hereof, and the same body shall have the power to ratify this constitution.

Section 3. The officers in the existing organizational set up who remain to hold office shall do so
unless otherwise, impeached, expelled, suspended, incapacitated, or have refused to render any
further service(s) as officer(s).

Section 4. The chairman will have the responsibility over all meetings and activities until the first
set of officers have been duly elected and have assumed office.
ARTICLE XIV. ADVISER
Section 1. The adviser shall give comments and suggestions with regard to the affairs of the
executive board.

Section 2. The adviser shall commence seminars and lectures regarding Computer Engineering
subjects.
ARTICLE XV. EFFECTIVITY

This constitution shall take effect immediately upon its ratification in a meeting called for the
purpose, wherein fifty percent plus one (50% + 1) of votes of all the members is sufficient to
have the constitution ratified.
