CONTRACT OF EMPLOYMENT

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT AGREEMENT is made and executed in the City of Pasay on __ th day
of March 2016, by and between:

ZHONGFA DEVELOPMENT, INC., a corporation duly organized and existing


under the laws of the Philippines with principal office at Pasay city, herein
represented by _________________, General Manager, and hereinafter referred
to as the “Company”.

And

____________________________, single, Chinese National, of legal age, with


passport number _________, with residence address at
___________________________________, herein referred to as "Employee";

WITNESSETH:

WHEREAS, ZHONGFA DEVELOPMENT INC. is a company engaged in the sale of


Condominium Units and other products and services derived therefrom;

WHEREAS, the Company is in need of a ________ consultant to that will


___________________________________________________;

WHEREAS, the Employee is an expert in the field of _________;

WHEREAS, the Employee has offered its services to Company, and Company has
accepted the offer of the Employee;

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:

1. APPOINTMENT

This Agreement between ZHONGFA DEVELOPMENT INC. and [employee name] confirms the
mutual understanding of the terms and conditions applying to this assignment by the Company as
[job title] based in the Republic of the Philippines (the “Assignment”). This Assignment is
subject to any required medical clearance, home country and host country laws and regulations
regarding work and travel, the Employee's performance of this Assignment to the sole
satisfaction of The Company and the Employee's acceptance of the terms and conditions outlined
in this Agreement. The proposed effective date of the Employee's foreign Assignment is [date],
or later as mutually agreed between the Employee and The Company. For purposes of this
Assignment, the Employee's Home Country is the _______________ and the Employee's Host
Country is the Republic of the Philippines. the Employee's Point of Origin (home location) has
been designated as [___________________].

2. DUTIES OF THE EMPLOYEE

The term of this Agreement is indefinite. While it is presently anticipated that the Employee's
Assignment in the Host Country will last until [date]. As a [job title] the Employee will be
expected to perform the duties and responsibilities set forth in the attached job description
(“Appendix A”). However, The Company also reserves the right to change, at any time and for
any reason, the Employee's duties and responsibilities and the location within the Host Country
where the Employee's duties are performed. If The Company decides to extend the Employee's
Assignment beyond [date], The Company will notify the Employee in writing at least 30 days
before the initial anticipated end date of the Assignment.

3. DOCUMENTATION

The Employee must obtain, retain and maintain current any documents that are required for The
Employee's accompanying dependents’, if any, entry into the Host Country and that are
necessary for the Employee to perform work in the Host Country, including, but not limited to,
entry visas or permits, work visas or permits, security permits or passes, and any other
documents required to allow the Employee to enter, remain and perform his duties for The
Company in the Host Country.

4. HOST COUNTRY RELATIONS

The Employee is responsible for maintaining good will and favorable relations with all
government representatives, as well as the citizens of the Host Country. Any objection, whether
official or informal, to the Employee continued presence in the Host Country may result in the
termination of this Assignment and his immediate return to [China].

5. POST ASSIGNMENT CONDITIONS

The terms and conditions outlined in this Agreement will be in effect only for the period the
Employee is employed by The Company in this Assignment. Should the Employee return to the
Home Country at the end of the Assignment, or is assigned to a new assignment at the end of this
Assignment, or should the Employee terminate his employment with The Company, the
allowances and all privileges and accommodations provided under this Agreement will cease. All
compensation and allowances unless otherwise stipulated will be paid in Philippine Peso.
Repatriation, if applicable due to unsatisfactory performance as determined solely by the
Company, does not guarantee employment thereafter for any period of time. Termination of
employment for any reason will terminate the Assignment and will require immediate settlement
of all outstanding taxes, travel advance and other advances or accounts. Employee authorizes
The Company to withhold any amount due to the Employee at the time of employment
termination until the Employee has returned all Company property to The Company, and the
Employee further authorize The Company to withhold and set off against such amounts due to
the Employee any amount that may be due to The Company. All payments by the Company,
including base salary, overseas differentials, allowances, and storage of goods in the Home
Country will cease immediately upon termination.

6. OVERSEAS COMPENSATION

The Overseas Compensation package shall be:

A. Base Salary.

Employee's base salary will be ____________ per month and is the basis for merit increases in
accordance with the Company’s policy and procedures.

B. Incentive Compensation Program

The Employee will continue to be eligible to participate in the Incentive Compensation Program
at the _____% level pursuant to the applicable annual plan guidelines. The Company reserves the

right to change, modify or discontinue the Incentive Program at its discretion without notice,
and, such modification shall not affect the remainder of this Agreement.

C. Expense Reimbursement-Travel to and from Foreign Post

2. Travel to Assignment. For the actual Assignment, The Company will reimburse for airfare
expenses (coach class) or other suitable modes of transportation from Point of Origin to the Host
Country location, and will reimburse the Employee for reasonable transit expenses en route. If
the housing arrangements are not completed upon arrival in the Host Country, The Company will
reimburse the Employee for reasonable and necessary living expenses incurred prior to taking
occupancy of leased living quarters (“Temporary Living Allowance”). Such reimbursement will
include meals and lodging (including necessary laundry) for a maximum for six weeks.

3. Return Travel. Similarly, upon repatriation to the Home Country following completion of the
Employee's Assignment, provided the Employee is still employed by The Company and
performed the Assignment to the sole satisfaction of The Company, The Company will reimburse
for coach class airfare expenses or other similar suitable transportation from the Employee's Host
Country location to Point of Origin and Temporary Living Expenses for up to a maximum of six
weeks.

D. Housing Allowance

The Company will pay the Employee a housing allowance of ___________ per month, which is
intended to allow the Employee to rent a reasonable accommodation in the Host Country
location. The allowance is based on the housing costs in the Host Country location compared to
the Employee's home location, and will be received by the Employee net of tax, beginning in the
month in which the Employee rent long term accommodations, and continuing for each month
thereafter. The Employee must provide The Company with a copy of the Employee's Host
Country lease agreement to receive payment of his housing allowance. Leases and similar
agreements shall not be entered into by the Employee on behalf of The Company.

The housing allowance, which is affected by inflation in both the foreign and home locations,
and will be reviewed each year on the anniversary date of the Employee's arrival in the Host
Country, per request. The amount the Employee receives under this allowance will be adjusted
monthly to reflect the exchange rate in effect at the time of payment.

7. EMPLOYEE BENEFITS

B. Vacation and Holidays

During the Employee's Assignment, the Employee will be entitled to take vacation in accordance
with The Company’s vacation policy, or if application of The Company’s policy is prevented by
Host Country laws or regulations, in accordance with those laws or regulations. The Employee
will also be entitled to observe a total of ___ paid holidays per year, which may consist of either
Company-observed holidays in the Home Country or official holidays observed by the Host
Country, or a mixture of both.

C. Annual Home Leave

Home leave is designed for the Employee to return to the Home Country periodically to maintain
both personal and business relationships. the Employee is eligible for home leave after the
Employee have completed three months in the Host Country.

D. Emergency Travel

In the event of serious illness or death of a member of the Employee's immediate family in
China, The Company will pay the roundtrip coach airfare for the Employee and his dependents
who resides in the Host Country to a destination closest to the affected family member. In
addition, the Employee will be granted a paid leave of absence up to a maximum of seven (7)
calendar days. Verification of the emergency and relevant facts will be required by the Company.
Any additional leave required will be charged to the Employee's vacation or as an unpaid leave
of absence.

E. Moving, Shipment & Storage of Personal & Household Effects

8. PHYSICAL EXAMINATION

The Company recommends that the Employee schedule a diagnostic physical examination prior
to the Employee's departure, during the Employee's assignment, and upon return. The Company
will reimburse for the cost of the examination.

9. COMPLIANCE WITH LAWS AND CORPORATE POLICIES

the Employee agrees that while employed by The Company in this Assignment: 1) the Employee
will not engage in any employment or business activity that will in any way conflict with the
Employee's work for The Company and the interests of The Company; 2) the Employee will
perform all the Employee's duties and responsibilities to the satisfaction of The Company and
will comply with the Company’s Code of Business Conduct and all other applicable company
policies, rules and regulations; and 3) the Employee will comply with all applicable Home
Country and Host Country laws and regulations and will refrain from Host Country political
activities.

10. EXCLUSIVITY

Throughout the entire period of this overseas agreement, Employee will not engage, directly or
indirectly, either on his/her own or through the agency of another person, firm or corporation, in
any other employment, profession, occupation, service or business whatsoever. Violation of this
provision will result in the immediate termination of this overseas assignment and the immediate
return of Employee to China, and may result in the termination of the employment of Employee.

11. TERMINATION

This contract shall be valid for a term of ________ which shall commence on the day that both
parties shall have signed this instrument. This contract shall automatically terminate upon the
expiration of its term. This contract may only be renewed upon the mutual agreement of the
parties subject to the documentary and legal requirements of the Employee in his employment
with the Host Country and other terms and conditions which shall be agreed upon. There shall
not be an automatic renewal of this contract, unless otherwise agreed upon in writing and signed
by both parties.

Either party may terminate this agreement for breach and violation of any of the terms and
conditions provided herein. A notice of termination shall be sent to the other to be effective thirty
(30) days after receipt of the party concerned.

The Company may terminate this contract for whatever reason it may deem as necessary,
provided that, it gives the Employee an advance notice of termination THIRTY [30] days prior to
its intended effectivity.

This gives the Company the right to terminate the agreement at any time if the Employee is
unsuitable or is guilty of misconduct. An Employee who provides false information for purposes
of execution of this Agreement shall refund air fares and other expenses which the Company has
paid pursuant to this Employment Contract.

13. CONFIDENTIALITY

All copies of the materials, documents, papers and/or information that the Employee may come
into possession of or in contact with that is relative to the Company’s business, shall be disclosed
or otherwise given to the former by the latter immediately upon the termination of this
agreement.

All information/documents pertaining to the Company shall remain confidential. the Employee
shall not, in whatever means or methods, disclose such confidential information to a third party
without the express written consent of the Company.

14. GOVERNING LAW

This Agreement shall be governed, construed, and enforced in accordance with the laws of the
Republic of the Philippines, without regard to its conflict of laws rules.

15. EMPLOYEE ACKOWLEDGEMENT

I have read, understand and hereby agree to the aforementioned terms and conditions of the
Assignment. In addition, I understand and agree that I am entitled to receive the benefits set forth
above only for the duration of this Assignment. I also understand and agree that this Assignment
may be terminated at any time by the Company. I further understand and agree that,
notwithstanding the terms, conditions and benefits of this Assignment, all employment with the
Company is at will, and for an indefinite duration and there is no guarantee of employment with
the Company following completion or termination of this Assignment.

executed in accordance with the laws of the Republic of the Philippines on the day and year first
above written.

document, and that they acknowledged to me that the same is their own true act and voluntary
deed as well as the corporation which they respectively represent.

The foregoing instrument refers to a Memorandum of Agreement consisting of SEVEN


[7] pages including this page on which the acknowledgment is written and signed by the parties
and their instrumental witnesses on every page hereof.
