LETTER OF OFFER

Dear Muralisankar,

Further to our discussions with you, we are pleased to offer you appointment as Sr. Software
Engineer (Grade A2) with Birlasoft [India] Ltd. The terms and conditions of your
employment, that govern the basis of our mutual relationship, are outlined below:

1. The appointment will commence from the day of joining i.e October 27, 2010 failing which
this appointment will stand automatically withdrawn.

2. You will be entitled for salary and benefits of Rs. 4,00,000/- per annum. This is inclusive of
variable pay of Rs. 40,000/- as performance linked incentive. The details of your salary and
benefits are given in Annexure A.

3. You will be on probation for a period of six (6) months, which may be curtailed or extended
at any time during or at the end of the said probation period at the sole discretion of the
management. Both during the probation period and after the confirmation the services may be
terminated by either side by giving 60 days notice period or salary (Basic + Special Allowance)
in lieu there-of. The right to accept or extend pay in lieu of serving the notice period will be at
the sole discretion of the Birlasoft Management.

4. Initially you shall be posted at our Chennai facility. However, you could be transferred to
any of our offices/facilities, whether in India or abroad, on the same or similar terms and
conditions of employment.

Additionally, depending upon your suitability, you may be deputed to work at any of the
Birlasoft offices, or any of their clients at the client sites, whether in USA, Europe, Asia Pacific
or elsewhere. In case of such deputation you shall be treated as having bound yourself to serve
that Birlasoft office for the deputation period and for any stipulated period thereafter, and the
same shall be treated as a contract period vis-à-vis this contract of service. Accordingly you
shall be required to sign a non-disclosure/confidentiality agreement with that office and all
rules and regulations as applicable to that region shall be applicable to you.

5. During your employment with Birlasoft, you are obliged to work exclusively for us.
6. Confidentiality of Information :

a) Your salary package is based on, besides your overall experience level in the IT Industry, your
educational qualifications and the experience and knowledge level assessed at the time of
selection, particularly in the skill sets relevant. Therefore, the salary package offered to you is
peculiar and personal to you. Any comparison of the same with the salary packages of other
employees, based purely on the total experience level in the IT Industry, may be unrealistic,
misleading and invidious.

b) You are required to strictly maintain the secrecy of and ensure that you do not divulge or
communicate in any manner, any information regarding your remuneration/terms of employment,
to any other employee of the Company except to your immediate superior/ Head of the HR.

c) In the similar way, when deputed to work/interact at the client site, you are expected to
maintain full confidentiality regarding your salary packages, and are expected not to discuss or
disclose the same to any member of the client staff, in the interest of maintaining and promoting
good and ethical functional business relations with our clients.

7. You will maintain an excellent standard of discipline, efficiency, effectiveness, and integrity
and complete the work assigned to you to the best of your ability. You will discharge your duties
diligently and shall devote all your time and attention to the interest of the company.

8. You will abide by the Rules and Regulations of the Company which are in force and the
company shall have the right to vary or modify any or all of the above terms and conditions of
service, which shall be binding on you. During your employment with the company you shall also
be governed by the company’s all policies and rules regarding leave, attendance, provident fund,
gratuity , group personal accident policy, Group Medical Insurance Scheme, e.t.c.. Detailed
policy handbook will be provided to you on your joining.

9. Relocation expense reimbursement to an employee (as per details enclosed in Annexure B)


will be treated as an advance and nullified at the end of one year from the date of joining. In the
event an employee who has availed reimbursement, separates from the company within one year
from their date of joining, the amount reimbursed towards relocation expenses will be recovered.

10) Background Verification:

This letter of offer is issued based on the particulars furnished by you in your CV and also at the
time of interview/discussions with us. Birlasoft has a well-defined background verification
process to establish genuineness of the credentials furnished by you. Background verification
will be done on the basis of the information and documents furnished by you in the Employment
Application Form and CV. In case any information furnished by you is found to be incorrect
during the verification process, or at any time during your employment with us, this offer or your
employment shall stand withdrawn automatically.
11. You are required to intimate the management of any change in your residential
address/correspondence address, along with the contact phone numbers, failing which any
communication sent on your last recorded address shall be deemed to have been secured on you.

12. If yor are provided any specialized training in Birlasoft [India] Ltd., You may be required to
sign a bond with the company that guarantees a certain length of your employment with Birlasoft
[India] Ltd.

13. Retirement : You shall automatically retire from service on the last working day of the
month in which you attain the age of 58 years, or earlier if you are physically or mentally
incapacitated. The date of birth as recorded at the time of employment with the Company shall be
final for this purpose.

14. Retirals: Apart from your compensation and benefits you will also eligible for Gratuity on
completion of five years with the Company, as per the Payment of Gratuity Act, 1972.

15. This offer of appointment is subject to Indian laws and any legal proceedings, whatsoever
shall be under the exclusive jurisdiction of Courts of Delhi.

16. You are requested to report at 9.30 am on the day of your joining.

ANNEXURE -B

A To facilitate relocation from your current location in India to your reporting location, you are
entitled to relocation expenses reimbursements against actuals of the following:

1. The travel expense entitlements will depend upon the position of the individual hired (and
also in case of individuals called for personal interview) i.e.:

Grade A1 to A4 : 2nd A. C. Train Fare


Grade A5 to A8 : Economy Air Fare

(Please retain the tickets which should be attached with the reimbursement claim voucher)

2. The reimbursement of relocation expenses will also depend upon the marital status of the
individual hired i.e.:
a) Single : One way travel fare depending upon the position at which the
Individual is hired, plus

Reimbursement of reasonable freight forwarding (by road)


expenses of 1.5 month’s Basic Salary subject to Max. of Rs.
15000/- on production of bills.

b) Married : One way travel fare for self & family (spouse and dependent
Children only) in mode applicable as per the position.

Reimbursement of reasonable freight forwarding (by road)


expenses of 1.5 month’s Basic Salary subject to Max. of Rs.
20,000/- on production of bills.

All exceptions to the above shall be approved by the Global Head-HR after recommendation
from the Respective Unit Head.

B The Company would provide Guest House accommodation for outstation candidates (only for
employee) for an initial period of 10 Days.
