0 Definitions
2.0 Priority of Contract documents

2.1 – If there is any conflict between terms of this protocol and any other documents forming
part of this agreement, comply with this protocol unless otherwise stated

2.2 - If there is any conflict between model and information derived from model, comply with
model

3.0 Obligations of the employer

3.1 – Employer shall;

3.1.1 – Arrange a protocol substantially same to this. Incorporate given obligations to all
Project Agreements

3.1.2 – Make sure that obligations of the protocol match with project team member’s
obligations

a) Ensure that until project end, information requirements, model production and
delivery table are reviewed and updated at each stage
b) Role of Information Manager changed or renewed to ensure that until the end of the
project there is person performing Information Management Role

4.0 Obligations of the project team member

4.1 – Project Team Members shall;

4.1.1 – Produce models to the LOD specified in model production and delivery table. But not
required to include material which are part of the model and provided to the project team by
or on behalf of employer

4.1.2 – for the events outside its reasonable control, they shall use reasonable effort to

a) Deliver the models as specified in model production and delivery table


b) Use project team models according to procedures given in Information Requirements
c) Comply with Information Requirements

4.1.3 – Incorporate this to sub contracts to enable project team members comply with this
protocol

5.0 Electronic Data Exchange

5.1 – Project team members does not warrant that integrity of electronic data does not prejudice
the obligations of the project team members

5.2 – Project team members do not have any liability over unintended amendment, modification
or alteration of electronic data after it has been transmitted by project team member even
project team member do not comply with the protocol

6.0 Use of Models

6.1 – Models provided by Employer to project team members shall be varied up to the extent
specified in 6.2 – 6.8

6.2 – Any right related to materials shall be with project team member
6.3 – Project team member grants to the employer a nonexclusive licence to the extent that material
rights are with the third parties and a sub licence shall be issued to grant use of materials to other
project team members

6.4 – Licence and sub licence issued can be suspended revoked in the event of non-payment

6.5 – License in 6.3 shall not include the right to:

6.5.1 – amend or modify material without the project team members written consent

6.5.2 – reproduce any proprietary work contained in the material for any extension of the project

6.6 – any right of revocation in license shall remain in the sub license as well

6.7 – Employer grants a nonexclusive license for project team members to use it for intended
purposes

6.8 – License and sub licence in 6.6 and 6.7 shall not include the right to;

6.8.1 – amend or modify any model without written consent of employer

6.8.2 – reproduce any proprietary work for any extension of the project

6.9 – project team member represents to the employer that license and sub license granted in the
form stated in 6.3

6.10 – employer represent to the project team member that it has/ it will grant either a sub license
in the form stated in 6.6 or license in the form stated in 6.7

7.0 – Liability in respect of a model

7.1 - models given by employer to project team members shall be changed to the extent necessary
to give effect to 7.2 & 7.3

7.2 - Project team member has no liability over any amendment of models to any party, other than
permitted in 6.3

7.3 - Employer has no liability over any amendment of models to any party, other than permitted in
6.6 or 6.7

8.0 - Termination

8.1 – clauses 1,2,3,5,6,7 shall apply for termination by project team member’s employment
