ARTIST MANAGEMENT CONTRACT

MA. CHESKA ANDROMEDA CORTEZ GOPO (A.K.A. CHESKA GOPO)

This is to confirm our agreement that JEMUEL CAINGLET SALTERIO or likewise

referred to SHOWMASTER Artist Management and Public Relations, with postal and
business address at #01 Guava corner Suha Streets, Town and Country Executive
Village, Barangay Mayamot, Antipolo City 1870 Philippines, shall henceforth act as your
Personal/Business Manager in all media in the entertainment industry worldwide under
the following terms and conditions:

Validity/Effectivity:

That the management contract shall take effect and be valid effective July 2018
up to July 2028.

As your Personal Manager, I, JEMUEL CAINGLET SALTERIO or SHOWMASTER

Artist Management and Public Relations shall:

1. Assist the Artist in defining a public image for you, conducive to the advancement
of your career as a professional entertainer (singer, dancer, performer, recording
artist, actor, commercial model, etc., in all media including but not limited to
stage, television, film, radio and print).

2. Negotiate for, represent Artist and sign all contracts relating to the use of Artist’s
talents; approve or permit the use of Artist’s name, photograph, likeness and
voice for publicity, and in the promotion, advertising and merchandising of
products and services.

3. Screen all proposed business and personal activities and/or offers, subject to
your prior approval, accept or decline on your behalf, schedule and coordinate all
activities in connection with your career.

4. Assist in setting up production specifications for all your performances and

personal appearances, and make sure that such specifications are adhered to by
the hiring party.

5. Assist and advice you in all occasion, and therefore after consultation with you
and with your consent, particularly with regards to the fees therefore, arrange for
the services needed to advance your career, such as hiring a professional voice
teacher, hair and make-up artist, stylist, music arranger, choreographer, lawyer,
photographer, dentist, couturier and others.

As your Business Manager, I, JEMUEL CAINGLET SALTERIO or SHOWMASTER

Artist Management and Public Relations shall:

1. Negotiate and conclude on your behalf and with your approval, all contracts in
connection with your career as a professional entertainer (singer, dancer,
performer, recording artist, actor, commercial model, etc.,) in all media including
but not limited to stage, television, film, radio and print.
 2. Approve and initial or sign on your behalf in any such representation, business
transaction of any kind such as agreements/contracts prior to your signature
provided that you shall sign all contracts/business transactions initiated, arranged
and secured by neither JEMUEL CAINGLET SALTERIO or SHOWMASTER
Artist Management & Public Relations.

3. Collect all your fees and withholding tax receipts for you and deliver the same to
you within one (1) month or as per designated date stated in the management
contract for each performance or payment made.

4. And, in all instances, promote and protect your public image and business
interests in connection with your career as a professional entertainer.

5. Artist shall not engage any other representative; nor perform such services on
Artist’s own behalf; nor negotiate or execute any agreement without Manager’s
consent.

6. For services under this Agreement, Manager, JEMUEL CAINGLET SALTERIO

shall receive from Artist (or shall deduct from Artist’s gross earnings) THIRTY
PERCENT (30%), after required deduction of the withholding tax, such payment
to be effective upon every collection, partial or otherwise.

Earnings include all earnings of Artist for an activity, whether secured by or coursed
through Manager from all media or platforms worldwide. For purposes of this
paragraph, an activity is defined as one project negotiated for at one given time and
covered by one contract, regardless of number of acts, appearances, or guest
appearances required for the project and regardless of when gross earnings are
received or paid.

As an Artist/Client of JEMUEL CAINGLET SALTERIO or SHOWMASTER Artist

Management and Public Relations, you shall:

1. Course through Manager, JEMUEL CAINGLET SALTERIO, all professional or

non-professional, paid or unpaid, personal or non-personal activities and all
matters connected with your career as an entertainer (singer, dancer, performer,
recording artist, actor, composer, commercial model, etc.,) in all media including
but not limited to stage, television, film, radio and print, including paid or unpaid
performances, promotions, production requirements, etc. Failure to comply with
all these specifications will result to breach of contract and shall therefore be
subjective to all applicable legal actions.

2. Pay Manager, JEMUEL CAINGLET SALTERIO all commissions herein agreed

upon on all contracts negotiated, secured and entered into all this time this
Agreement is still enforced despite the expiration of this Agreement. Contracts
and engagements made, prepared and secured by Manager, JEMUEL
CAINGLET SALTERIO, will still be commissionable for the next ninety (90) days
after the expiration of this Agreement.
3. Understand that all necessities/requirements needed by you for the advancement
of your career as a professional entertainer/artist, shall be for your account (to
include but not limited to press relations, music minus ones and the recording
thereof, arrangements, costumes, professional voice teacher, choreographer’s
fees, accessories, stylist, hair-styling, make-up, audio tapes and CDs, photo
sessions, photo prints, lawyer, taxes, etc).

4. Abide by all contracts and commitments made with your prior consent as
provided above, and willingly perform to the best of your ability at all times, and
conduct yourself in a manner consistent with your public image and accepted
moral and ethical standards.

5. This Agreement shall be in effect for a period of ten (10) years starting the date
hereof, but shall be renewed automatically every term, provided further that if for
any unavoidable cause such as sickness, war or natural disasters, etc., you
cannot fulfill your obligations under this Agreement, Manager, JEMUEL
CAINGLET SALTERIO, reserves the right to suspend it for the full period herein
such time as you are able to perform your obligations under this Agreement.

6. That the artist hereby engaged MANAGER, JEMUEL CAINGLET SALTERIO

and/or SHOWMASTER Artist Management and Public Relations as sole and
exclusive representative worldwide in all branches of the entertainment industry,
including but not limited to theater, television, radio, motion pictures, recorded
and live entertainment presentations, appearances and contracts for advertising
commercial products, in print/audio visual media and other industries related to
the entertainment industry for ten (10) years upon signing hereof.

7. The ARTIST acknowledges that by virtue of the nature of the industry, it will take
at least three to five years before the Manager will be able to build and develop
the image and career of the Artist to its fullest, and that the Manager may not be
able to recover the time, money and resources that it will be investing in the
development and promotion of the Artist unless the foregoing Management
Contract is extended and renewed upon its expiration. Hence, the Manager shall
have the exclusive right and option to renew the foregoing Management Contract
for another period of ten (10) years from the expiration hereof under the same
terms and conditions.

8. That SHOWMASTER Artist Management and Public Relations, agrees in good

faith to:

a. Utilize its best effort to develop, advance and promote the career and talent of
the Artist on the basis of the latter’s talent, potential and ability
b. Be available to the Artist at reasonable times for consultation, supervision,
planning and negotiations and as such other duties normally required for
SHOWMASTER Artist Management and Public Relations, to act in Artist’s
best interest and further the Artist’s career.
c. Maintain a business address, contact number and such other services or
facilities which would aid in fulfilling the terms of this AGREEMENT.
 9. That the ARTIST and parent/s hereby agrees in good faith to:

a. Follow the instructions and advice by the MANAGER and/or SHOWMASTER

Artist Management and Public Relations, with respect to Artist’s professional
career.
b. In no manner will this CONTRACT/AGREEMENT be a guarantee of the
career and/or the gainful employment of the Artist or the receipt of the latter of
any income from any source outside the scope of this
CONTRACT/AGREEMENT.
c. Refer to SHOWMASTER Artist Management and Public Relations, ALL
offers, oral or written, which the Artist and/or parent/s may receive from third
parties for engagement of the Artist’s services which JEMUEL CAINGLET
SALTERIO &/or SHOWMASTER Artist Management and Public Relations,
will contract with third parties on behalf of the Artist.
d. That the Artist grants JEMUEL CAINGLET SALTERIO &/or SHOWMASTER
Artist Management and Public Relations, of FULL and TOTAL CONTROL of
her career, inclusive of all activities, packaging, imaging and branding.
e. If the Artist is female, that in the duration of this Agreement for ten (10) years,
the Artist is committed not to get pregnant and get married.

10. If Artist on his own initiative forms or becomes part of a performing group, the
Manager, JEMUEL CAINGLET SALTERIO may, in its discretion, enter into a
management contract identical to this Agreement with the performing group
unless the group is composed of artist whose careers are also managed by
Manager, in which case it shall be deemed to have entered into a similar
management contract with Manager.

11. Artist represents and warrants that Artist has the full power and authority to enter
into and perform this Agreement; and that Artist has no other contract which may
interfere with the rights of Manager, JEMUEL CAINGLET SALTERIO herein.
Artist shall indemnify and hold Manager harmless from any claim rising out of any
breach by Artist of any warranty, representation or agreement herein.

12. Artist acknowledges that Manager’s right to represent Artist as manager and
Artist’s obligation to use Manager exclusively are unique and irreplaceable rights
and obligations and shall be honored at all times.

13. The terms of this Agreement and other confidential information shall not be
divulged by Artist and/or parent/guardian to anyone.

14. It is the responsibility of the Artist and/or parent/guardian to secure ALL the
necessary work permits and pay any professional taxes or fees which may be
required by law or city ordinance, and submit to Manager proof of compliance.
