AGREEMENT

This agreement made is effective from 1st July 2018 between M/s Vibrant Screen Pvt Ltd whose Corporate Office is
located # 710, 5th "D" Cross, 2nd Block, HRBR Layout, Kalyan Nagar, Bangalore-560 043 Herein after called as the
First Party)

and

M/s. Bharat Enterprises with its Office located at “ A 2nd Floor Dubey Bhavan, Cement road, New Shukrawari,
Mahal, Nagpur-32 represented through Mr. Mayur Moundekar (Proprietor)

WHERE AS the Second Party is engaged inter alia in the business of providing Antecedent Verification and has
considerable manpower and experience in the said job.

WHERE AS the First Party has, recognizing the capabilities of the Second Party approached it and requested them
to undertake Antecedent Verification for First Party, has agreed to undertake the assignment on certain terms and
conditions.

WHERE AS the parties here to have decided to reduce the terms and their agreement into writing

NOW THIS AGREEMENT WITHNESSETH AS FOLLOWS: -

1. In consideration of the fees and expenses payable by the First Party to the Second Party and herein after
detailed, the Second Party shall undertake the task of Antecedent Verification for as per format agreed to
cover the following:

 Antecedent Verification (Address and Company Checks)

2. The First Party pays the Second Party as per the Annexure A plus service tax as applicable for carrying out the
above components.

GST on the total service charge to be paid as per Government of India Notification. GST will be in addition to the
service charges.

3. The Second Party shall complete verification and submit a report within the period mentioned on Annexure A.

The above holds true, unless there is a justifiable reason for delay on the part of First Party due to non-availability
of the candidate being put through pre-employment verification or consent of Second Party is obtained by the First
Party for the delay. The 1stParty will pay the Service Charges within 45 days from the date of receipt of correct
invoice hard copy.

3.1 Penalty for delay in delivery


• 10% of the service charge will be deducted from the agreed cost for a given verification which is delayed
beyond the agreed timelines, without justifiable reasons and/or prior approval of the 1st party.
justifiable reasons as defined in this agreement as below
• Justifiable reasons
– Dealing Clerk on long leave without handing over charges to a reliever
– Reasons related to force majeure conditions
– Sequential holidays
– Delay due to receipt of incomplete or inaccurate data from 1 st Party, or delay from 1st party in
clarifying doubts
• Unjustifiable reasons
– Process not initiated on time by 2nd Party (after receipt of complete & accurate data from
(customer)
– Process of verification completed by 2nd Party, but reporting delay causing delivery delays
– Any internal affair of 2nd Party causing delay in delivery

• Wrong Reporting – Rs. 10,000/- per proven wrong report


– Wrong report means a report where verification has gone wrong and a candidate who is green has
been reported as red, or vice versa – penalty applies upon re-verification by both parties
– Wrong data furnished by either the candidate or Vibrant (1st Party) will not be considered as a
wrong report

• For application of penalty against delay in delivery beyond the agreed timeline, the below slab would be
implemented

10% penalty for delay ranging from 1 day - 10 days
20% penalty for delay ranging from 11 days - 20 days
30% penalty for delay ranging from 21 days – 30 days
50% penalty for delay above 31 days

4. The First Party shall ensure that the information collected by it shall be accurate and true and shall be real time
information. The 2ndParty shall for the purpose of this agreement render the report in writing. This report shall be
for the use of the 1stParty only and it is not to be given to anybody including Police or Court of Law or used for any
purpose whatsoever.

5. Within 15 days of a written request by the Disclosing Party, the Recipient shall return/destroy (as may be
requested in writing by the Disclosing Party) all originals, copies, reproductions and summaries of Confidential
Information provided to the Receiving Party as Confidential Information. The Recipient shall certify to the
Disclosing Party in writing that it has satisfied its obligations under this paragraph. Notwithstanding the
destruction of such Confidential Information, each Party, together with its respective employees, shall continue to
be bound by the provisions of this letter agreement.

06.No money will be demanded or accepted by 2nd party or its Employee from the candidate/ his/her relative
during checks for whatever reason. If it comes to 1 st party’s knowledge that 2nd Party had asked for money, penalty
as in clause 3.1 above will be applied and contract will be terminated. The 2 nd party would be accountable for
conduct of its employees. 2nd Party employee should carry its company ID card during our verifications

7. The 1stParty shall ensure that it is available to receive the information collected by the 2ndParty.

8. The Second Party should ensure that the information collected by it is kept confidential and further the First
Party shall not use the information collected by it in any manner against the Second Party. Likewise the Second
Party shall also keep the name of the First Party secret.

9. The Second Party shall not delegate any of the tasks entrusted to it to any other person or agency other than its
own employees and shall conduct the verification in a polite manner without creating any
harassment/embarrassment to the (customer)employees/candidates.

10. Renewal: This contract is valid for a period from 1st July 2018 and will be automatically renewable for a period
of one year unless either party wishes to terminate and therefore has to give one month’s notice in writing before
the end of this contract period.

11. Termination: Either party can terminate this agreement by giving 30 days’ notice in writing for terminating this
agreement. Upon termination Second party shall deliver all verification reports for the verification done till the
date of termination.

Annexure – A

Commercial for the Verification Services

Note:

 The above commercials are exclusive of GST and the same will be charged extra.
 Billing will be done on monthly basis.
 Address Verification means visiting the given address personally/ physically and getting the Vibrant form
properly filled up by the respondent along with address photographs (minimum 02), Address proof signed by
respondent. If it is found that you are doing address over phone, penalty as in clause 3.1 above will be
applied
 No money will be asked by you from the candidate/ his/her relative during address check for whatever
reason. If it comes to our knowledge that you or your employee has asked for money, penalty as in clause
3.1 above will be applied and contract will be terminated
 You will ensure that you or your employee are in a presentable/ professional attire during address
verification. You will not save the candidates phone number or call them after the address check is
completed
 You will not share our address check data with anyone else.
 The responsibility of your employees will be entirely on you and above clauses are also applicable to them.
Your employee should carry your company ID card during our address verification
 All your employees and yourself who are involved in our address check would provide a Police Clearance
Certificate from the Jurisdictional Police within 15 days of signing this agreement
 The above commercials are exclusive of service TAX and the same will be charged extra.
 Billing will be done on monthly basis only

IN WITNESS WHEREAS, the parties hereto have set their hands hereunto on this day, month and year first herein
above written.
