REGULATIONS OF THE STOCK EXCHANGE OF THAILAND

Re: Preparation and Submission of Financial statements, Financial reports


and Operating results of Listed Companies, 2001

Whereas both the Office of the Securities and Exchange Commission and the Stock
Exchange of Thailand have authority to supervise the disclosure necessary for investment decision
making to be correct , complete and timely. The Securities and Exchange Commission and the
Stock Exchange of Thailand have signed a memorandum of understanding, which prescribed that
the Securities and Exchange Commission shall supervise such information disclosure of any
company in the capital market to be sufficient and meet the same standard.

By virtue of Section 59 of the Securities and Exchange Act B.E. 2535 (A.D. 1992) which
shall apply in accordance with Section 199 of the same Act, the Board of Governors of the Stock
Exchange of Thailand hereby issues the following Regulations, in order to accomplish the
objectives of such a memorandum of understanding:

1. These regulations shall apply to the preparation of financial statements, financial


reports and operating results of listed companies submitted after February 1, 2001.

2. The Regulations of the Stock Exchange of Thailand Re: Preparation and


Submission of Financial statements, Financial reports and Operating results of Listed
Companies, 1999 dated November 22, 1999 shall be repealed.

3. In these regulations:

“Exchange” means the Stock Exchange of Thailand;

“Office” means the Office of the Securities and Exchange Commission;

“Listed Company” means a company of which ordinary shares are listed on the
Exchange;

“the Notification of the SEC” means the Notification of the Securities and Exchange
Commission Concerning Rules, Conditions and Procedures of the Report on the Disclosure of
Financial Status and Operating results of the Securities Issuing Company;

“Auditor” means an auditor approved by the Office.

4. A Listed Company shall prepare and submit the Financial statements, financial
reports and operating results to the Exchange according to the particulars as follows:

(1) Quarterly Financial statements reviewed by the Auditor.

(2) Financial statements of each accounting period audited by the Auditor.

(3) Form showing required details of annual information (Form 56-1)

(4) Annual report proposed to the shareholders.

The listed company shall prepare and submit financial statements, financial reports
and operating results under the first paragraph to Office according to the rules and within the
period specified in the Notification of the SEC.

In case that any listed company submits financial statements, financial reports and
operating results to Office under Section 56 of the Securities and Exchange Act B.E. 2535
(A.D. 1992), such a listed company need not prepare and submit financial statements and
reports to the Office under these regulations.

5. The listed company shall submit a copy of the financial statements, financial
reports and operating results under Clause 4 to the Exchange.

6. In case that the listed company’s operating results differs from the same period
of the previous year by more than 20 per cent, the listed company shall prepare a report to
notify the reason for such a change and submit the same along with the financial statements
the listed company is required to submit.

7. The listed company shall prepare a report summarizing its operating results in
a form prescribed by the Exchange and submit the same along with the financial statements
the listed company is required to submit.

8. The listed company shall submit financial statements and the following reports to
the Exchange within the period specified in the Notification of the SEC via the electronics system
in accordance with the Regulations of the Exchange concerning report and submission of
information of listed company via electronics system:

(1) The financial statements, financial reports and operating results under
Clause 4, except the annual report distributed to the shareholders;

(2) the report notifying the reason for the change under Clause 6;

(3) the report summarizing its operating results under Clause 7.

9. The listed company shall submit an annual report prepared for the shareholders
to the shareholders together with an invitation letter for an ordinary annual shareholders’
meeting and submit to every securities company, which is the Exchange’s member via the
registrar of the securities of the listed company.
