PROPOSED AMENDMENT TO THE CONSTITUTION & BY-LAWS OF THE WAYNE

CENTRAL MIDDLE SCHOOL FRIENDS OF MUSIC ORGANIZATION

The following amendments are being proposed by the By-laws Committee which met on
September 26, 2006.

1. Add the following cover page.

2. “Organization” instead of “association” and “general meeting” instead of “regular meeting”
will be used throughout the by-laws.
3. Article II, Section 1. - Purpose
Present: to assist the Music Directors in such a manner as they desire

4. Article III, Section 1. – Membership
Present: Parents of all past or present music students and any other . . .

Add: Section 2. Registration with this organization constitutes confirmation of membership.
6. Article IV, Section 1. – Officers
Present: The officers of this association shall be Chairman/Co-chairman . . .

7. Article V - Duties
Present: Section 1. It shall be the duty of the Chairman to preside at all meetings of the
association and he/she shall be an ex-officio member of all committee unless otherwise
ordered.
Proposed:
Section 1. President
a. Shall preside at all meetings of the organization.
b. Has the option to be ex-officio member of all committees except of the nominating
committee.
c. Shall be a secondary signature on all contracts that will utilize funds from TCA
Friends of Music.
d. Shall file signature at bank where the organization’s funds are deposited and be
available to sign all checks with the Treasurer.
8. Article V – Duties
Present: Section 2. The Co-chairman shall perform the duties of the chairman in absence of
that officer.
Proposed:
Section 2. Vice President
a. Shall preside over meetings of the organization in the absence of the President.
b. Shall not be ex-officio member of all committees.
c. Shall file signature at bank where organization’s funds are deposited and be available
to sign all checks with the Treasurer.
9. Article V – Duties
Present: Section 3. The Secretary shall record the proceedings of all meetings of the
organization, shall conduct correspondence as directed by the Chairman and shall perform
such other duties as the organization may direct.
Proposed:

a. Assist the President with preparation of the meeting agenda by providing a list of
unfinished business.
b. Bring to each meeting the following:
 Copy of the organization’s current by-laws and procedures
 List of members
 Agenda
 Minutes of the previous year, including the Treasurer’s reports
 List of all committees, their chairpersons and members
c. Record minutes at executive committee and general membership meetings.
d. Maintain a permanent printed file of minutes, committee reports, membership lists,
and records of the organization.
e. Indicate in the minutes the name of the officer who performed the monthly
reconciliation of the bank statement.
10. Article V – Duties
Present: Section 4. The Treasurer shall deposit in a bank all funds received by the
organization, shall pay be checks the administrative expenses of the organization and such
other expenses as membership may direct, and report financial status of the organization at
each regular meeting.
Proposed:
Section 4. Treasurer
a. Be custodian of all funds.
b. File new bankcards prior to the new officers assuming office, indicating two
signatures required on checks.
c. Include the following in report at all meetings:
 Balance on hand in all accounts at the beginning of the period covered by the
report.
 Total receipts and disbursements in all accounts.
 Total balance on hand on date of report.
d. Have bank statement reconciled monthly by an officer who has not signed checks
during that period.
e. Report at the meeting of the association the name of the person who reconciled the
bank statement.
f. Keep an accurate and detailed account of all monies received and disbursed.
g. Pay all bills by check. Make no disbursements without proper receipts and only for
approved expenditures.
11. Article VI, Section 1. – Committees and Duties
Present: . . . four officers and the Music Teachers.
Proposed: . . . four officers and the three Music Teachers.
12. Article VI, Section 2.
Present: . . . This committee shall have authority to act without approval of the club on such
matters as expenditures, trips, and engagements, in order to expedite the business of the
club. . .

13. Article VI, Section 3.
Present: The Chairman shall appoint a membership committee, Publicity Chairman, and
such other committees as he/she sees fit to appoint from time to time.
Proposed: The President shall appoint a membership committee, Publicity Chairman, and
such other committees as the Executive Committee sees fit to appoint from time to time.
14. Article VI, Section 4.
Present: The Music Teachers shall be ex-officio members of all committees.
Proposed: The Music Teachers have the option to be . . .
15. Article VII – Meetings
Present: Section 1. The regular meeting shall be on the first Monday of each month during
the regular school year. Special meetings may be called by the Executive Committee or the
Chairman. Meeting time will be 7:30 p.m. in the Wayne Central Middle School.
Proposed: Section 1. General meetings shall be held once per month during the regular
school year. Special meetings may be called by the Executive Committee or the President.
At the end of each meeting a date, time and location will be determined for the next meeting.
Add: Section 2. At least two officers and one Music Teacher must be present for a meeting
to be official.
16. Article IX, Section 1. – Election
Present: Officers shall be elected for one-year terms, and may succeed themselves once.
Proposed: The President, Vice President and Secretary shall be elected for one-year terms
and may succeed themselves once.
17. Article IX
Add: Section 2. The Treasurer shall be elected to a two-year term, and may not succeed
herself/himself.
18. Article IX
Present: Section 2. At the May meeting the Chairman shall appoint a nominating committee
to report to the club at the June meeting at which time the election of the new officers will be
held.
Proposed: Changes to Section 3. At the April meeting, the President shall appoint a
nominating committee to report to the organization at the May meeting. Election of the new
officers will be held at the May meeting.
19. Article IX
Present: Section 3.
Proposed: Changes to Section 4.
20. Article X – Dues
Present: Dues, if any, will be determined from year to year by the Executive Committee.
Proposed: Eliminate this article.
21. Article XI – Quorum becomes Article X - Quorum
Present: Section 1. Ten members of the club shall constitute a quorum. A majority of the
Executive Committee shall constitute a quorum.
Proposed:
Section 1. Five members of the organization shall constitute a quorum at general meetings.
Add Section 2. A majority of the Executive Committee shall constitute a quorum at
executive meetings.
22. Article XII – Amendments becomes Article XI – Amendments
Present: A majority vote of the members present shall be deemed sufficient to amend this
constitution and by-laws, providing ten members are present, and provided the proposed
amendment is approved by a majority of the Executive Committee.
