EXCEPTS FROM THE MINUTES OF THE RATIFICATION/ADOPTATION OF THE
CONSTITUTION AND BY-LAWS (CBL) OF BUENAVISTA FARMERS ASSOCIATION
(BFA) HELD ON JANUARY 15, 2016 AT 9:00 AM. AT WFS ALANGALANG, LEYTE.

The meeting was called to order at exactly 9:00 A.M. of January 15, 2016 at the
Women’s Friendly Space (WFS) Alangalang, Leyte that was being used as temporary meeting
place of then association.

The meeting was presided by the President, Conrado Tado Jr. requested the Secretary to
conduct a roll call to verify the presence of a quorum.

After a roll call, a quorum was declared to signify the start of the meeting. The President
in this capacity as the presiding officers presented to the body the draft of the Constitution the
By-Laws previously prepared by a committee specially organized for the purpose with the
assistance of the technical personnel from the office of the Provincial Agriculturist. It was read
and translated to Waray so that all members will understand it content.

On the article on membership, it was suggest that membership must not include those
affiliated with other association and/or holding any government position. It was voted upon and
was added to the article.

On the Article on term of office, suggestion for a longer term of office was tackled. After
deliberation of pros and cons it was backed that for the time being the current 2 year terms will
be followed.

Having understood the entirely of the article, the body finally agreed to adopt and ratified
the said Constitution and By-Laws of the BUENAVISTA FARMERS ASSOCIATION.

the ratification/adoption of said Constitution and By-Laws as well as the accompanying

MINUTES
EXCEPTS FROM THE MINUTES OF THE ORGANIZATIONAL MEETING OF THE
BUENAVISTA FARMERS ASSOCIATION (BFA) HELD ON DECEMBER 18, 2015 AT
WOMEN’S FRIENDLY SPACE (WFS) ALANGALANG, LEYTE.

The meeting was called to order at exactly 9:00 A.M. by Nestor Partoza, Municipal
Agriculturist, Alangalang, Leyte. It was followed by prayer and singing of the Philippine
National Anthem.

NOEL T. ANTONI who was unanimously appointed by those prospective farmers to


preside over the meeting in the acting capacity. LIZA S. SANDINO was likewise also appointed
by the body to act as Secretary to take down notes on the proceeding of the meeting. The names
of those present were called and was found out that there were (50) prospective members in
attendance. The agenda presented to the perspective members were:

Agenda:
1. Primary purpose of the association.
2. Election of Officers.
3. The official name of the association

The acting President solicits from the group what would be the official name of the
association.

The Primary Objectives and Purpose of the Association are as follows:

1. Establish an association that will promote mutual aid and protection to its members.
2. To provide members with an opportunity to learn acquire employ advance methods of
crop/animal production and others sustainable productive pursuits.
3. To provide a system for effective procurement and supply of production inputs and
marketing.
4. To serve as a vehicle, links through which government, NGO’s and private assistance
maybe equitably and effectively extended to the members.
5. To develop attitudes harness the people participation in every activity towards the
development of the community through self-help and self-reliance.
6. To have sustainable, productive livelihood project as source of continuous income
that will augment the family needs.
CONSTITUTION AND BY-LAWS OF THE
BUENAVISTA FARMERS ASSOCIATION (BFA)

PREAMBLE

We, the BUENAVISTA FARMERS ASSOCIATION (BFA) of the municipality of


Alangalang, Leyte in order to improve our standard of living and enhance the general welfare,
the members of BUENAVISTA FARMERS ASSOCIATION (BFA) organized ourselves into
an association, do hereby promulgate this constitution and by-laws.

ARTICLE I

NAME AND ADDRESS OF THE ASSOCIATION

SECTION 1. The name of the association shall be:

ARTICLE II

OBJECTIVES AND PURPOSE

SECTION 1. Objectives and purpose - the objectives and purposes of this association
are as follows:

1. To establish an association that will promote mutual aid and protection


to its members.
2. To promote the moral, social and economic well being of all the
members.
3. To develop an effective cooperation and coordination among members
on matters related to their farmer’s enterprise.
4. To provide the members with the opportunity to acquire experience in
formal organization and self-government in running the officers of the
association;
5. To develop a sustainable livelihood thru the conduct of activities with
aim of uplifting the economic condition of the members;
6. To provide members knowledge and skills and equip themselves an
effective and innovative way of integrated products related to
agriculture based program.
7. To serve as an avenue for the association to avail secure, enjoy any
from of assistance (e.g. loans, grants aid, donation, raffles) sponsored
by government, private and NGO’s both local and foreign;
8. To develop knowledge and skills necessary for the effective and
harmonious discussions of issues concerning its operation and gain
good sights in finding alternative solutions of any problems and
conduct continuing education among members;
ARTICLE III

MEMBERSHIP

SECTION 1. Membership - The membership of this association shall be open to all


persons who are of legal age, with the capacity to contract or heads of the
family and are:

1. Residing and/or working in the area of operation.


2. Willing to abide the constitution and by-laws of the association.
3. Pledge to undertake the responsibilities of a member.

SECTION 2. Application of Membership

1. The application for membership shall be in writing and shall be


presented to the officers for action. The application shall be
accompanied by a membership fee of fifty pesos ( P 50.00) which
amount shall be returned to the applicant in case of rejection.
2. The applicant shall pay the amount of fifty pesos equivalent to one (1)
share of the capital stock in case he/she is not rejected.

SECTION 3. Membership in the association once acquired, shall be permanent and may
be lost on the following grounds.

1. Membership in subversive organizations or one who profess


subversive ideas;
2. Habitual absences from meeting his/her attendance is required, at least
three (3) consecutive absences without being excused.
3. Persons who have been convicted of a crime involving moral
turpitude;
4. Non-payment of monthly dues and/or not patronizing its business for a
period of one (1) year or more.
5. Failure to comply with the existing rules, policies and regulations of
the organization as set forth in its constitution and by-laws or any
violations of the provision thereof.

ARTICLE IV

RIGHTS, DUTIES AND RESPONSIBILITIES OF MEMBERS

SECTION 1. Rights of Members – Every member have the following rights;

a) Participate in the deliberation during membership meetings.


b) Avail herself of the service of the organization without
discrimination/conditions and requirements thereof.
c) Inspect and examine the books of accounts, the minutes book and
other records of organization during office hours and to exercise other
rights and privileges of membership.
d) To exercise the right to vote on all matters to the affairs of the
organization.
e) To be eligible to any elective or appointive office of the organization
and
f) To avail of all the facilities/services of the organization.
SECTION 2. Duties and Responsibilities of the Members – every member shall have
the following duties and responsibilities.
a) To obey and comply with the constitution and by-laws of the
organization and such regulations that it maybe promulgated from time
to time.
b) To attend all meeting, trainings and seminars that it may be called for
requiring attendance of members.
c) To assist in every way possible in advancing the objectives of the
organization.
ARTICLE V

TERMINATION, WITHDRAWAL AND EXPULSION OF MEMBERS

SECTION 1. Termination of Members – Membership in the organization maybe


terminated other by withdrawal or expulsion.
SECTION 2. Withdrawal – Any member desiring to terminate his membership by
withdrawal shall submit a written application to the officers. However, no
member shall be allowed to withdraw or terminate his membership during
any period in which he/she has pending obligation with the organization.

SECTION 3. Expulsion – A member maybe terminated by the officers for any of the
following causes:

1. When a member has not patronized the services of the organization for
unreasonable period of time as maybe fixed by the officers.
2. When a member has continuously failed to comply his obligations.
3. When a member has acted in violation of the by-laws.

ARTICLE VI

GOVERNMENT

SECTION 1. The General Assembly – The General assembly of the organization shall
be composed of members entitled to vote duly assembled and consisting a
quorum.

SECTION 2. Power and Limitation of the General Assembly – The General Assembly
has the following power:

a) To elect and remove officers for cause;


b) To hear and pass the reports of the officers;
c) To take final decisions regarding any drastic change in financial
policies;
d) To exercise final authority on all matters vitality affecting the
organization;
e) To approved development plans of the organization;
f) To exercise all powers expressly provided by law and by-laws.

SECTION 3. Annual General Assembly - The Annual General Assembly should be held
on the 15th of June 2016 at the principal office of the organization or at
any place within area of operation and such time as the officers may
designate.
SECTION 4. Special General Assembly – A special general assembly may be called at
any time by a majority vote of the officers to consider urgent matters
requiring immediate membership decision. A special general assembly
shall be called by the officers within 30 days receipt of a written request.

SECTION 5. Notice of General Assembly – Written notice of all meeting shall be


served by the Secretary, through an urgent, upon each member or thru
information board at least on week prior to the general assembly.

The Notice of the general Assembly shall be accompanied by the agenda,


minutes of meeting at least general assembly, consolidated reports of the officers
with financial statements, proposed amendments to the by-laws if any, and other
papers needed by the members to arrive at sound and intelligent decision during
the general assembly.

SECTION 6. Calendar Year – The calendar year of the association shall commence on
the first day of January and on the last day of December.

SECTION 7. Agenda – As per practicable, the Order of Business at each annual


meeting shall be:
a) Roll call
b) Proof of due notice
c) Consideration of the minutes of the last general meeting
d) Consideration of the consolidated report of officers, board of directors
and committees including statements of financial condition and
operation
e) Unfinished business
f) Election of officers and committee members
g) New business, and
h) Adjournment

SECTION 8. Quorum at the Membership Assembly – At the annual or special general


assembly, fifty percent plus one of the total number of members entitled to
vote shall constitute the quorum.

SECTION 9. Manner of Voting

1. Members entitled to vote shall be qualified to vote and participating to


the general assembly of the association. No member shall be entitled
to vote more than one regardless of the share owned. No proxy voting
shall be allowed.
2. Election and removal of officers shall be in any manner that will truly
and reflect the decision of the membership.

SECTION 10. Officers and Members - the business of the organization shall be
administered by the officers.

SECTION 11. Qualification and Disqualification of Officers - All members entitled to


vote, who have time and willingness to serve are qualified to be voted as
officers, except those under any of the following circumstances which
disqualify them to be voted upon the position officers or to continue as
such.

a) Holding any elective position in the government or private office and


that of barangay official.
b) Having conflicting interest with the business of the organization.
c) Having absent for three consecutive officers meeting without being
excused.
d) Being full time employee of the organization.
e) Having been convicted of any crime involving moral turpitude, gross
negligence, for gross misconduct in the performance of his studies if
found culpable on any administrative case involving such offense.
f) Facing as respondents for defending on administrative proceedings or
civil/criminal suits involving financial and or property accountability.
g) Having been disqualified pursuant to disqualification prescribe by law.

SECTION 12. Election of Officers - The officers shall be elected by secret ballot by the
members at the annual general assembly and shall hold office for a term of
three (2) years unless earlier remove for cause, or have resigned or
become incapacitated due to illness or death, and until their successors
have been elected qualified and have discharge the duties of the office,
provided that during the election at the first annual general assembly after
registration, one half plus one officers obtaining the highest number of
voted shall serve for two year. Thereafter, all shall serve for a term of two
years. Provided, that no officers shall serve for more than three (3)
consecutive terms.

SECTION 13. Quorum of Officers Meeting - One half plus one total officers shall
constitute a quorum. A majority vote of the quorum duly assembled in
meeting shall be valid.
SECTION 14. Vacancies - When a vacancy of the officers occur by reason of death,
incapacity, removal or resignation, the remaining officers constituting a
quorum shall fill the vacancy, if the officers do not constitute a quorum the
vacancy shall be filled by the general assembly in a regular of special
meeting called for the purpose. The successors named in either of the two
instances, shall serve for the unexpired portion of the term.

SECTION 15. Removal of Officers and Committee Member - any elected officers or
committee members may be removed from office by a voice of two-thirds
(2/3) of the members entitled to vote, present and constituting a quorum at
the annual or special general assembly called for the purpose after having
given the opportunity to be heard at the said assembly.

SECTION 16. Powers and Duties of the Officers - the officers as a body have general
supervision and control of the affairs of the association it shall prescribed
policies consistent with law, these by-laws and the resolutions of the
general assembly for the management of its business and guidance of its
members and employees.

SECTION 17. Duties and Responsibilities of Officers

Chairman/President

a) Preside over all meetings of the organization and of the officers


meeting.
b) Perform any and all acts and duties usually performed by a presiding
officer.
c) Sign all communications, revolving fund certificate, contract and such
other papers of the organization which officers may authorized or
direct him to sign, and
d) Perform such other duties as the officers may prescribe.
Vice-chairman/Vice-president

In the absence or disability of the Chairman/President, the Vice-


chairman/Vice-President shall perform the duties of the Chairman/President,
provided, however, that in the case of death, resignation or removal of the
Chairman/President the officers may decide to elect his successor.

Treasurer - the treasurer shall have the following duties;

a) Take custody of all monies, securities and papers of the organization.


b) Keep a complete record of its cash transaction for the establishment of
proof his/her cash position at any time and date.
c) Pay upon the recommendation of the business manager or as authorized by
the officers, all money transactions and certified to the correctness of the
cash position of the organization in all financial statements and report
submitted to the officers at the general assembly.
d) Turn-over all monies, securities, papers and other properties belonging to
the organization that he may have in his position upon election of his
successor.
e) Perform the duties of the Secretary in the latter absences or inability to
perform his duties.

Secretary - shall have the following duties:

a) Keep a complete list of all members and maintain correct record of all
meetings of the officers and the general assembly.
b) Give notice to all meetings called.
c) Keep and maintain in the record book and serve as custodian of the seal of
the organization.
d) Turn-over to his/her successor all books and other properties in his/her
possession belonging to the organization.
e) Perform the duties of the treasurer in case of the latter's absence or in
ability to perform his duties.

Bookkeeper

Keep books, documents and other financial records of the organization.

Auditor

Conduct audit on income and expenses and inventory of properties of the


organization.

P.I.O

a) Act as the courier of messages/notices to all members.


b) Inform the members and general public as to the activities of the
association.

Business Manager

Manage/Run business of the association. He/She render periodic


statements and reports in the form and in the manner prescribed by the
officers and preserve the books, documents, correspondence and records
of whatever kind pertaining to the business which may come into her
position.
ARTICLE VII

CAPITAL STRUCTURE

SECTION 1. Source of Funds - the association shall derive its funds from:

a) Share Capital - (P 500.00/share);


b) Contributions;
c) Donations; and
d) Fund raining

ARTICLE VIII

OPERATION

SECTION 1. The organization shall procure the production inputs and supplies
consumer goods, livestock feeds and other related needs of its members
and the community in bulk from the best sources possible through an
association purchasing system to achieve economy and efficiency, and
shall make these goods available at the right quality and quantity at a
reasonable price.

SECTION 2. All members shall procure their goods from the organization.

SECTION 3. All members shall execute a marketing and/or service agreement with the
organization. The latter shall market the product of the members and/or
provide the needed service in the usual and custody manner or any manner
it may see fit under the circumstances, having in mind the interested and
welfare of the members.

It was further approved by the body that the association be registered at the Department
of Labor and Employmenr (DOLE). The chair explained that the association having had acquired
a legal juridial personality is a paramount importance so, as to enable it to transact its day to day
activities/business legally; and more so, so that the government as well as private sectors’
support/services could be channeled to it members through the association.

Finally, the chair asked if there were other issues/concerns to be raised for deliberation,
since there were no other matter place on the table for question, the meeting was adjourned at
exactly 12:00 NN.

CERTIFICATION

THIS CERTIFICATION that the BUENAVISTA FARMERS ASSOCIATION (BFA),


with the office address at Alangalang, Leyte has no substantial financial asset as of this date due
to the fact that it is a new organization having been organized only December 18, 2015.
Available cash on hand in the position of the Treasurer is very minimal having been sourced out
only from membership fees of the members and located registration of the association with
Department of Labor and Employment (DOLE).

This certification is issued to justify the lack of financial required for new organizational
registrants and likewise serve as the basis for its exemption from the said requirements.
