RUCKUS GOLD SUPPORT PARTNER (GSP) PROGRAM AGREEMENT
This Agreement, executed by and between Ruckus Wireless, inc. with offices at 350 West Java Dr., Sunnyvale, CA 94089 USA,
herein referred to a8 "Ruckus", and BINH MINH TELECOMMUNICATIONS TECHNOLOGY APPLICATION JOINT
STOCK COMPANY (Binh Minh., Jse) with its principal place of business et Block 36 Gamuda City, Yen So, Hoang Mai,
Hanoi, Vietnam 128200, herein referred to as “Gold Support Parine:” ar “GSP”, collectively referred to as a “Party” or the
?Parlies, wil have an effective date of the last-executed signature below.
Background: Ruckus has established a Gold Support Partner Program (the “GSP Program’) to provide its End Users with a
network of trained and certified professional support-provider partners. The terms ofthis GSP Agreement shall apply when the
GSP has purchased a GSP Support Offering, and therefore has a responsibilty to perform (i First (1) Call Support (i) local
Frontiine Support, and (ii) Onsite Support and as described in the accompanying Agreement Exhibits and the GSP Program
Guidelines for End User customers of Ruckus Products which the GSP has purchased under a separate Ruckus Ready Partner
Program Agreement (RRPPA) or through a Ruckus authorized distributor.
1. Definitions.
4.1 “Authorized Terttory” means the location as set forth in
Exhibit A, which GSP is approved to provide its End Users with
Support Services,
4.2 "Backline Support” generally means in depth technical
troubleshooting and analysis as described in the GSP Program
Guidetines.
1.3 "External Web Site” means an external World Wide Web site
viewable by GSP and GSP's End Users as established and
maintained by Ruckus.
1.4 “End User” means GSP's customer who receives support
sirectly from GSP under the terms of this Agreement.
1.5 "First (1) Call Support” means taking the intial support call
‘rom the End User customer, performing entitlement verification,
collecting problem information, ete. as descrived in the Program
Guidelines.
1.6 "Frontline Support’ means basic technical assistance, basic
technical troubleshooting and high-level analysis as described in
the Program Guidelines
1.7 "GSP" means the Gold Support Partner who is a participant
inthe Gold Support Program and agrees fo comply with the terms
ined in this Agreement and all accompanying Exhibits,
ments and Program Guidelines,
* 8 “GSP Support Offerings” means the type of support the GSP

GSP Support Offerings Pricelist” means the pricelist

1.10 “Onsite Support” means the procedure to replace
Gefective hardware at the End User's installation location.
1.11 “Program Guidolines’ means the document describing
the current structure, requirements and administration of
the GSP program.
1.12 "Ruckus Marks’ means Ruckus’s and trademarks,
service marks, tade names or logos used in conjunction
with the GSP and, or GSP Program,
1.13 “Ruckus Products” means products developed and/or
manufactured by or specifically for Ruckus and are
supported by Ruckus.
1.14 “Support Fee” means the fee paid by GSP to Ruckus
in consideration of the GSP Support Offerings purchased,
1.15 “Support Services" means Ruckus’s and GSP’s
support responsiviites as described in the Program
Guidelines
1.16 “Supported Third Party Products” means products not
developed nor manufactured by Ruckus, but are supported
by Ruckus,
2. GSP-Program.
2.1 Overviow. This GSP Agreement shall govern the rights
‘and obligations of the Parties arising with respect to the
GSP Program. Neither Party shall have any rights or
obligations vis-a-vis one another by reason of GSP's
participation in the GSP Program that are not expressly
{ranted or provided for in this GSP Agreement or the then
Current Program Guidelines, Ruckus reserves the right to
accept or reject participation in this GSP Program by an
interested party. In the event of a confit in terms between
this GSP Agreement and the Program Guidelines, the
terms and conditions of this GSP Agreement shall prevail

GSP Agreement may be executed in two or more counterparts, each of which wil be deemed an original forall purposes, and
together will constitute one and the same document, Photocopy or electronic signatures willbe relied upon as original signatures
in all respects. All signed copies of this GSP Agreement will be deemed originals

Upon execution of the GSP Agreement and completion of the appropriate certification and training required by Ruckus under the
terms of this Agreement and the Program Guidelines, GSP is authorized to provide support on the folowing Ruckus Products as
