POWER-OF-ATTORNEY

THIS POWER OF ATTORNEY is executed on this the ________ day of ___________ in the year
two thousand and _____________ by me, Roshan Mathew Kurian S/o Kurian Mathew aged
27 years, permanently residing in _Koothappallil House , Valanjavattom PO,Thiruvalla
,Pathanamthitta, PIN 689104, Kerala State, holder of Passport No. L9429459 issued at
Trivandrum in favour of Mr Kurien Mathew aged 65 years, residing in Koothappallil
House , Valanjavattom PO,Thiruvalla ,Pathanamthitta, PIN 689104, Kerala State.

WHEREAS I am now employed and working in Wroclaw,Poland and I am consequently


unable to look after my affairs, properties, assets etc. in India personally; and

WHEREAS Mr Kurien Mathew is competent to look after my affairs as effectively and


efficiently as I myself can do; and

WHEREAS I, the aforesaid _____________________, hereby appoint Mr. Kurien Mathew as my


lawful attorney to do all or any of the following deeds, acts or things:-

1) To purchase land with or without buildings anywhere in India, as my attorney


deem fit, in my name or in the joint names of my myself and my spouse or such
other persons as may be decided by the attorney from time to time

2) To construct building or make additions, alterations or modifications to the


existing building as my attorney may consider necessary.

3) To enter into agreement with vendors of the property for purchase of land with
or without building and to do all necessary acts, deeds or things to get the
property registered in my name or in the joint names of myself and my spouse or
such other persons as may be decided by the attorney from time to time.

4) To join as a partner in any firm on my behalf to represent me in such partnership


and to withdraw from any partnership and to sign and execute all deeds and
papers required for this on my behalf and to sign my lawful attorney all papers
that may be required as a partner.

5) To obtain loan or overdrafts or other funded or non funded credit facility from
any Bank or Financial Institution in my own name or in the joint names of myself
and my spouse or in the name of Partnership(s) or limited company or trust or
society in which I am a partner or director or trustee or member and/or give
guarantee on my behalf or become a co-obligant on my behalf in respect of
credit facilities availed from Banks/Financial Institutions by proprietorship
concern or partnership firms or limited company or trusts or societies or
associations or other persons, entities etc. and to execute all necessary demand

promissory notes, loan documents, deeds etc. as may be required by the Bank or
Financial Institution from time to time.

6) To mortgage the immovable property (ies) already purchased in my name or


which may be purchased in my name or in the joint names of myself and my
spouse or any other person with any Bank or Financial Institution and for that
purpose to execute agreement to create mortgage, mortgage deed or
Memorandum or Letter confirming Deposit of Title Deeds and any other
necessary documents.

7) To pledge, hypothecate, assign or create security interest in favour of


Banks/Financial Institutions all or any of the movable property owned by me
including Bank Deposits, KissanVikasPatra, National Savings Certificate, shares,
debentures etc. as security towards any borrowing for and on behalf of me
and/or to secure my obligations/liability as guarantor or co-obligant.

8) To open, operate or close any one or more banking account or accounts in my


name or in the joint name of myself and my spouse or such other persons as may
be decided by my attorney from time to time or in the name of any
proprietorship concern, partnership firm, limited company, trust, society or
association in which I am interested as proprietor, partner, director, trustee,
member, office bearer etc. and to otherwise deal with my accounts, Current,
Savings Bank or Fixed Deposits or any other kind.

9) To draw, endorse and sign any cheque or other investments payable to me and
to deposit to deposit in, and operate upon, the accounts standing in my name or
joint names with others, now or hereafter, in any bank or elsewhere.

10) To represent me before all Government, Municipal, local or any other authorities
constituted for any purpose whatsoever.

11) To apply to Courts and other offices for copies of documents and papers.

12) To accept service of any summons, notice or writ issued by any court or officer or
Banks or Financial Institutions or other public authorities for me and in my name
and to appear on my behalf and to represent me in all courts, Civil or Criminal,
Appellate or Original, and before all Judicial, Quasi-Judicial, Executive and
Revenue Officers, Authorised Officer of Banks and Financial Institutions and other
Tribunals etc. and to conduct any action or proceedings or to defend and contest
any proceedings for me and on my behalf.

13) To lease out the building or to do such other thing in relation to the use or
occupation of the building or in any other manner which is permissible under law.

14) To execute sign, enter into, acknowledge, perfect and do all such conveyances,
leases, mortgages, transfers, surrenders, releases, assurances, deeds, agreements,
instruments, acts and things as shall be requisite or as the said attorney may
deem necessary or proper.

15) To execute necessary acknowledgment of debt or revival letter or balance


confirmation letter for and on my behalf in favour of Bank or Financial Institution
to save the documents from getting time barred.

16) To delegate the powers conferred on the attorney hereunder to, or execute
power of attorney in favour of, any person for exercising the same.

17) And generally to act as my attorney or agent in relation to my properties, existing


as well as to be purchased in future, and all other matters related thereto and on
my behalf and for me to execute and do all instruments, acts, deeds, matters and
things as fully and effectually in all respects as I myself could do if I were
personally present.

AND I hereby ratify and confirm all such acts, deeds and things done by my said attorney
by virtue of these presents and I hereby agree that the same shall be binding on me as if
it were done by me and I undertake to ratify and confirm all and whatsoever my said
attorney shall do or cause to be done by virtue of this power of attorney. I hereby further
agree that this power of attorney will not be revoked without prior written consent of the
Bank.
