CLIENT AGREEMENT
KNOW ALL MEN BY THESE PRESENTS

This Agreement is entered into by and between the RCL Events


Management, represented by its Operations Manager, MS. ROSALIEH C. LUCES,
hereinafter referred to as the “EVENT MANAGER”, and the Department of
Tourism, Region V, represented by its Director BENJAMIN F. SANTIAGO, and
hereinafter referred to as the “CLIENT”.

I. The EVENT MANAGER agrees to provide:

1. Research design, planning, coordination and evaluation of the 15th


National Tourism Assembly.
2. That such research will commence with the joint execution of this
agreement.
3. A professional event that will begin on December 1, 2015 at 0800 hours,
Philippine Standard Time and conclude on December 5, 2018 at 15:00
hours standard time.
4. A comprehensive evaluation including financial anf attributes and
opinions will be submitted to CLIENT by December 6, 2018 at 1600 hours
standard time.
5. Comprehensive general liability insurance with Php 1,000,000.00 limit
per occurrence, naming CLIENT as additional insured for the period of
the event.

II. The CLIENT agrees to provide:

1. One person as principal contact and decision maker for the EVENT
MANAGER,
2. General Liability insurance to Php 1,000,000.00 limit per occurrence,
naming EVENT MANAGER as additional insured for the period of the
event.
3. Decisions in a timely manner as required by the final approved
productions schedule
4. Fifteen (15) volunteers to coordinate registrations and guest relations
during the event from 0600 hours to 2300 hours, standard time.

III. INVESTMENT

The EVENT MANAGER will receive a fee for professional services in


the amount of Php 200,000.00 exactly. The EVENT MANAGER will receive
fees for all direct expenses approved by the CLIENT.

IV. TERMS

The CLIENT agrees to provide the following payment to the EVENT


MANAGER as compensation to the services described above.

October 20, 2018 25% of fee (Php 50,000.00) plus


50% of direct expenses

November 20, 2018 65% of the fee (Php 130,000.00) plus


balance of the pre approved direct
expenses

November 28, 2018 10% of the fee plus any additional


charges approved by the client plus
balance of all the approved direct
expenses
V. CANCELLATION

Should the RCL Events Management cancel his or her services for any
reason other than the acts of God, the CLIENT shall received a refund for all
prepared fees less any costs expended on behalf of the event. Should the
CLIENT cancels his or her event, the following payments shall be due:

a) Cancellation more than 120 days prior to the event date: 25% of the
professional fee and 50% deposit of all direct expenses.

b) Cancellation less than 120 days prior to the event date: 50% of the
professional fee and deposit of all direct expenses.

c) Cancellation less than 60 days prior to the event date: 75% of the
professional fee and 100% of all direct expenses.

d) Cancellation less than 30 days prior to the event date: 100% of the
professional fee and 100% of all direct expenses.

VI. FORCE MAJEURE

This agreement is cancelled automatically if the event is interrupted


due to acts of God, including but not limited to hurricanes, tornadoes,
strikes, war, volcanic eruption, earthquake or pestilence.

VII. ARBITRATION

The Integrated Bar of the Philippines (IBP) Camarines Sur Chapter is


designated as the official body for arbitrating any disputes resulting from
this Agreement.

VIII. HOLDS HARMLESS AND INDEMNIFICATION

The RCL Events Management and the CLIENT agree to hold one
another harmless from negligence caused by either party and mutually
indemnify one another.

IX. TIME IS OF ESSENCE

The services and related costs described in this Agreement are


guaranteed through 1700 hours December 6, 2018. After these services and
relateed costs must be negotiated

X. THE FULL AGREEMENT

This Agreement and any attachment constitute the full agreement


must be approved in writing by both parties.

XI. ACCEPTANCE

The parties whose signature are affixed below agree to accept the
terms and conditions stated within this Agreement.

BENJAMIN F. SANTIAGO and MS. ROSALIEH C. LUCES with I.D Nos. 78395280
and 89523069 respectively, known to me to be the same persons who executed the
foregoing Agreement, signed by both parties and two instrumental witnesses and
acknowledges that the same is their free and voluntary act and deed.
