KNOW ALL MEN BY THESE PRESENTS:

The undersigned incorporators, all of legal age and majority of whom are
residents of the Philippines, have this day voluntarily agreed to form a stock
corporation under the laws of the Republic of the Philippines;

AND WE HEREBYCERTIFY:

FIRST: That the name of said corporation shall be

CONSULT ME INC.

SECOND: That the primary purpose for which such corporation is

incorporated:

To engage in the business of a management consultancy firm, to engage in the

provision of management through objective advice and assistance relating to the
strategy, structure, management, and operation of an organization in pursuit of its
long term purposes and objectives; such assistance may include the identigication of
option with recommendation, the provision of an additional resource or the
implementation of solution and other applicable laws and regulation, except the
management of funds, securities, portfolios or similar assets of the managed entity
or corporation nor engaging in the practice of any license profession.

Provided that the corporation shall not solicit, accept or take

investments/placements from the public neither shall it issue investment
contracts.

THIRD: That the principal office of the corporation is located in

FOURTH: That the term for which said corporation is to exist is fifty (50)
years from and after the date of issuance of the certificate of incorporation;
