I wanted to bring a concern to your attention.

1) I was informed that an outside party may have made overtures to a member or members of this
Board suggesting that personal business interests may be at stake if certain elected officials do not
vote in a particular manner. This went beyond general advocacy and standard input we receive from
constituents on a regular basis regarding policy.

2) It is the opinion of outside counsel that, to the extent that this has occurred, it is improper,
unethical, and perhaps illegal. As a matter of practice, I refer issues of this nature to the appropriate
agency. I engaged outside counsel per discussion with the SA’s Office with respect to this specific
issue. I will be transitioning counsel back to the SA’s Office this week. They have been good partners
in the process.

If you have any concerns of this nature, please communicate with the SA’s Office.
