Contract due by the end of business day Friday, September 25 th , 2008.

The undersigned (hereinafter “Guest Designer”) hereby agrees with FIG Enterprises, Inc.
(hereinafter called “FIG”) to (i) reserve “Guest Designer Space” (herein so called) at the Fashion
Industry Gallery Trade Show (hereinafter called “Shop”) to be held Thursday, October 23rd through
Sunday, October 26th, 2008, at 1807 Ross Avenue, Dallas, Texas, 75201 (the “Building”), (ii) remit
to FIG upon invoice the non-refundable/non-transferable Participation Fee for the use of the Guest
Designer Space, (iii) pay directly to the appropriate parties other incidental charges in connection
with the Guest Designer Space and (iv) be bound by all the terms and conditions contained in this
Participation Contract. It is understood and agreed by Guest Designer that all fees and charges
payable to FIG are non-refundable and are due and payable whether or not Guest Designer
actually participates in Shop. Guest Designer agrees to pay guest designer fee.

Guest Designer agrees to show hours of 9:00 a.m. through 6:00 p.m. Thursday through Saturday and 9:00
a.m. through 3:00 p.m. on Sunday.
Guest Designer understands that this Participation/Guest Designer Space Contract (this “Participation
Contract”) is due upon receipt.

This Participation Contract creates no obligation on the part of FIG, and participation in Shop, including
Guest Designer’s position, inclusion in FIG advertising and promotional material, will not be confirmed until
FIG is in receipt of a signed Participation Contract and Participation Fee (as per invoice) together as a
package. Failure to adhere to the payment schedule will be construed as a forfeiture of Guest Designer’s
participation including position seniority and any amount paid on account. Guest Designers whose
collections are shown through sales representatives, importers, etc. shall be jointly and severally liable to
FIG for all fees due hereunder and to otherwise comply with all the terms of this Participation Contract.
Participation Contracts executed by sales representatives, importers or any entity other than the Guest
Designer shall nevertheless be binding on the Guest Designer.

If it is determined by FIG, in its sole discretion, that a Guest Designer is participating in other concurrently
held trade shows in Texas, including by the use of a separate trade name, FIG reserves the right to prevent
a Guest Designer from setting up as a Guest Designer, to evict a Guest Designer during Shop and to cancel
this Participation Contract without any liability to FIG, and to retain the full Participation Fee and the Guest
Designer Space Fee as liquidated damages. Breach of the provision may result in Guest Designer’s
exclusion from future FIG Shows.

Payments received after September 25th, 2008 must be made via certified check, money order, or wire
transfer. The collection name must be on the wire instructions to receive credit to Guest Designer’s account.
All checks must be made payable to FIG Enterprises, Inc.

The credit card information requested below is required in order to confirm Guest Designer’s Participation.
Guest Designer’s credit card will be charged for the following reasons: (i) should FIG NOT receive timely
payment for Participation of Guest Designer Space (ii) should Guest Designer WITHDRAW from Shop after
this Participation Contract is signed, (iii) should the Guest Designer DAMAGE the designated Guest
Designer Space or the Building (iv) in the event that Guest Designer is assessed an Early Termination Fee,
or (v) should Guest Designer elect to CHARGE Guest Designer Space Fees on its credit card, in which case
credit card will be charged immediately upon receipt. Please note that charge will appear as FIG
Enterprises, Inc. on credit card bill. Only VISA or MasterCard credit cards will be accepted. The Cardholder
authorizes FIG to process any and all necessary charges pertaining to the above-referenced circumstances.
Guest Designer irrevocably waives any rights to contest the charges for Participation/Guest Designer Space
with Visa/MasterCard or FIG.

FIG reserves the right to deny participation upon such other terms and conditions it may impose without notice in its
sole discretion. The laws of Texas govern this Participation Contract. The party signing above represents that they are
authorized by the Guest Designer to enter into this Participation Contract

In the event the Guest Designer gives notice to FIG that it does not intend to be present at
Shop or fails to attend Shop, FIG is expressly authorized to occupy the Guest Designer
Space reserved by the Guest Designer to be used in such manner as FIG may deem in the
best interest of Shop without any rebate or allowance to the Guest Designer, and without
releasing the Guest Designer from any liability hereunder. The Guest Designer agrees to
pay FIG the full Participation Fee and/or charges for Guest Designer Space, which are non-
refundable and non-transferable.

Returned checks will be subject to a $100 fee.

Guest Designer may not sublet or apportion any part of its Guest Designer Space, or advertise merchandise
other than its merchandise unless approved in advance by FIG. In the event that a Guest Designer is
granted permission by FIG to assign, sublet or apportion a portion of the Guest Designer Space, the Guest
Designer occupying the Guest Designer Space shall pay an additional one-third (1/3) Participation Fee and
shall be jointly and severally liable for all charges/fees incurred in connection with the use/occupancy of the
Guest Designer Space. Guest Designer agrees to be subject to an annual review by FIG in order to protect
the integrity of the Show.

No goods will be set up during Business Hours of 9:00 a.m. – 6:00 p.m. Thursday through Saturday and
9:00 a.m. –3:00 p.m. Sunday. All goods must be in Dallas and set up by 9:00 a.m. Thursday August 14th,
2008. Set up will not be allowed on Thursday. You must be in attendance at all times. Non-compliance with
“Shop” hours is subject to a $250 fine.

Guest Designer shall be required to keep the Guest Designer Space open for business
during all business hours that “SHOP” is open for business. Under NO circumstances may
breakdown and packing of the displays and merchandise in the Guest Designer Space
commence prior to 2:30 P.M. central standard time on Sunday, October 26th. If Guest
Designer does not comply with all forgoing requirement, Guest Designer will be assessed
an early termination fee in the amount of $1,000.00.

Shop participation is not contingent upon location of Guest Designer’s Guest Designer
Space or the location of the entrances and exits, other guest designers or the cafes/food
concessions. Please note that Guest Designers may not bring animals in the building.

Guest Designer agrees that FIG may take photographs of the Guest Designer Space, for promotional use
by FIG without compensation to the Guest Designer.

FIG reserves the right to require a Guest Designer to discontinue any conduct or activity that FIG deems
objectionable. Open flames and/or candles are prohibited. FIG reserves the right to deny Guest Designer
right to use the Guest Designer Space and expel or evict Guest Designer from the Guest Designer Space
for failure to follow these rules.

FIG does not assume any responsibility for the safety of the property of the Guest Designer, its offices,
agents or employees from theft, damage by fire, accident or any cause whatsoever. Therefore, Guest
Designer shall obtain and keep in force during Shop, (i) policies of comprehensive General Liability
insurance, through responsible carriers licensed in Texas, in an amount not less than $1 million combined
single limit for personal injury and property damage or in such other amounts as FIG may determine in its
sole discretion, written on a “per occurrence” basis naming FIG as additional named insured and (ii)
workman’s compensation employers liability insurance for Guest Designer’s employees and (iii) all risk and
casualty insurance on all of Guest Designer’s personal property, inventory, samples, displays and trade
fixtures. Insurance certificate should read FIG Enterprises, Inc.

FIG does not accept responsibility, nor is a bailment created for merchandise or equipment delivered by or
to the Guest Designers at any time.

FIG supplies one sign per booth included in the booth cost. There will be a charge of $25.00
for every extra sign requested. All sign requests must be received 10 days prior to the first
day of the show. If a sign needs to be reprinted due to vendor error or the printing deadline
is not met, there will be a $50.00 service charge. All signs will be uniform in size, color and
font. Signs will list the name of the product line only. No logos will be printed on the signs.

Guest Designer hereby indemnifies and saves FIG, any and all related companies, their respective officers,
directors, representatives, employees and agents from and against any and all losses, expenses, damage,
claims, suits, actions, judgments and costs whatsoever (including reasonable attorney’s fees), arising out of
or in any way connected with any claim or action relating to Shop, including but not limited to, any
promotional or advertising activities, any injury or damage to Guest Designer, its employees, agents and
invitees, persons and /or property, and business interruption, governmental charges or fines and further
including but not limited to, claims of damage or loss to any third party resulting from an infringement of any
copyright, patent trademark; all to the fullest extent permitted by law.

FIG shall not be liable for any loss or damage of any nature arising as a result of failure or delay in
performance of any obligation to be performed by FIG due to any cause or circumstance beyond their
control, including, but not by way of limitation, strikes, lockouts, labor disputes, fires, acts of God or public
enemy, riots, civil disobedience, armed intervention, interference by authorities, power outages, business
interruption of compliance with applicable laws. In the event that because of war, fire, strike, governmental
order, public catastrophe, act of God, or the public enemy or any other cause beyond the control of FIG,
Shop, or any part hereof is prevented from being held, is canceled by FIG or the venue of Shop becomes
unavailable, any refund of Participation Fees to the Guest Designer shall be at the sole discretion of FIG.
Such refund, if any, shall be a proportionate share of the balance of the aggregate Participation Fees
received which remain after deducting expenses incurred by FIG and reasonable compensation to FIG. But
in no case shall the amount of the refund to the Guest Designer exceed the amount of the Participation Fee
paid. Guest Designer shall not have the right to an accounting, review, or audit of the financial records of
FIG. In the event Guest Designer violates any provisions of the Participation Contract, any document
presented to FIG shall have been determined to be false or misleading or in the event FIG in its sole
discretion deems Guest Designer’s actions or displays to be not suitable to or in keeping with the character
of Shop, FIG shall have the right to cancel this Participation Contract or to prohibit, close, correct, remove,
or eliminate any exhibit, part of exhibit, sign, card, printed matter, souvenir, catalogue or other thing,
circumstance, conduct or action. Any Guest Designer who violates any of the terms and conditions herein is
subject to being refused future participation in Shop or any other show managed by FIG.

FIG reserves the right to refuse Guest Designer permission to move in and set up an exhibit under this
Participation Contract if the Guest Designer is in arrears of any payment due FIG, or in arrears of any other
show managed by FIG or its affiliates or if Guest Designer has filed bankruptcy, or a case in bankruptcy has
been filed against Guest Designer, or a receiver has been appointed for Guest Designer. FIG reserves the
right to promulgate any further rules and regulations which in their sole discretion are necessary which shall
be deemed part of this Participation Contract.
Should a Guest Designer cause any damage to the designated Guest Designer Space, or the Building in
which the Guest Designer Space is located, it will be the sole responsibility of the Guest Designer to pay the
cost of the repair of the damages to FIG. FIG and its staff will do all damage estimates and such estimates,
absent manifest error, shall be final. The failure to strictly enforce any of the provisions of this Participation
Contract or to require at any time performance by Guest Designer of any of the provisions hereof shall in no
way be construed to be a waiver of such provisions, or to affect either the validity of this Participation
Contract, or any part hereof, or the right of FIG thereafter to enforce each and every provision in accordance
with the terms of the Participation Contract. No waiver of any breach of any provision of the Participation
Contract shall constitute a waiver of any other breach of that or any other provision hereof.
