MEMORANDUM OF UNDERSTANDING (MOU)

BETWEEN

Institute of Productivity and Management

This MOU is entered into on ……………………… by and between Institute of Productivity


and Management (hereinafter called IPM).

And

……………………………………………………………………………………………………
(Hereinafter called Second Party)

1. Objectives of the MOU

a) To provide admission process gateway to students to ease their admission process and
enrollment for the IPM.

b) To work with the IPM as an admission partner.

2. Terms and Conditions for Objective 1(c)

a) IPM will issue an authorization letter to Second party; IPM also grants authorization to
provide the provisional letter on behalf of IPM to the students regarding their admission
confirmation with the particular branch/course they opted for.

b) The letter issued by Second Party to students will be issued after the IPM confirms
the admission/admission eligibility of student to SECOND PARTY.

c) The admission seat confirmed for students by the IPM to Second Party will be hold
minimum for a certain period of time, i.e. 10 days from the day of confirmation of
admission by IPM.

d) Within that buffer period student need to complete all his other admission process and
fees deposition according to IPM guidelines.

e) IPM will intimate prior to Second Party while making any changes in the admission
process or buffer days provided to students; else once student generated the request
or started the procedure at the given guidelines, there in IPM has to deal the
student’s case with the same conditions / guidelines in which he/she has applied for
admission.

f) IPM will pay Welfare fee per student admitted through Second Party.

g) To claim Welfare fee of each admission processed by Second Party will share their
admission form/details filled by the student with the IPM.

h) In case of cancellations/withdrawals of admission Second party will not be liable for


Welfare fee if the refund is made to the student and the refund made by the Institution
would be according to the AICTE/Govt. Regulatory Body norms.

i) This MOU may be amended, renewed and subjected to change by mutual written
agreement of the both parties at any time.

j) Either Party shall have the right to terminate this MOU upon 60 days prior written
notice to the other.

k) The details of service fee will be as follows

3. Confidentiality

a) IPM and Second Party agree to hold in confidence all information/data designated by both
the parties as being confidential which is obtained to either side or created during the
performance of the MOU and will not disclose the same to any third party without written
consent of the IPM.

b) The above confidential clause under this MOU excludes the information/data possessed by
either side before entering into this MOU or independently developed and/or information
already available through public domain.
4. Duration of MOU

This MOU, unless extended by mutual written consent of the both sides, shall expire in One year after the
effective date specified in the opening paragraph. However, on review, the MOU shall be extended for
another TWO years by mutual consent.

5. Coordinators

Both parties will designate person(s) that will have responsibility for co-ordination and
implementation of this MOU.

6. Settlement of Disputes

a) In the event of a dispute, controversy or claim arising out of or relating to this Memorandum of
Understanding, or the breach, termination or invalidity thereof (a "dispute"), the Parties shall use
their best efforts to settle promptly such dispute through direct negotiation. Any dispute that is not
settled within sixty (60) days from the date a Party has notified the other Parties of the nature of
the dispute and of the measures that should be taken to rectify it shall be resolved through
consultation between the executive heads of the Parties. Each Party shall give full and
sympathetic consideration to any proposal advanced by another to settle amicably any matter for
which no provision has been made or any controversy as to the interpretation or application of
this Memorandum of Understanding

b) Any dispute arising out of this MOU shall be subject to Lucknow jurisdiction only.
8. Signed in Duplicate

This MOU is executed in duplicate with each copy being an official version and having equal legal
validity. By signing below, both sides, acting by their duly authorized officers, have caused this
Memorandum of Understanding to be executed, effective as of the day and year first above written.
