Trans-Asia Petroleum Corporation


Trans-Asia Petroleum Corporation is a Philippine corporation organized on September
28, 1994 as a wholly-owned subsidiary of Trans-Asia Oil and Energy Development Corporation
both domestically and internationally. On May 31, 2017, the Securities and Exchange Commission
approved the Company's change in name to PHINMA Petroleum and Geothermal, Inc. (PPG). The
Company's primary business is the exploration and production of crude oil and natural gas
through interests in petroleum contracts and through holdings in resource development
companies with interests in petroleum contracts, both domestically and internationally. The
Company has co-contractor in approximately four Service Contracts (SCs) with the Philippine
government.

As of December 31, 2016, Trans-Asia Petroleum Corporation has only 4 regular


employees and 11 Board of Directors wherein 3 of them are independent directors. Updated as of
August 20, 2017, the Company has the same number of employees and 17 Board of Directors
wherein 2 of them are independent directors.

Corporate Social Responsibility


Harnessing Energy Literacy for Planet Earth, or HELP Earth

Harnessing Energy Literacy for Planet Earth, or HELP Earth started with inventiveness
geared towards energy literacy through provision of educational materials and promotion of
environmental protection. It has then evolved into a rounded program focusing on three levels of
engagement: Awareness Education, Strengthening Advocacy, and Empowering Leaders.

As of 2016, HELP Earth Education has expanded to 34 schools in 6 provinces in the


country. HELP Earth Savers Club consisting of 630 members wherein 18 of them are active
memebers are on the process of implementing their own student-driven initiatives for the
environment through PATHS or Positive Actions Through HELP Earth Savers Project.

Brigada Eskwela Project of the Department of Education

Aside from the HELP Earth, the company were able to assist 22 schools providing
volunteers and materials to improve the facilities for children through assisting in the
Department of Education’s Brigada Eskwela Project.
Seedling Preservation, Coastal Clean-up, Mangrove Reforestation and Awareness Drives

PHINMA Energy also remains the preservation of the environment in promoting


indigenous and native seedlings. Aside from seedling preservation, PHINMA also cares the
ecosystem along the coastlines and river ways. The have participated in 5 different coastal and
river clean-ups in different parts of the country, Bulacan, Guimaras, La Union and Subic. As of
now, they are in the process for the collaboration of projects for the marine resources like like
mangrove reforestation and awareness drives.

PHINMA HERO

One of the activities in the PHINMA HERO is the blood-letting campaign, in partnership
with the Philippine Red Cross, held another blood donation drive at PHINMA Plaza. More than
50 people are willing to donate blood even though not all are cleared with an intention to save a
life and desire to make life better. A total of 25 safe and quality blood bags were collected for the
benefit of others.

PHINMA Energy’s livelihood program, Progressive Undertakings for Nation-Building and Life-
Enhancing Advocacies or PUNLA, won in the Social Empowerment category. HELP Earth
Environment, on the other hand, was recognized in the Green Leadership category.

Corporate Governance
The PHINMA group strongly believes that good corporate governance, ethical business
procedures and practices are important in attainment of the goals and objectives of the company
and in pursuance of the company’s mission.

The Integrity Assurance Program (IAP) serves as a guide for the PHINMA group, the
directors and officers together with the employees in making important decisions which is also in
relation to the PHINMA Core Values. It represents PHINMA’s steadfast commitment and
emphasizes its persistent resolve to serve both the aspirations of shareholders and the needs of
society. The IAP has three components: PEOPLE, POLICIES and PROGRAMS. The PEOPLE
refer to the organizational structure that consists of the independent office, the Integrity officer
who is going to report directly to the Board of Directors through the Audit Committee. The
POLICIES consist of standards, rules and regulations that will serve as guidelines across the
PHINMA group especially on ethical issues like Whistleblowing, Insider Trading and Conflict of
Interest. The last component is the PROGRAM which develops the company-based initiatives
which includes the Values Integration Program for our employees and the Vendor Integrity
Program for our business partners.
To ensure that the IAP is implemented, theer will be independent internal review by
another internal audit team of PHINMA, the PHINMA Group Internal Audit.

On 2016, the PHINMA Group’s Integrity Assurance Program has won the top prize in
the Ethics and Governance category of the Asean Corporate Sustainability Summit and Awards
held at Manila Marriott. Phinma was recognized for its unwavering commitment in upholding
the highest levels of governance and business culture over and beyond compliance needs.
